Appointment and Provision of Services. 2.1 From time to time, the Artist and the Company may enter into Project Outlines setting out commercial terms relating to the provision of Services. Project Outlines, once agreed by the parties in writing, shall be governed by these Terms and Conditions. Where the Artist sends out a Project Outline and the parties start working on the Services, such Project Outline shall be deemed to have been agreed by the parties.

Appointment and Provision of Services. 2.1 From time to time, the Artist and the Company may enter into Project Outlines setting out commercial terms relating to the provision of Services. Project Outlines, once agreed by the parties in writing, shall be governed by these Terms and Conditions. Where the Artist sends out a Project Outline and the parties start working on the Services, such Project Outline shall be deemed to have been agreed by the parties. 2.2 The Artist agrees to: (a) reasonably co-operate with the Company (and any third parties participating in the creation of the Materials) in relation to the Services; (b) provide the Services to the best of the Artistʼs ability, using reasonable care and skill; (c) comply with any timing deadlines agreed for the Services set out in the Project Outlines or as otherwise agreed in writing, in so far as the Artist is not prevented from doing so by reasons outside of their control or as a result of any act or omission of the Company; and (d) provide the Materials materially in accordance with the Specification (if relevant). 2.3 The Artist must advise the Company promptly in writing on becoming aware: (a) that the Artist may be unable to perform the Services in accordance with this Agreement; or (b) of any development that may have a material impact on the Artistʼs ability to perform the Services in accordance with this Agreement. 2.4 Where the Location is the Artistʼs own studio, the Artist shall ensure that such studio is suitably equipped to provide the Materials materially in accordance with the Specification. 2.5 The Artist agrees to comply with all reasonable rules of the Location and other locations at which the Artist provides the Services provided that such rules are reasonable and proportionate and have been notified to the Artist in advance. 2.6 Where the Company records the Artist at the Companyʼs provided studio, the Company shall submit to the Artist the draft Materials for approval prior to distribution, broadcast or publication. The Artist shall endeavour to give their approval on a timely basis, and shall not be entitled to unreasonably withhold approval. In the event that the Artist has not responded to a request for approval, the Company shall not be entitled to deem the approval has been given.
Appointment and Provision of Services. The Company and KonaTel hereby appoints the Manager to perform the following services all at Manager’s sole cost and expense (collectively, the “Services”): (a) Without limiting the generality of any provision of the Purchase Agreement, during the Management Period (as defined below), and subject to Section 2, below, the Manager shall: (i) manage the Lifeline Business and the ACP Business (hereinafter collectively the “Business”); (ii) file FCC Form 497 and other claims for reimbursements from USAC and state Lifeline administrators and collect amounts owed by the Company’s customers; (iii) cooperate with and aid the Company with whatever actions the Company is required to take in order to obtain or maintain regulatory compliance under applicable laws, including without limitation, the Federal Communications Act of 1934, as amended; regulations or case law of the FCC and Applicable Telecommunications Laws and Regulations; (iv) apply for applicable licenses, registrations and eligible telecommunications carrier (“ETC”) designations in the states for which purposes the Manager and the Company appoint the Law Office of Xxxxx X.X. Xxxxxxxxx, X.X. to prepare all necessary applications, submissions and responses subject to review, supervision, and express consent of the Company and the Manager; (v) prepare and file all applications, submissions, correspondence, reports, and other documents that are required to be filed with any governmental authority or any other Person with respect to the Company’s Business, other than tax returns (collectively “Required Filings”) and for the payment of any and all liabilities arising in connection therewith. In connection with the preparation of Required Filings, including, without limitation, any extension of time within which to file any Required Filing associated with the Company’s Business, the Manager shall coordinate the preparation, review and filing of the same with the Company (and such accountants, auditors and other Persons (as defined in the Purchase Agreement) designated by the Company); and (vi) collect revenues related to the Company’s Business and prepare and submit the monthly certification of claims for reimbursement for Lifeline subscribers with the USAC state administrators. Notwithstanding anything to the contrary in this Management Agreement, the Purchase Agreement or the Master Distribution Agreement, the Manager shall have final authority and responsibility on all regulatory, legality and compliance issu...

  • Provision of Services (a) The HSP will provide the Services in accordance with, and otherwise comply with: (1) the terms of this Agreement; (2) Applicable Law; and

  • Modification of Services Credit Union reserves the right to modify the Service from time to time without making prior notice to Member, provided, however, that Credit Union will give you at least thirty (30) days notice prior to making any modifications to the Service that would materially alter their functionality.

  • Subcontracting for the Provision of Services (a) The parties acknowledge that, subject to the provisions of the Enabling Legislation, the HSP may subcontract the provision of some or all of the Services. For the purposes of this Agreement, actions taken or not taken by the subcontractor, and Services provided by the subcontractor, will be deemed actions taken or not taken by the HSP, and Services provided by the HSP. (b) When entering into a subcontract the HSP agrees that the terms of the subcontract will enable the HSP to meet its obligations under this Agreement. Without limiting the foregoing, the HSP will include a provision that permits the Funder or its authorized representatives, to audit the subcontractor in respect of the subcontract if the Funder or its authorized representatives determines that such an audit would be necessary to confirm that the HSP has complied with the terms of this Agreement. (c) Nothing contained in this Agreement or a subcontract will create a contractual relationship between any subcontractor or its directors, officers, employees, agents, partners, affiliates or volunteers and the Funder. (d) When entering into a subcontract, the HSP agrees that the terms of the subcontract will enable the HSP to meet its obligations under the FLSA.

  • Inspection of Services Subcontractor shall make the Services accessible at all reasonable times for inspection by the Contractor. Subcontractor shall, at the first opportunity, inspect all material and equipment delivered to the job site by others to be used or incorporated in the Subcontractor’s Services and give prompt notice of any defect therein. Subcontractor assumes full responsibility to protect the work done hereunder until final acceptance by the Contractor or any authorized third (3rd) party.

  • Delegation of Services The Administrator may, at its expense, delegate to one or more entities some or all of the services for the Fund for which the Administrator is responsible under this Subcontract. The Administrator will be responsible for the compensation, if any, of any such entities for such services to the Fund, unless otherwise agreed to by the parties or with the Fund. Notwithstanding any delegation pursuant to this paragraph, the Administrator will continue to have responsibility and liability for all such services provided to the Fund under this Subcontract.

  • Coordination of Services Consultant agrees to work closely with City staff in the performance of Services and shall be available to City’s staff, consultants and other staff at all reasonable times.

HIV TESTING, CONFIDENTIALITY AND DISCLOSURE

  • TERMINATION OF EFT SERVICES You may terminate this Agreement or any EFT service under this Agreement at any time by notifying us in writing and stopping your use of your card and any access code. You must return all cards to the Credit Union. You also agree to notify any participating merchants that authority to make xxxx payment transfers has been revoked. We may also terminate this Agreement at any time by notifying you orally or in writing. If we terminate this Agreement, we may notify any participating merchants making preauthorized debits or credits to any of your accounts that this Agreement has been terminated and that we will not accept any further preauthorized transaction instructions. We may also program our computer not to accept your card or access code for any EFT service. Whether you or the Credit Union terminates this Agreement, the termination shall not affect your obligations under this Agreement for any electronic transactions made prior to termination.

  • Cessation of services The delegation or assignment of CONTRACTOR’s services, operation or administration to another entity without the prior written consent of COUNTY.
