APPOINTMENT OF THE CONTRACTOR. The Company appoints the Contractor to perform the services for the benefit of the Company hereinafter set forth, and the Company authorizes the Contractor to exercise the powers provided under this Agreement. The Contractor accepts this appointment on the terms and conditions herein set forth.
APPOINTMENT OF THE CONTRACTOR. 3.1 The Employer has appointed the Contractor to complete the Works.
3.2 The Contractor undertakes in a proper and workmanlike manner to construct the Works on the Property substantially in accordance with the Building Plan and Schedule of Finishes. The Contractor will supply all material and labour required for the Works. Initial
3.3 In the event of any discrepancy arising between the Building Plans and the Schedule of Finishes, the provisions of the Schedule of Finishes shall prevail.
3.4 The Employer irrevocably grants a power of attorney to the Contractor to sign and submit the Building Plan, duly drawn and Schedule of Finishes to the local authority for its approval.
APPOINTMENT OF THE CONTRACTOR. With effect from the Effective Date, the Contractor will render services to HFSRUIV and HFSRUIV hereby confirms the appointment of the Contractor and the Contractor hereby agrees to act as a Contractor for HFSRUIV. The Contractor undertakes to use its best endeavors to provide the services in accordance with high quality standards and to protect and promote the interests of HFSRUIV in all matters relating to the provision of services hereunder.
APPOINTMENT OF THE CONTRACTOR. 2.1 In consideration of the Concessionaire making the Payments and providing the Public Amenities, the Council hereby grants to the Concessionaire permission to supply, erect and maintain, at its own expense, the Advertising Structures at the Sites for the term of this Agreement, subject to the provisions hereof. The parties confirm that in the event that an additional site becomes available during the term of the Agreement, such additional site will in the first instance be offered to the Concessionaire, subject to the EU procurement rules. Such sites will be offered on terms to be negotiated between the parties in good faith but in any event at terms no less favourable than those set out in this Agreement in relation to the Sites.
2.2 The Concessionaire shall throughout the period of this Agreement provide the Advertising Structures and Public Amenities in accordance with the Specifications and the Concessionaire’s Designs, subject always to the exact number, design, size, nature and locations of the Advertising Structures and Public Amenities being approved in advance in writing by the Council.
2.3 Upon receipt of the approval referred to in sub-clause 2.2 above, the Concessionaire shall:-
2.3.1 prepare all plans and drawings necessary so as to complete proper notification to the relevant planning authority for planning permission in respect of the proposed Advertising Structures and/or Public Amenities,
2.3.2 make any changes requested by the Council to such notifications,
2.3.3 apply to the planning authority for planning permission or licence for the Advertising Structures and/or Public Amenities, the cost of fees due on the relevant planning applications being borne by the Concessionaire,
2.3.4 reply to all queries emanating from the planning authority in respect of the planning applications,
2.3.5 if necessary, submit planning applications to An Bord Pleanála for approval and reply to all queries emanating from An Bord Pleanála in respect of the applications,
2.3.6 commence the erection of the Advertising Structures at the approved location(s) and subject always to the Council having approved the installation of the Public Amenities, the roll out of the Public Amenities, no later than 6 months following the receipt of the grant of final planning permission from the planning authority and/or An Bord Pleanála in relation to the Initial Advertising Structures,

APPOINTMENT OF THE CONTRACTOR. 5.1. The Contractor shall commence the provision of the Services on the Commencement Date and shall thereafter provide and perform the Services continuously throughout the Contract Period with due expedition and without delay in accordance with the Contract.
5.2. On the Commencement Date the council will transfer the equipment to the Contractor.
APPOINTMENT OF THE CONTRACTOR. (a) With effect from the Effective Date, the Contractor will render technical services to HCOL. HCOL hereby confirms the appointment of the Contractor and the Contractor hereby agrees to act as a Contractor for HCOL.
(b) The Contractor undertakes to use its best endeavors to provide the technical services specified herein to HCOL and to grant HCOL access to the IT Platform Systems of the Höegh LNG Group in accordance with high quality standards and to protect and promote the interests of HCOL in all matters relating to the provision of services hereunder.

APPOINTMENT OF THE CONTRACTOR. 4.1 The Client hereby appoints the Contractor to render the Contractor services in accordance with the terms and conditions of this agreement for a period of thirty six (36) months, subject to the provisions of the Municipal Finance Management Act (Act 56 of 2003 and amendments and referred to hereinafter as the MFMA), with effect from the date of signature of this agreement.
4.2 The Contractor hereby accepts the appointment to render the Contractor services in accordance with the terms and conditions of this agreement.
4.3 The Contractor shall be obliged to exercise all reasonable skill, care and diligence in the delivery of the Contractor services.
4.4 The Contractor shall be obliged to continue to provide the Contractor services pending the resolution of any dispute between the parties.
4.5 Should any law be amended or declared unconstitutional by a competent court and thereby materially impact on the parties’ ability to fulfill their obligations in terms of the provisions of this agreement, then either party shall be entitled to call upon the other to renegotiate the terms of this agreement. In such event, representatives of the parties shall meet at a mutually convenient place and time which shall, in any event, be within 7 (seven) days of the date on which such renegotiation has been called for by the Contractor as aforesaid (“the renegotiation meeting”). The purpose of such negotiations and subsequent amendment will be, as far practicably possible, to place the parties in the same position as they were in terms of the contract before the amendment thereto.
APPOINTMENT OF THE CONTRACTOR. 2.1 The Contractor shall:- (i) perform all of the Services during the Term; (ii) deliver the Services in accordance with the Project Timetable and the Service Level Agreement and in accordance with the Specifications; and (iii) the Contractor shall be responsible for the delivery and acceptance process set out herein. The Contractor shall appoint one or more Project Manager responsible for the administration of this Contract in accordance with the terms agreed herein.
2.2 In providing the Services hereunder, the Contractor shall at all times ensure the diligent, due and proper execution of the Services by its Personnel. The Contractor shall use up-to-date, relevant professional techniques and standards in order to carry out the Services with the care, skill and diligence required in accordance with the Good Industry Practice, the Quality Standards, all applicable laws, enactments, orders, regulations, standards and other statutory instruments and all applicable terms and conditions of this Contract.
2.3 The Contractor shall be responsible for the accuracy of all drawings, documentation and information supplied to the Bank by the Contractor in connection with the supply of the Services.
2.4 The Bank may inspect and examine the manner in which the Contractor provides the Services during normal business hours on reasonable notice.
2.5 Any date, deadline, or period mentioned in this Contract may be extended by the Bank but otherwise time shall be of the essence for any obligation of the Contractor set out in this Contract.
