Assignment of Key Personnel. (a) Contractor will assign individuals from within Contractor's organization to the Key Personnel positions to carry out the Work. (b) Key Personnel will be familiar with programs similar to Owner's program; Contractor shall make individuals who shall replace Key Personnel fully cognizant of the Project prior to such replacement. (c) Before assigning an individual to any Key Personnel positions, whether as an initial assignment or a subsequent assignment, Contractor shall notify Owner of the proposed assignment, shall introduce the individual to appropriate Owner representatives and, upon request, provide such representatives with the opportunity to interview (either in person or by phone) the individual and shall provide Owner with the individual's resume. If Owner in good faith objects to the qualifications of the proposed individual within ten (10) Business Days after being afforded the opportunity to interview the proposed individual, Contractor shall discuss such objections with Owner and resolve such concerns on a mutually agreeable basis or, if unable to do so, select another candidate in accordance with the procedures set forth in this Article 14.3 (Assignment if Key Personnel). Failure on the part of Owner to express its objections within ten (10) Business Days of such notice shall be deemed acceptance of the assignment of such individual. The Key Personnel that have been approved as of EDC are listed in Attachment A (Key Personnel) hereto. Should the individuals filling the positions of Key Personnel leave such positions for whatever reason, Contractor shall follow the procedures set forth in this Article 14.3 (Assignment of Key Personnel) to select replacement personnel.
Assignment of Key Personnel. 29.3.1 Contractor will assign individuals from within Contractor’s organization to the Key Personnel positions to carry out the Work. Such individuals shall be fully competent and skilled to perform the services required of them pursuant to this Contract. 29.3.2 Key Personnel will be familiar with programs similar to Purchaser’s program. 29.3.3 Before assigning an individual to any Key Personnel positions, whether as an initial assignment or a subsequent assignment, Contractor shall notify Purchaser of the proposed assignment, shall introduce the individual to appropriate Purchaser representatives and, upon request, provide such representatives with the opportunity to interview the individual and shall provide Purchaser with the individual’s resume. If Purchaser in good faith objects to the qualifications of the proposed individual within fifteen (15) Business Days after being notified thereof, then Contractor agrees to discuss such objections with Purchaser and attempt to resolve such concerns on a mutually agreeable basis; however, Contractor retains the unilateral right to make all decisions regarding the assignment of Contractor personnel to the program. The Key Personnel that have been identified as of the Effective Date of Contract are listed in Attachment B (Key Personnel). Should the individuals filling the positions of Key Personnel leave such positions for whatever reason, Contractor shall follow the procedures set forth in this Article 29 to select replacement personnel. Contractor shall use reasonable best efforts to retain such personnel on Purchaser’s program for the duration of such program.

Assignment of Key Personnel. Contractor will use commercially reasonable efforts to keep the key individuals identified as “Key Personnel” in the applicable Statement of Work dedicated to the performance of this Contract. In the event that it is necessary to replace a Key Personnel, such replacement shall have equivalent or better qualifications as the Key Personnel being replaced and shall be sufficiently briefed by the former Key Personnel, in order to minimize disruption of the Project. Prior to replacing any Key Personnel, Contractor shall provide Customers with information reasonably requested by Customers regarding such person’s qualifications, and Contractor shall, at Customers’ request, meet with Customers to discuss any concerns Customers has with regard to the replacement and shall take such concerns into consideration prior to assigning such person to the Customers project. For the avoidance of doubt, Contractor shall always be free to take any measure with regard to Key Personnel which it is obliged to take under any applicable law.

If Customer in good faith objects to the qualifications of the proposed individual after being notified thereof, then Contractor agrees to discuss such objections with Customer and resolve such concerns on a mutually agreeable basis, including selecting alternative personnel. Customer may object to any Key Personnel during the course of the program, or in the event any individual filling a Key Personnel position leave such position for whatever reason, Contractor shall follow the procedures set forth in this Article 15.3 to select replacement personnel.

All Key Personnel shall have significant and reasonable relevant experience and expertise. Before assigning an individual to any Key Personnel position, whether as an initial assignment or a subsequent assignment, Contractor shall notify Purchaser of the proposed assignment, shall introduce the individual to Purchaser (and, upon request of Purchaser, provide Purchaser with the opportunity to interview the individual) and shall provide Purchaser with a resume and other information reasonably requested by Purchaser. If Purchaser in good faith objects to the proposed assignment within fifteen (15) Business Days after being notified thereof, Contractor shall not assign the individual to that position and shall propose to Purchaser the assignment of another individual of suitable qualifications and experience, the criteria of which are to be mutually agreed by Purchaser and Contractor acting reasonably. Should the individuals filling the positions of Key Personnel leave such positions for whatever reason, Contractor shall follow the procedure set forth in this Article to assign replacement personnel. Key Personnel shall not be assigned to other duties without the Purchaser giving prior written consent.

Assignment of Key Personnel. Contractor shall assign individuals only from within Contractor’s organization to fill the Key Personnel positions. All Key Personnel shall have significant relevant experience and expertise, as evaluated by Contractor at Contractor’s discretion, and with due consideration of any legitimate comments that Purchaser may raise. Contractor shall, as of EDC, provide to Purchaser a list of the actual or candidate Key Personnel. For candidate Key Personnel not assigned as of EDC, Contractor will provide details as to the relevant experience and expertise of such candidate Key Personnel prior to their assignment to the Work contemplated under this Contract. The Contractor shall be entitled to remove Key Personnel from performance of the Work under this Contract with personnel of substantially similar qualifications and experience as evaluated by Contractor at Contractor’s discretion taking into account any legitimate concerns that Purchaser may express to Contractor. Purchaser shall have the right to review the qualifications of any proposed replacement Key Personnel. If Purchaser deems, in its reasonable judgment, the proposed replacements to be unsuitable, Purchaser may require Contractor to offer alternative Key Personnel candidates. Notwithstanding its role in reviewing Key Personnel and their candidate replacements as described in this Article 32.3, Purchaser shall have no supervisory control over their performance.
