Base Service Levels. During the Term and the Termination Assistance Period, Supplier shall perform the Services in accordance with the applicable Service Levels. The Base Service Levels shall be specified in Schedule 8, or, for Base Service Levels not specified in Schedule 8 as of the Effective Date, determined in accordance with the process in Schedule 8 for establishing Base Service Levels.
Base Service Levels. In addition to any Service Level Objective, each Service Provider shall perform the Services in a timely, professional and workmanlike manner consistent with the manner in which the Seller (or the relevant Service Provider) provided the same or similar services to the Company Group Entities as of the Signing Date and immediately prior to the Closing and in accordance with (a) this Agreement, including the applicable Service Description Schedule, (b) applicable Legal Requirements and Governmental Approvals and (c) no less than the same degree of care, skill, quality and timeliness as it exercised in performing the same or similar services for the Business prior to the Closing Date (and the Comparison Period).

  • Service Levels (1) DTI shall perform the Services in accordance with the service levels (the "Service Levels") as may be agreed to from time to time in writing by DTI and the Funds (the "Service Level Agreement"). Failure to perform in a manner which equals or exceeds the Service Levels shall result in fee credits ("Fee Credits") or the Funds' right to terminate this Agreement, as set forth in the Service Level Agreement.

  • Service Level Service Provider will classify incidents at its own discretion. Such classifications shall be consistent with the priorities Service Provider set for itself as a recipient of services. Incidents classified using this methodology will be triaged as documented in Attachment A.

  • Service Level Agreement Subject to the terms and conditions of this Agreement, Bank agrees to perform the custody services provided for under this Agreement in a manner that meets or exceeds any service levels as may be agreed upon by the parties from time to time in a written document that is executed by both parties on or after the date of this Agreement, unless that written document specifically states that it is not contractually binding.   • Compliance Support Services Provide compliance policies and procedures related to services provided by BNY Mellon and, if mutually agreed, certain of the BNY Mellon Affiliates; summary procedures thereof; and periodic certification letters. · Such Compliance Support Services are administrative in nature and do not constitute, nor shall they be construed as constituting, legal advice or the provision of legal services for or on behalf of a Fund or any other person, and such services are subject to review and approval by the applicable Fund and by the Fund’s legal counsel. · Provide access to Fund records so as to permit the Fund or TRP to test the performance of BNY Mellon in providing the services under this Agreement. · Such Compliance Support Services performed by BNY Mellon under this Agreement shall be at the request and direction of the Fund and/or its chief compliance officer (the “Fund’s CCO”), as applicable. BNY Mellon disclaims liability to the Fund, and the Fund is solely responsible, for the selection, qualifications and performance of the Fund’s CCO and the adequacy and effectiveness of the Fund’s compliance program.
