TERMINATION ASSISTANCE PERIOD. Throughout the Termination Assistance Period, or such shorter period as the Customer may require, the Supplier shall: continue to provide the Goods and/or Services (as applicable) and, if required by the Customer pursuant to paragraph 6.1 of this Contract Schedule 10, provide the Termination Assistance; in addition to providing the Goods and/or Services and the Termination Assistance, provide to the Customer any reasonable assistance requested by the Customer to allow the Goods and/or Services to continue without interruption following the termination or expiry of this Contract and to facilitate the orderly transfer of responsibility for and conduct of the Goods and/or Services to the Customer and/or its Replacement Supplier; use all reasonable endeavours to reallocate resources to provide such assistance as is referred to in paragraph 7.1.2 of this Contract Schedule 10 without additional costs to the Customer; provide the Goods and/or Services and the Termination Assistance at no detriment to the Service Level Performance Measures, save to the extent that the Parties agree otherwise in accordance with paragraph 7.3; and at the Customer's request and on reasonable notice, deliver up-to-date Registers to the Customer. Without prejudice to the Suppliers obligations under paragraph 7.1.3 of this Contract Schedule 10, if it is not possible for the Supplier to reallocate resources to provide such assistance as is referred to in paragraph 7.1.2 of this Contract Schedule 10 without additional costs to the Customer, any additional costs incurred by the Supplier in providing such reasonable assistance which is not already in the scope of the Termination Assistance or the Exit Plan shall be subject to the Variation Procedure. If the Supplier demonstrates to the Customer's reasonable satisfaction that transition of the Goods and/or Services and provision of the Termination Assist during the Termination Assistance Period will have a material, unavoidable adverse effect on the Suppliers ability to meet one or more particular Service Level Performance Measure(s), the Parties shall vary the relevant Service Level Performance Measure(s) and/or the applicable Service Credits to take account of such adverse effect.

Without prejudice to the Supplier’s obligations under paragraph 7.1.3 of this Contract Schedule 2, if it is not possible for the Supplier to reallocate resources to provide such assistance as is referred to in paragraph 7.1.2 of this Contract Schedule 2 without additional costs to the Customer, any additional costs incurred by the Supplier in providing such reasonable assistance which is not already in the scope of the Termination Assistance or the Exit Plan shall be subject to Clause 4 (Variation and Extension).
TERMINATION ASSISTANCE PERIOD. Flextronics shall provide the Termination Assistance Services, and Nortel Networks shall pay applicable fees for provision of Termination Assistance Services for a period of up to four (4) months after the Conclusion Date (“Termination Assistance Period”), at [•].
TERMINATION ASSISTANCE PERIOD. Neoforma shall commence providing Termination Assistance Services (i) with respect to the scheduled expiration of this Agreement, 90 days prior to such scheduled expiration or such earlier date as Novation may reasonably request, and (ii) with respect to any termination of this Agreement, upon the delivery of the notice of termination. Neoforma shall continue providing Termination Assistance Services through the effective date of the expiration or termination of this Agreement and for a period of not less than * days thereafter (the "Termination Assistance Period"). TERMINATION ASSISTANCE PERIOD. 29.8 Throughout the Termination Assistance Period the Supplier shall:
TERMINATION ASSISTANCE PERIOD. 4.1 Provider will, during the Termination Assistance Period, perform and observe its obligations under or in connection with the employment or engagement of each member of Provider Staff who fulfills an Expected Removed Services Position, whether arising under contract, applicable Law or in the ordinary and usual course of business.
4.2 Provider will during the Termination Assistance Period, other than with the prior written consent of Customer, not:
(A) make or propose any material change to the terms and conditions of employment or engagement of any member of Provider Staff which fulfills an Expected Removed Services Position, unless required by or provided for in any collective (labor) agreement or under any contract of employment or engagement or in the ordinary and usual course of business; or
(B) make any changes to the duties or involvement or engagement in the provision of the Removed Services by any member of Provider Staff that fulfills an Expected Removed Services Position (other than to achieve the performance of an obligation under the Agreement);
(C) except for any changes which are made in the ordinary and usual course of business, assign an employee, who is not a member of Provider Staff which fulfills an Expected Removed Services Position, to the provision of the Removed Services and Customer will not unreasonably withhold or delay its consent; or
(D) except for any changes which are made in the ordinary and usual course of business, assign a member of Provider Staff which fulfills an Expected Removed Services Position to the provision of services which do not form part of the Removed Services and Customer will not unreasonably withhold or delay its consent.
4.3 During the Termination Assistance Period, Customer and/or New Provider(s) will not announce or propose any change to the terms and conditions of employment of a Removed Services Employee after the Exit Service Transfer Time, unless the Parties have fulfilled and finalized any local statutory or contractual obligation to consult with the relevant local works council, trade unions and other relevant employee representative bodies in a manner satisfactory to the Parties.
