Baseline Period. During the first six (6) months Contractor begins to take operational calls under this Agreement (“Baseline Period”), the parties will collaborate to evaluate and refine Performance Measurement Standards based upon the call volumes and arrival patterns established during the Baseline Period. Contractor shall take reasonable efforts to staff sufficiently during the Baseline Period to meet or exceed the Performance Measurement Standards listed below.
Baseline Period. “Baseline Period” shall mean a time period of not less than five years immediately preceding the export of any groundwater by SNWA from Snake Valley. The Baseline Period will begin when SNWA provides notice to Utah.
Baseline Period. 1.1.1 Commencing on the date You accept this Agreement (“Effective Date”) and continuing for a period of thirty (30) days’ thereafter (the “Baseline Period”), Innovyze will make a version of the Services (“Baseline Services”) available to You for purposes of determining the pricing for the Services. The performance (energy and chemical consumption along with any other savings included in targeted savings as set forth in the Order Form) of plant operations of the Baseline Services utilized during the Baseline Period will be compared against the performance over periods during which the plant operations do not utilize the Baseline Service. This calculation will be based on data sets or feeds from those of Your facilities (“Installation Sites”) mutually agreed upon by the Parties. The fees for the Services will be the amounts set forth in the Order Form, unless Your savings from the use of the Baseline Services during the Baseline Period at the applicable Installation Site is less than the targeted savings set forth in the Order Form, in which case during the Initial Term such fees will be proportionally reduced to reflect the difference between the targeted savings and the actual savings. After the Initial Term, the fees for Services may be adjusted pursuant to Section 2.1. 1.1.2 To the extent You supply any such data during the Baseline Period, the data will be deemed Your Data (as defined below) for purposes of this Agreement. Innovyze will provide You with reasonable training and assistance to enable Your use and evaluation of the Baseline Services.

Baseline Period. “Baseline Period” shall mean an annual period specified in the applicable NOFA in which an Applicant has previously carried out Qualified Activities (as hereinafter defined).
Baseline Period. The Baseline Period shall be the 12-month period consisting of the twelve full calendar months immediately preceding the execution of this Amendment.
Baseline Period. A defined period of time evaluated and determined to be representative of premises operation, energy and utility use. For this project, the Baseline Period (referred to as “Baseline” throughout this Agreement) is defined as the period from October 2018 through September 2019.

  • Contract Year A twelve (12) month period during the term of the Agreement commencing on the Effective Date and each anniversary thereof.

  • Adjusted EBITDA The 2019 adjusted EBITDA for the Affiliated Club Sellers shall total an aggregate of not less than $10,700,000.

  • INTERIM MAINTENANCE PERIOD During the interim maintenance period between obtaining of the completion certificate of such Project and formation and operationalization of the Association the Promoter shall through itself or through a facility management company to run, operate, manage and maintain the Common Areas. The Promoter shall endeavour that the committee responsible for the maintenance and operation of the Common Areas will be required to provide manpower for maintaining the Common Areas, wherever required, and to collect maintenance charges and also guest charges and the user charges for the utilities being provided on “pay by use” basis, if any. The maintenance and management of Common Areas by the committee will primarily include but not limited to maintenance of water works, common electrical installations, DG Sets, landscaping, driveways, parking areas, lobbies, lifts and staircases, AMC’s etc. It will also include safety and security of the Project such as fire detection and protection and management of general security control of the Project. The Rules/ Bye Laws to regulate the use and maintenance of the Common Areas shall during the interim maintenance period shall be framed by the Promoter with such restrictions as may be necessary for proper maintenance and all the Allottees are bound to follow the same. After the Common Areas of the Project are handed over to the Association, the Association may adopt the Rules and the Bye laws framed by the Promoter, with or without amendments, as may be deemed necessary by the Association.

  • Maintenance Period During the Maintenance Period the Developer shall at its own expense maintain repair and otherwise keep the Works in good working order and repair to the reasonable satisfaction of xxx Xxxxxxxxxx unless xxx Xxxxxxxxxx shall declare that any required maintenance and/or repair is an emergency in which case the Developer shall carry out the said maintenance and/or repair immediately

  • End of Fiscal Years; Fiscal Quarters The Borrower will cause (i) each of its fiscal years to end on December 31 of each year and (ii) its fiscal quarters to end on March 31, June 30, September 30 and December 31, respectively, of each year.

  • Evaluation Period Until 5:00 p.m. Eastern time on August 16, 2002 (the "Evaluation Period"), Purchaser and its authorized agents and representatives (for purposes of this Article V, the "Licensee Parties") shall have the right, subject to the right of any Tenants, to enter upon the Real Property at all reasonable times during normal business hours to perform an inspection of the Real Property, the Improvements and the Personal Property. Purchaser will provide to Seller notice (for purposes of this Section 5.1(a), an "Entry Notice") of the intention of Purchaser or the other Licensee Parties to enter the Real Property at least 24 hours prior to such intended entry and specify the intended purpose therefor and the inspections and examinations contemplated to be made and with whom any Licensee Party will communicate. At Seller's option, Seller may be present for any such entry and inspection. Purchaser shall not communicate with or contact any of the Tenants or any of the Authorities without the prior written consent of Seller, which consent shall not be unreasonably withheld or delayed. If Purchaser shall elect to communicate with any of the Authorities and Seller consents thereto, Purchaser shall give Seller prior notice thereof, and Seller and Seller's representatives shall have the right, but not the obligation, to attend, and participate in, all such meetings. Notwithstanding anything to the contrary contained herein, no so-called Phase II environmental physical testing or sampling shall be conducted during any such entry by Purchaser or any Licensee Party upon the Real Property without Seller's specific prior written consent, which consent shall not be unreasonably withheld or unduly delayed.
