Basis of Fee. COMPANY shall pay CONTRACTOR for CONTRACTOR'S ------------ performance of the Contract an amount (the "CONTRACT AMOUNT") consisting of (i) the CONTRACTOR'S Fee described in Section 16.3 below plus (ii) the actual and ------------ reasonable and documented costs necessarily incurred by CONTRACTOR in the performance of the Contract, including performance of Pre-Contract design services, as detailed in Section 16.2 below (the "REIMBURSABLE COSTS"), plus ------------ (iii) all value added taxes due upon (i) and (ii) above.

Related to Basis of Fee

  • Basis of Agreement Subject to the terms and conditions herein provided, during the period of this Agreement, the Managers shall carry out Management Services in respect of the Vessel as agents for and on behalf of the Owners. The Managers shall have authority to take such actions as they may from time to time in their absolute discretion consider to be necessary to enable them to perform this Agreement in accordance with sound ship management practice.

  • Basis of Computation Interest accrued hereunder shall be computed for the actual number of days elapsed on the basis of a 360-day year.

  • Billing of Fees Both the Open and Closed Account Fees shall be billed by the Transfer Agent monthly in arrears on a prorated basis of 1/12 of the annualized fee for all such accounts.

  • Allocation of Risk Licensee acknowledges and agrees that each provision of this Agreement that provides for a disclaimer of warranties or an exclusion or limitation of damages represents an express allocation of risk, and is part of the consideration of this Agreement.

  • Calculation of Fees Ameriprise will have sole responsibility, and Ameriprise’s records will provide the sole basis, for calculating fees for which Ameriprise invoices under this Agreement. However, the Issuer Entities may provide records to assist Ameriprise in its calculations.

  • Payment of Fee The Trust (and/or the Distributor) shall pay the Website Hosting and Notice Fee to the Company, in full, within 30 business days after the end of the semi-annual period.
