Certificate of Trustee. The Company will furnish to the Trustee annually, on or before a date not more than four months after the end of its fiscal year (which, on the date hereof, is a calendar year), a brief certificate (which need not contain the statements required by Section 10.04) from its principal executive, financial or accounting officer as to his or her knowledge of the compliance of the Company with all conditions and covenants under this Indenture (such compliance to be determined without regard to any period of grace or requirement of notice provided under this Indenture) which certificate shall comply with the requirements of the Trust Indenture Act.
Certificate of Trustee. At the Closing Time, the Representative shall have received a certificate, dated as of the Closing Time, of The Bank of New York Mellon, as Trustee, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such certificate for each of the other Underwriters, to the effect set forth in Exhibit C hereto.
Certificate of Trustee. The Company shall have delivered to Acquiror a certificate from the indenture trustee with respect to the Notes, in form and substance reasonably satisfactory to Acquiror, to the A-28 29 effect that the Trustee has not, as of the Closing Date, received any notice of and is not aware of any default or event of default with respect to the Notes.
Certificate of Trustee. A Certificate of the Trustee, dated the date of Closing, in form and substance acceptable to counsel for the Underwriter to the following effect:
(i) The Trustee is a banking organization with trust powers organized and validly existing under the laws of the State of New York and is fully qualified to do business and to exercise trust powers in the State, having full power and authority to accept and perform its duties under the Trust Indenture; and
(ii) No consent, approval, authorization or other action by any governmental authority having jurisdiction over the Trustee that has not been obtained is or will be required for the authentication of the Bonds or the consummation by the Trustee of the other transactions contemplated to be performed by the Trustee in connection with the authentication of the Bonds and the acceptance and performance of the obligations as set forth in the Bond Ordinance and the Trust Indenture.
Certificate of Trustee. A certificate, dated the Closing Date, signed by a duly authorized officer of the Trustee, to the effect that (i) the Trustee is a national banking association, duly organized and validly existing and in good standing under the laws of the United States, having full power and being qualified to enter, accept and administer the trust created under the Indenture and, (ii) all approvals, consents and orders of any governmental authority or agency having jurisdiction in the matter that would constitute a condition precedent to the performance by the Trustee of its duties and obligations under the Indenture and Escrow Agreement have been obtained and are in full force and effect, and (iii) the acceptance of the duties and obligations of the Trustee under the Indenture, and the consummation of the transactions on the part of the Trustee contemplated therein, and the compliance by the Trustee with the terms, conditions and provisions of such documents do not contravene any provisions of applicable law of regulation or any order or decree, writ or injunction of the Articles of Incorporation or Bylaws of the Trustee, and, to the best of such officer’s knowledge, will not require the consent under, or result in a beach of or default under, any resolution, agreement or other instrument to which the Trustee is a party or by which it may be bound;
Certificate of Trustee. A certificate, dated the Closing Date, signed by a duly authorized officer of the Trustee, to the effect that (i) the Trustee is a national banking association, duly organized and validly existing and in good standing under the laws of the United States, having full power and being qualified to enter, accept and administer the trust created under the Indenture,
Certificate of Trustee. Any certificate in writing executed by the Trustee setting forth the existence of any fact the existence of which is necessary to authorize the execution of any instrument or the taking of any action by the Trustee, or setting forth any other facts in relation to the trust created hereby, shall, as to all persons acting in good faith in reliance thereon, be conclusive evidence of the truth of the statements made in such certificate and of the existence of the facts therein stated to exist.
Certificate of Trustee. The undersigned hereby states and certifies that the undersigned is an authorized officer of Xxxxx Fargo Bank, National Association (the “Bank”), which is acting as trustee under that certain Indenture of Trust, dated as of September 1, 2016 (the “Bond Indenture”), by and between Improvement Area No. 1 of Community Facilities District No. 7 the City of Xxxxxx Valley (the “Issuer”) and the Bank, and as such, is familiar with the following facts and is authorized and qualified to certify the following facts on behalf of the Bank:
