Chairperson and Deputy Chairperson. 109 (1) The Directors may from time to time appoint a Deputy Chairperson, who in the absence of the Chairperson at a meeting of the Directors, may exercise all the powers and authorities of the Chairperson.

Chairperson and Deputy Chairperson. (1) The Board shall elect from among its members a Chairperson and Deputy Chairperson. (2) Subject to paragraphs (3) and (4), the Chairperson shall preside at all meetings of the Board and shall have an original and a casting vote. (3) In the absence of the Chairperson, the Deputy Chairperson shall perform the functions of Chairperson of the meeting, subject to the quorum for the meeting being met. (4) In the absence of both the Chairperson and the Deputy Chairperson, the Directors present shall elect one of their members to preside and perform the functions of Chairperson of the meeting, subject to the quorum for the meeting being met.
Chairperson and Deputy Chairperson. The Chairperson and the Deputy Chairperson are appointed by the Supervisory Board from among its members in accordance with the rules of the Constitution. The Chairper- son is generally responsible for: a) chairing Supervisory Board and shareholder meetings (although another person may chair shareholder meetings, as determined by the Constitution), setting the Supervisory Board’s agenda and seeking to ensure that adequate time is available for discussion of all agenda items, in particular strategic issues; b) seeking to ensure that members of the Supervisory Board are briefed on Supervi- sory Board matters and leading the Supervisory Board in reviewing and discussing Supervisory Board matters; c) seeking to facilitate effective contribution by all members of the Supervisory Board and monitoring Supervisory Board performance; d) seeking to promote constructive and respectful relations between Supervisory Board members and between the Supervisory Board and the Management Board; e) maintaining contact with the Management Board, in particular, with the Chairper- son of the Management Board, and consult with them in particular on issues of strategy, planning, business development, risk situation, risk management and compliance; and f) seeking to achieve the objective that membership of the Supervisory Board is skilled and appropriate for the Company’s needs. The Chairperson of the Supervisory Board shall not be the Chairperson of the Audit and Risk Committee. The Deputy Chairperson has the rights and obligations of the Chairperson in case the Chairperson is indisposed or unavailable.

  • Chairperson The Chairperson will supervise and control the affairs of the Committee and shall exercise such supervisory powers as may be given him/her by the Members of the Committee. The Chairperson will perform all duties incident to such office and such other duties as may be provided in these bylaws or as may be prescribed from time to time by the Committee.
