Change in Key Personnel. Prior to reassigning any specified Key Personnel, the Professional Services Contractor shall notify Princeton University reasonably in advance and shall submit justification (including proposed substitutions) in sufficient detail to permit evaluation of the impact on the services or project identified in the RO. Individual ROs may be amended from time to time to either add or delete Key Personnel, as appropriate. Any change to the Key Personnel is subject to Princeton University’s prior written approval, which shall not be unreasonably withheld, and any such change made without the prior written approval of Princeton University may be considered a material breach of the BOA.

To assist Princeton University in making an evaluation as to particular substitute Key Personnel, the Professional Services Consultant shall provide Princeton University with biographical information (including references) as to said employee and will afford Princeton University an opportunity to interview the proposed replacement so as to enable Princeton University to make an informed decision.

The Recipient must provide the CDFI Fund with a Certificate of Good Standing from the Secretary of State for the Recipient’s jurisdiction of formation. This certificate can often be acquired online on the secretary of state website for the Recipient’s jurisdiction of formation and must be dated within 180 days of the date the Authorized Representative executes the Assistance Agreement. Recipients that are regulated institutions do not have to provide a Certificate of Good Standing. If the Tribal Government does not normally provide a Certificate of Good Standing, the Recipient may provide a letter from the Tribal Government confirming the Recipient is validly incorporated and is in good standing under the laws of the Tribal Government and is registered to conduct business. Offices within the Tribal Government that may be able to provide a letter with this information include: Officer/Secretary of the Tribal Council, Bureau of Indian Affairs Office, Executive Secretary of the Tribe, in house Tribal Legal office, Tribe Finance Office (head of Finance Department), or the Tribal Operations office. Change in Key Personnel. Give the Agent prompt notice of any changes or pending changes with respect to any Key Personnel, including any material changes to the duties and responsibilities of any Key Personnel and use commercially reasonable efforts to replace any Key Personnel with an individual reasonably satisfactory to the Agent within 60 days of any vacancy; provided that, in any event, the Parent shall replace the chief executive officer and the chief financial officer with an individual reasonably satisfactory to the Agent within 120 days of any vacancy.

Recipients have 12 months from the end of the Assessment Period to disburse on Qualified Activities and 15 months from the end of the Assessment Period to request the corresponding subsequent payment of their awards. The CDFI Fund anticipates that Recipients will be able to submit subsequent payment requests, starting January 15, 2021 and the corresponding deadline will be March 31, 2021.
