CHANGES TO ORDER. The Company” may change this Order in any respect at any time by written notice to Seller. Seller will promptly notify “The Company” if any such change materially affects Seller's costs of producing the Goods or delivery schedule for them. On receipt of such notice and such supporting documentation as “The Company” may reasonably require, “The Company” will adjust the price and/or schedule equitably, at its discretion, and this Order will be deemed amended accordingly.

CHANGES TO ORDER. Buyer may change this Order in any respect at any time on written notice to Seller. If any change made by Buyer materially affects Seller's costs of producing the Goods, the purchase price of the affected Goods will be equitably adjusted and this Order amended accordingly.

CHANGES TO ORDER. Xxxxx's Order7 and these Terms and Conditions are irrevocable and cannot be cancelled except by express written agreement executed by an authorized agent of Seller. Either Party8 may cancel such agreement at any time with thirty (30) days’ written notice. Any changes by Buyer to quantities or specifications in any Order that constitute an additional order for special colors, textures, etc., will (i) require written approval from an authorized officer of Seller, and (ii) be subject to an additional charge for set-up.

CHANGES TO ORDER. Hydro shall have the right to make changes to this order, including, but not limited to, changes in (a) quantity, (b) drawings and specifications, and (c) method of packing or shipment. Should any change affect any prices contained herein, Seller shall, before proceeding, notify Hydro of any price changes and receive Hydro’s agreement thereto. No modification, alteration or amendment to this order shall be effective unless in a written change order signed by Hydro and acknowledged by Hydro. Any changes not so authorized shall not be paid for by Hydro.
CHANGES TO ORDER. Due to the custom nature of Xxxxxx’s work, Xxxxx understands and agrees that changes to the Order after manufacturing has begun may not be possible. Xxxxx therefore agrees that, subject to the discretion of Seller, Xxxxx will be responsible for the entire Price of the Order after manufacturing begins.
CHANGES TO ORDER. XXXXX xxx, with the written consent of XXXXX, make changes to his purchasing order. In the event of any such change, BUYER shall pay to PROZA the reasonable costs and other expenses. These would include engineering expenses, costs of semi-finished parts or products, and costs of all commitments to its suppliers and sub-contractors: a) incurred by PROZA prior to receipt of notice of change for all the work rendered unnecessary by the change and/or b) incurred by PROZA thereafter for all the work required to effect the change. The amount will be determined by PROZA by considering specific costs and other expenses as well as PROZA’s usual rate of profit for similar work. In the event of any such change, PROZA shall be entitled to revise its price and delivery schedule accordingly. Delivery terms are ExWorks Xi’an/China (Incoterms 2000). The delivery terms are quoted during quotation and are confirmed on the order-confirmation. If the delivery address is not specifically mentioned on the purchasing order, XXXXX’s address is considered as the default address for delivery. PROZA will do its best to ship (dispatch) the ordered goods on time. When the goods are shipped (dispatched), PROZA will inform by fax BUYER of the shipment details with a document of <<Delivery Notes>>. Unless otherwise stated in writing, the delivery shall be deemed to take place and the risk shall be transferred automatically to BUYER after the ordered goods are dispatched from PROZA and the <<Shipment Notes>> is transferred by fax to the customer. Delivery date (or lead-time) quoted by XXXXX is approximate and is therefore based on prompt receipt of all necessary information regarding the purchasing order. PROZA will use its utmost effort to meet the scheduled delivery date (lead-time), but cannot be held responsible for its failure to do so for causes beyond PROZA’s reasonable control. PROZA reserves the rights to execute partial deliveries with corresponding invoicing. Exceeding of the approximate delivery date should not lead to the dissolution of the purchase, refusal of reception of the goods or claim for compensation. Exceeding of the approximate delivery date can therefore not lead to the cancellation of the purchasing order.
