Client Portal. 13.1 The Client, at Our discretion, may, from time to time, be given access to a private space on the xx00.xxx website, where they will have access to any resources and tools that xx00.xxx may, from time to time, deem appropriate. Where the Client accesses the xx00.xxx website for this purpose, the Client is required to comply with the terms of use and privacy policy notified on the xx00.xxx website. 13.2 Where the Client accesses items, designs, materials and other works made available to them, the Client agrees not to copy, issue to third parties, display or adapt the items, designs and other works, except where the Client is in possession of the relevant title to do so, or where the Client has permission from the copyright holder.

Client Portal. 6.1 This Clause 6 is relevant where the provision of Services under this Agreement (as set out in the Service Confirmation Form) includes access by the Client to and/or delivery of Services and/or reporting via the Client Portal. 6.2 Following the Commencement Date, and payment of the requisite Set-Up and Implementation Fees, PayPoint shall create a Client Profile and shall provide the Client (via the Nominated Client Contact) the Supervisor Access Identifier and Access Identifiers for all initially requested Users. 6.3 PayPoint shall provide initial training material to the Client on using the Client Portal. 6.4 In addition to PayPoint’s right to terminate or suspend the provision of Service for breach by the Client of its obligations under this Agreement, the Client acknowledges that its access to the Client Portal may be immediately suspended if: 6.4.1 Emergency maintenance is required, though PayPoint will use all reasonable endeavours to ensure that such suspension is for a short a period of time as reasonably possible; 6.4.2 There is, or there is suspected to be, a security breach or denial of service attack or other attack on the Services, in which event PayPoint shall use all reasonable endeavours to rectify the security breach or attack on the Services as soon as reasonably possible; 6.4.3 There is any other event, including fraud, which, at PayPoint’s sole discretion, may create a risk to the Services, the Client or any other of PayPoint’s clients, if the Services are not suspended, in which event PayPoint shall use all reasonable endeavours to eliminate the risk to the Services as soon as reasonably practicable; or 6.4.4 It is required due to regulatory or legal reasons.
