Compliance with Law and Standards. Executive shall at all times comply with all applicable laws, rules and regulations of any and all governmental authorities and the applicable standards, bylaws, rules, compliance programs, policies and procedures of the Company of which Executive has knowledge.

Employee shall at all times comply with all applicable laws, rules and regulations of any and all governmental authorities and the applicable standards, bylaws, rules, compliance programs, policies and procedures of the Company of which Employee has knowledge (including any policies that apply only to executives, notwithstanding the fact that Employee’s employment hereunder is in a non-executive capacity). Employee further agrees that Employee will not engage in any conduct which, in the reasonable determination of the Company, adversely affects the image or business of the Company or would impair in any material respect Employee’s ability to carry out Employee’s duties hereunder except as otherwise required by a court, law, governmental agency or regulation.

At all times during the term of this agreement, Provider shall comply and shall cause Provider’s employees, agents and subcontractors to comply with all applicable federal, state and municipal statutes, ordinances, rules and regulations, and all applicable rules and regulations of any accrediting or regulatory body.

The Improvements shall be constructed, installed and erected and all work on the Premises shall be performed in accordance with all Applicable Laws; provided, however, that the Improvements erected on the Premises, shall be deemed to have been constructed in full compliance with all Applicable Laws when a valid final certificate of occupancy or equivalent permit entitling Tenant and subtenants of Tenant to occupy and use the Improvements has been duly issued by proper governmental agencies or entities. All work performed on the Premises under this Lease, or authorized by this Lease, shall be done in a good workmanlike manner and only with new materials of good quality and high standard.

In providing services and performing its responsibilities under this Agreement, Government Sponsored Programs Providers shall comply with the laws and regulations relating to the standards specified under 45 CFR §156.340 including, as applicable, (i) the standards of subpart C of 45 CFR Part 156; (ii) the exchange processes, procedures, and standards in accordance with subparts H and K of 45 CFR Part 155 and, in the small group market, 45 CFR §155.705; (iii) the standards of 45 CFR §155.220 with respect to assisting with enrollment in QHPs; (iv) the standards of 45 CFR §§156.705 and 156.715 for maintenance of records and compliance reviews for QHP issuers operating in a Federally-facilitated Exchange; and (v) the standards of 45 CFR §156.340 with respect to downstream and delegated entities. In addition, to the extent applicable to the activities under this Agreement, Government Sponsored Programs Providers shall comply with the standard rules of conduct set forth in Section II of Highmark or a Health Plan’s Qualified Health Plan Issuer Agreement, to be furnished by Highmark to Government Sponsored Programs Providers in the Administrative Requirements.

The Issuer and Co-Issuer shall use the Xxxxxxxxx Xxxx only in compliance with applicable laws, rules and regulations and shall not use the Xxxxxxxxx Xxxx in a manner which might reasonably be expected to denigrate or result in the denigration of the Xxxxxxxxx Xxxx or to damage the reputation of the Xxxxxxxxx Xxxx or Strategos or any Affiliate thereof (other than the Issuer or the Co-Issuer).

Compliance with Law and Standards. The antenna facility shall be constructed, all work on the Premises shall be performed, and all buildings or other improvements on the Premises shall be erected in accordance with all valid laws, ordinances, regulations, and orders of all federal, state, county, or local governmental agencies or entities having jurisdiction over the Premises.
