Conditional Termination. At Seller’s request, Xxxxxx may agree to conditionally terminate this Agreement. If Xxxxxx agrees to conditional termination, Seller must sign a withdrawal agreement, reimburse Broker for all direct expenses incurred in marketing the Property and pay a cancellation fee of $500.00 plus applicable sales tax. Broker may void the conditional termination and Seller will pay the fee stated in paragraph 6 (a) less the cancellation fee if Seller transfers or contracts to transfer the Property or any interest in the property during the time period from the date of conditional termination to Termination Date and Protection Period, if applicable.
Conditional Termination. At Seller’s request, Xxxxxx may agree to conditionally terminate this Agreement, if Xxxxxx agrees to conditional termination, Seller must sign a withdrawal agreement and Seller agrees to pay Welcome Home Mobile Homes, LLC a $995.00 cancellation fee. Broker may void the conditional termination, and Seller will pay the fees stated in Paragraph 4 if Seller transfers or contracts to transfer the Property or any interest in the Property during the time period from the date of conditional termination to Termination Date and Protection Period, if applicable.
Conditional Termination. (a) Subject to the terms of this Termination Agreement, the Optionee hereby irrevocably terminates all of its rights with respect to the Stock Options with respect to all of the Shares.
(b) The termination set forth in Section 2(a) is conditional and contingent on consummation of the Offer. If the Offer is consummated, this termination shall become effective immediately upon delivery of the payment of the "Buy-Out Amount" described in Section 3 (the "Effective Time").
Conditional Termination. At SELLER’s request, BROKER may agree to conditionally terminate this Agreement. If BROKER agrees to a conditional termination, SELLER must sign a conditional termination agreement, reimburse BROKER for all direct expenses incurred in marketing the Property and pay a cancellation fee of $ plus applicable sales tax. BROKER may void this conditional termination and SELLER will pay the fee stated in paragraph 8(a) less the cancellation fee if SELLER transfers or contracts to transfer the Property or any interest in the Property during the time period from the date of conditional termination to Termination Date and Protection Period, if applicable. However, no fee will be due BROKER if the Property is relisted after the Termination Date and sold through another BROKER.
Conditional Termination. At Consumer’s request, Xxxxxx may agree to conditionally terminate this Agreement. If Xxxxxx agrees to conditional termination of this Agreement, Consumer must enter a written agreement to this effect and pay a cancellation fee of $ 1,000.00 . Broker may void the conditional termination and Consumer will pay the fee stated in the COMPENSATION Paragraph less the cancellation fee if, from the early termination date to Termination Date plus Protection Period, if applicable, Consumer contracts to acquire any property which, prior to the early termination date, was found by Consumer or called to Consumer's attention by Broker or any other person.
Conditional Termination. Subject to the terms hereof, either party may terminate this Agreement if (a) a party has materially breached this Agreement, the non-breaching party has provided written notice of such breach, and the non-breaching party has failed to cure such breach within thirty (30) days of transmission of such notice (unless an alternate cure period has otherwise been provided hereunder), (b) a party ceases to operate in the normal course of business or becomes the subject of insolvency proceedings and such insolvency proceedings are not resolved within ninety (90) days, and (c) in connection with a merger, acquisition, or sale of all or substantially all of a party’s assets and upon receipt of thirty (30) days’ written notice of such transaction.
Conditional Termination. At Owners request, the BROKER may agree to conditionally terminate this Agreement. If BROKER agrees to conditionally termination, Owner must sign a withdrawal agreement and pay a $ 500 cancellation fee_to_BROKER. BROKER may void the conditional termination and Owner will pay the full commission per this agreement less the cancellation fee paid if Owner transfers or contracts to transfer the Property of any interest in the Property during the time period from the date of conditional termination to Expiration Date and Protection Period, if applicable.

If Broker agrees to conditional termination, Seller must sign a withdrawal agreement, reimburse Broker for all direct expenses incurred in marketing the Property, and pay a cancellation fee of $ plus applicable sales tax. Broker may void the conditional termination, and Seller will pay the fee stated in Paragraph 8(a) less the cancellation fee if Seller transfers or contracts to transfer the Property or any interest in the Property during the time period from the date of conditional termination to Termination Date and Protection Period, if applicable. Dispute Resolution: This Agreement will be construed under Florida law. All controversies, claims, and other matters in question between the parties arising out of or relating to this Agreement or the breach thereof will be settled by first attempting mediation under the rules of the American Mediation Association or other mediator agreed upon by the parties. If litigation arises out of this Agreement, the prevailing party will be entitled to recover reasonable attorney’s fees and costs, unless the parties agree that disputes will be settled by arbitration as follows: Arbitration: By initialing in the space provided, Seller ( ) ( ), Sales Associate ( ), and Broker ( ) agree that disputes not resolved by mediation will be settled by neutral binding arbitration in the county in which the Property is located in accordance with the rules of the American Arbitration Association or other arbitrator agreed upon by the parties. Each party to any arbitration (or litigation to enforce the arbitration provision of this Agreement or an arbitration award) will pay its own fees, costs, and expenses, including attorney’s fees, and will equally split the arbitrator’s fees and administrative fees of arbitration.
Conditional Termination. At Seller’s request, Xxxxxx may agree to conditionally terminate this Agreement. Broker may void the conditional termination, and Seller will pay the fee stated in Paragraph 163 8(a) less the cancellation fee if Seller transfers or contracts to transfer the Property or any interest in the Property 164 during the time period from the date of conditional termination to Termination Date and Protection Period, if 165 applicable.
Conditional Termination. Notwithstanding anything to the contrary herein, this Agreement and the Proxy shall terminate and be of no further force or effect if on or before the date of the 2003 Annual Meeting of the Company's stockholders Richard G. Xxxxxxx ("Xxxxxxx") xxxxxx to be a member of the Company's Board of Directors other than as a result of Babbitt's xxxxx xx Disability (as determined in accordance with the Company's Performance Equity Plan dated August 5, 2002).
