Configuration and Product Enablement. IBM Tasks Phase 1: Foundational Product Enablement • Conduct the following four (4) enablement Work Sessions, each approximately 50 minutes in length: • Session 1: Data Discovery - Asset gathering (discovery of what data/asset is available or needed). Enablement of tags, account groups, business mappings and views. • Session 2: Data Organization - Configuration of tags, accounts groups, and business mappings. • Session 3: Cost Visibility - Enablement of cost visibility tools, such as tag explorer, widgets, dashboards, and reports. • Session 4: Optimization Features - Review anomaly detection, rightsizing, RI planner, savings plan, and reservation portfolio. Phase 2: TBM Studio Data Integration Work with Client to configure TBM Studio for Apptio Cloudability TotalCost: • Configure the instance with a new project entitled "Cloud TotalCost." • Create, configure, test, and run Datalink connector to automate the import of the Apptio Cloudability Actuals into TBM Studio • If necessary, request setup of advanced connector to include non-standard fields. • Create, configure, test, and run Datalink connector to automate the import of the third-party data into TBM Studio. • If necessary, import(s) can be done without automation via upload of .csv, .xlsx, etc. • Up to three (3) third-party datasets may be connected and integrated. Apptio Cloudability TotalCost Path Phase 3: Apptio Cloudability TotalCost TBM Studio Configuration • Load Client-provided mapping data as necessary, including labor rates and/or shared service identifiers, either via manual upload or SFTP Datalink connector. • Load and transform all applicable data sets. • Aggregate the source data sets into one master dataset for reporting purposes. • Create proper number of metrics (if needed) to identify costs as defined by tags in Client’s cloud data. • Take shared cost and distribute across consumers using Apptio standard allocation methods including, but not limited to, Cloud cost, weighted metric, percentage, etc. • Adjust allocations and modeling in TBM Studio as required to support Apptio Cloudability TotalCost configuration and reporting. • Configuration and creation of up to three (3) Apptio BI dashboard(s) as a training exercise for Client. • Dashboard reporting will meet pre-determined Client use cases. • For clarity, there is no limit on the number of dashboards the Client may create in Apptio BI.   • Force Majeure If by reason of Force Majeure, either party hereto shall be rendered unable wholly or in part to carry out its obligations under this Agreement through no fault of its own then such party shall give notice and full particulars of Force Majeure in writing to the other party within a reasonable time after occurrence of the event or cause relied upon. Upon delivering such notice, the obligation of the affected party, so far as it is affected by such Force Majeure as described, shall be suspended during the continuance of the inability then claimed but for no longer period, and such party shall endeavor to remove or overcome such inability with all reasonable dispatch. In the event that Vendor’s obligations are suspended by reason of Force Majeure, all TIPS Sales accepted prior to the Force Majeure event shall be the legal responsibility of Vendor and the terms of the TIPS Sale Supplemental Agreement shall control Vendor’s failure to fulfill for a Force Majeure event.

  • Miscellaneous The Vendor acknowledges and agrees that continued participation in TIPS is subject to TIPS sole discretion and that any Vendor may be removed from the participation in the Program at any time with or without cause. Nothing in the Agreement or in any other communication between TIPS and the Vendor may be construed as a guarantee that TIPS or TIPS Members will submit any orders at any time. TIPS reserves the right to request additional proposals for items or services already on Agreement at any time.

  • Confidentiality (a) Subject to Section 7.15(c), during the Term and for a period of three

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

  • Termination In the event that either Party seeks to terminate this DPA, they may do so by mutual written consent so long as the Service Agreement has lapsed or has been terminated. Either party may terminate this DPA and any service agreement or contract if the other party breaches any terms of this DPA.

  • Definitions For purposes of this Agreement:

  • Insurance The Company and the Subsidiaries are insured by insurers of recognized financial responsibility against such losses and risks and in such amounts as are prudent and customary in the businesses in which the Company and the Subsidiaries are engaged, including, but not limited to, directors and officers insurance coverage. Neither the Company nor any Subsidiary has any reason to believe that it will not be able to renew its existing insurance coverage as and when such coverage expires or to obtain similar coverage from similar insurers as may be necessary to continue its business without a significant increase in cost.

  • Purpose The purpose of this Agreement is to identify the terms and conditions of the relationship between TIPS and Vendor. Public entities and qualifying non-profits that properly join or utilize TIPS (“TIPS Members”) may elect to “piggyback” off of TIPS’ procurements and agreements where the laws of their jurisdiction allow. TIPS Members are not contractual parties to this Agreement although terms and conditions of this Agreement may ensure benefits to TIPS Members.

  • Notices Any notice, request or other document required or permitted to be given or delivered to the Holder by the Company shall be delivered in accordance with the notice provisions of the Purchase Agreement.
