Court Supervision. The Company and the Executive anticipate that the Company will be able to implement its strategies without the need for a court- supervised proceeding. To the extent that it is determined by the Board of Directors that such a court-supervised proceeding is necessary or appropriate, the Company shall, as expeditiously as possible consistent with the best interests of the creditors and the shareholders of the Company, seek the approval of the arrangements contemplated by the Change in Control Agreement, the Severance Agreement and this Supplemental Compensation Agreement.

Court Supervision. The Trust shall not be administered under the direction or jurisdiction of any court, nor shall there by any duty of the Trustee to account to any court with respect to its administration of the Trust or the Trust Estate.
Court Supervision. The resolution of Claims under the terms of this Settlement Facility Agreement and the Claims Resolution Procedures and the functions in this Article IV (as specified in this Article IV) and the functions in Articles V and VI herein shall be supervised by the District Court. The District Court shall have the authority to act in the event of disputes or questions regarding the interpretation of Claim eligibility criteria, management of the Claims Office or the investment of funds by the Trust. The District Court shall perform all functions relating to the distribution of funds and all determinations regarding the prioritization or availability of payments, specifically including all functions related to Articles III, VII, and VIII herein.

Court Supervision. Under California law the California courts have jurisdiction to consider petitions concerning each trust created by this Trust Agreement. We intend that the provisions of Probate Code §17000 et seq. shall be applicable to the trusts established under this Trust Agreement.

Court Supervision. 8. The Defendants shall be obligated to perform their obligations under this Agreement upon the Court's entry of an order approving this Agreement after a fairness hearing pursuant to Fed. R. Civ. P. 23 (e). After entry of such order, this case shall remain pending during administration of the settlement. The Court may enter orders as appropriate to enforce this Agreement, to adjudicate the rights and responsibilities of the parties, to resolve appeals from Defendants and/or disqualified claimants, and to effect fair and orderly administration, as necessary, of the settlement fund. After distribution of all settlement proceeds and satisfaction and completion of all duties and responsibilities imposed by this Agreement, the Court shall enter an order of dismissal effecting the dismissal of all class claims against Defendants with prejudice, and incorporating the terms of this Agreement pursuant to Xxxxxxxx v. Guardian Life Ins. Co., 511 U.S. 375 (1994). 9. Any deadlines, dates, or other details in this Agreement may be amended only by agreement of the parties and approved by the Court on a showing of good cause.
Court Supervision. The Trust established under this instrument shall be administered free from the active supervision of any court. Any proceedings to seek judicial instructions or a judicial determination may be initiated by the Trustee in any court having jurisdiction of these matters relating to the construction and administration of the Trust.
