Covenants by Tenant. 15.1 Tenant shall pay promptly when due all Basic Rent, additional rent and other charges under this Lease at the time and in the manner set forth in this Lease.
15.2 Tenant shall use reasonable commercial efforts to procure and maintain in effect at all times any licenses and permits required for any use made of the Leased Premises by Tenant. Upon the expiration or termination of this Lease, Tenant agrees to remove its goods and effects and those of all persons claiming under it, and to yield up peaceable to Landlord the Leased Premises in the condition required by this Lease, damage by fire, taking, casualty, structural defects (other than those caused by Tenant, its agents, servants, employees, invitees and/or contractors) and reasonable wear and tear only excepted.
15.3 Tenant shall not make any use of the Leased Premises which is contrary to any law, ordinance or regulation, nor permit any act or thing to be done on the Leased Premises which shall constitute a nuisance or which may make void or voidable any insurance on the Building or the Leased Premises or the parking facilities or other general areas or facilities against fire.
15.4 Tenant shall pay promptly when due the entire cost of any work to the Leased Premises undertaken by Tenant so that the Leased Premises and the Building and the parking areas and other general areas and facilities, shall at all times be free of liens for labor and materials; to procure all necessary permits before undertaking such work; to do all of such work in a good and workmanlike manner, employing materials of good quality and complying with all government requirements; and to save Landlord harmless and indemnified from all injury, loss, claims or damage (including, but not limited to, Landlord’s costs of defense and reasonable attorney’s fees) to any person or property occasioned by or growing out of such work.
15.5 Tenant shall give to Landlord prompt written notice of any damage to, or defective condition in, any part of the Building’s plumbing, electrical, heating, air conditioning or other systems serving, located in, or passing through the Leased Premises. Landlord shall remedy such condition and, if Tenant caused the same, Tenant thereof shall pay the cost of remedy. In no event shall Tenant be entitled to claim any damages arising out of or from such damage or defective condition. Nothing, however, in this paragraph is intended to relieve Landlord from its negligence or intentional misconduct.
Covenants by Tenant. The Tenant shall enter into such covenants as the Landlord or the Superior Landlord may reasonably and properly require regarding the execution of any works to which the Landlord consents under this clause, and the reinstatement of the Premises in respect of such works, or any other areas, at the end or earlier determination of the Term.
Covenants by Tenant. Tenant hereby covenants and agrees with Landlord that:
Covenants by Tenant. 7.1.1 The Tenant hereby covenants with the Landlord as follows:
Covenants by Tenant. The Tenant shall enter into such covenants as the Landlord may reasonably require regarding the execution of any works to which the Landlord consents under this clause, and the reinstatement of the Premises at the end or earlier determination of the Term.
Covenants by Tenant. The Tenant shall enter into any covenants that ADPC reasonably requires regarding the manner of execution of any works to which ADPC consents under this Lease and the reinstatement of the Premises at the end of the Term.
Covenants by Tenant. Tenant covenants, stipulates and agrees as follows:
(a) Tenant shall not sublet the premises without the express written consent of Landlord, which consent shall not be unreasonably withheld or delayed.
(b) In his use of the leased premises, Tenant shall comply with all federal, state, and local statutes, ordinances and regulations applicable to the use of the leased premises. Provided that Tenant shall not be required to make or pay for any structural changes required to bring the leased premises into compliance with such statutes, ordinances and regulations.
(c) Tenant shall not injure or deface the leased premises nor occupy or use, or permit or suffer the leased premises or any part thereof to be occupied or used, for any unlawful or illegal business, use or purposes, nor for any business, use or purposes which is disreputable or extra-hazardous, nor in such manner as to constitute a nuisance of any kind. Tenant shall immediately upon discovery of any such unlawful, illegal, disreputable or extra-hazardous use, take all necessary steps, legal and equitable, to compel the discontinuance of such use and to oust and remove sublessees, occupants or other persons guilty of such unlawful, illegal, disreputable or extra-hazardous use.
(d) With respect to the leased premises, Tenant shall procure any licenses and permits required by its use of the leased
Covenants by Tenant. The Tenant to the intent that the obligations hereunder shall continue throughout the term of the tenancy hereby created ("the Term") agrees with the Landlord as follows:
(1) TO PAY RENT To pay the rent in manner as set out in Part IV of the Third Schedule hereto.
(2) TO PAY RATES To pay and discharge all rates, taxes, assessments duties, charges impositions and outgoings of a recurring nature now or hereafter to be assessed, imposed or charged by the Government of the Hong Kong Special Administrative Region or other lawful authority upon the Premises or upon the owner or occupier thereof (Government rent and Property Tax only excepted).
(3) TO PAY MANAGEMENT FEES To pay and discharge all service and management charges and air-conditioning charges, the current amount of which is set out in the Third Schedule payable by the owner or occupier of the Premises pursuant to or by virtue of the Deed of Mutual Covenant and Management Agreement relating to the Building (if any) and subject to review in accordance with the service charge budget for the Building.

Tenant covenants and agrees to (a) abide by all Landlord rules and regulations as may be applicable to the Premises and imposed or changed from time to time; (b) keep the Premises clean and safe; (c) use all electrical, plumbing, heating, ventilating and air-conditioning facilities and appliances in a reasonable manner; and (d) conduct himself or herself, and require their children and guests to conduct themselves, in a manner that will not disturb Tenant's neighbors. Tenant shall not (a) intentionally or negligently destroy, damage or remove any part of the Premises, including standing live trees, (b) permit any person to intentionally or negligently destroy, damage or remove any part of the Premises, including standing live trees or (c) dispose of any paint, waste tires, petroleum or petroleum-based products, or pesticides or insecticides on the Premises. Tenant shall not change or add locks without notifying Landlord immediately and providing Landlord with duplicate keys to the locks. Tenant covenants and agrees to care for, maintain and repair the Premises, equipment, appliances and fixtures, including (a) replacement of light bulbs, fuses, faucet washers, furnace and air conditioning filters; (b) clearing or thawing clogged or frozen pipes, toilets and drains; (c) caulking around tubs and showers; (d) replacement of broken locks, glass, screens, plaster, floor coverings, light fixtures and other equipment, (e) mowing of grass, raking of leaves, removal of fallen branches and sticks and removal of snow and ice from all walks, steps and drives, (f) cleaning of gutters, downspouts and drains, and (g) replacement of water filters. Tenant further agrees that Tenant shall not leave windows or doors in an open position during any inclement weather. Tenant shall keep all lavatories, sinks, toilets and all other water and plumbing apparatuses in good order and repair and use them only for the purposes for which they were constructed and shall not allow any sweepings, rubbish, sand, rags, ashes or other substances to be thrown or deposited in the lavatories, sinks, toilets or other water and plumbing apparatuses. The cost of any damage to any apparatus, including the cost of clearing stopped plumbing resulting from misuse, shall be borne by Tenant. Tenant shall deposit all trash, garbage, rubbish or refuse in the locations provided for it and shall not allow any trash, garbage, rubbish or refuse to be deposited or permitted to stand on the exterior of any build...
