CUSTOMER RESPONSIBILITIES AND OBLIGATIONS REGARDING CLOUD SERVICE. 4.1 In addition to Customer’s obligations set forth in the Agreement, Customer will change all passwords used to access the Cloud Service at regular intervals, no less frequently than once every six (6) months. If Xxxxxxxx learns of an unauthorized third party having obtained knowledge of a password, Customer will inform SAP thereof without undue delay and promptly change the password. 4.2 Customer is responsible for the connection to the Cloud Service, including the Internet connection to the Point of Demarcation. 4.3 Customer shall use reasonable commercial efforts to ensure that Customer Data and the Licensed Software is free of all viruses, Trojan horses and comparable elements which could harm the computer systems or software used by SAP or its subcontractors to provide the Cloud Service. 4.4 SAP’s provision of the Cloud Service is subject to Customer’s prompt performance of its responsibilities set forth in the Agreement (including those set forth in the Service Catalog) and provision of qualified employees and resources required: (a) Primary point of contact in dealing for SAP (Project Manager), responsible for coordinating all activities and authorized to implement required technical changes. (b) Current list of key Customer contacts with access to the Computing Environment, including role, title, office phone number, cell phone number, e-mail address, etc. (c) Customer informs SAP on policies and procedures regarding the authorization of network access to the Computing Environment and necessary information regarding requirements for authorization to the Computing Environment (e.g. IP range, VPN Questionnaire, installation number etc.). Customer shall inform SAP of any changes to such information, policies and procedures as soon as practicable without undue delay. (d) A service user (“S-User”) ID in the Computing Environment with the authorizations defined below. This S- User ID, which Customer uses to log on to SAP’s Service Marketplace for software download and support, is required by SAP’s Cloud Services resources to permit SAP Cloud Services resources to also log on and perform software download tasks necessary to obtain the software for set-up of the Computing Environment. Required authorizations include: • Sending and/or creating and / or confirming and / or re-opening Customer messages • SSCR key registration • Processing service messages • Opening service connections • Software download • Maintaining system data • Requesting license keys (e...

  • Customer Responsibilities Notwithstanding the above, Customer agrees that except as provided by this DPA, Customer is responsible for its secure use of the Services, including securing its account authentication credentials, protecting the security of Customer Data when in transit to and from the Services and taking any appropriate steps to securely encrypt or backup any Customer Data uploaded to the Services.

  • Customer Responsibility You agree that you are responsible for all access to and use of the Service through your account or password(s) and for any fees incurred for the Service, or for software or other merchandise purchased through the Service, or any other expenses incurred in accordance with the terms of this Agreement. You agree that you are responsible for backing up (a) any data you submit, receive or transfer over the Service, including, without limitation, your email; and (b) any data, files, programs, or applications on any device you connect to the Service. You acknowledge that you are aware that content accessible on or through the Service may contain material that is unsuitable for minors (persons under 18 years of age). You agree to supervise usage of your account by minors. You ratify and confirm any obligations incurred by a minor using your account.

  • Customer’s Responsibilities 2.1. A properly configured hardware firewall is required for each Customer Location using a persistent connection to the public internet or any private network where there is a potential for unauthorized access. This requirement is Customer’s responsibility. 2.2. Unless you subscribe to the Network and Security Services option known as “Antivirus Service” (or its successor product), Customer will be required to have and maintain in place third party malware and anti-virus protection software, including periodic and routine updates in accordance with the manufacturer’s recommendations, and security for the Customer’s POS System Network, which security includes unique, strong passwords per user, physical security and access control policies. Customer acknowledges and agrees that security and protection of all of its networks, including the Customer POS System Network, and the data and applications on such networks, including protections against unauthorized access, is Customer’s responsibility. Customer acknowledges that, to be effective, malware protection software, system passwords and other security software and hardware components require periodic and routine updates, which Customer must obtain or perform as applicable. Customer agrees to not use or attempt to install remote access software on the Customer POS System Network unless approved by NCR Voyix.

  • Provider Responsibilities The Private Child-Caring Facility (PCC) (a.k.a., Provider) must comply with the following requirements:

  • User Responsibilities i. Users are required to follow good security practices in the selection and use of passwords; ii. Users shall ensure that unattended equipment is protected; and iii. Users shall adopt a clear desk policy for papers and removable storage media and a clear screen policy for information processing facilities.

  • Owner Responsibilities Owner shall: A. Provide all documentation, records and disclosures as required by law or required by Xxxxxx to manage and operate the Property, and immediately notify Broker if Owner becomes aware of any change in such documentation, records or disclosures, or any matter affecting the habitability of the Property. X. Xxxxxxxxx, defend and hold harmless Broker, and all persons in Broker's firm, regardless of responsibility, from all costs, expenses, suits, liabilities, damages, attorney fees and claims of every type, including but not limited to those arising out of injury or death of any person, or damage to any real or personal property of any person, including Owner, for: (i) any repairs performed by Owner or by others hired directly by Owner; or (ii) those relating to the management, leasing, rental, security deposits, or operation of the Property by Xxxxxx, or any person in Broker's firm, or the performance or exercise of any of the duties, powers or authorities granted to Broker. C. Maintain the Property in a condition fit for human habitation as required by IC 32-31-8-5. X. Xxxxx and pay for: (i) public and premises liability insurance in an amount of no less than $1,000,000; and (ii) property damage and worker's compensation insurance adequate to protect the interests of Owner and Broker. Broker shall be, and Owner authorizes Broker to be, named as an additional insured party on Owner's policies. E. Pay any late charges, penalties and/or interest imposed by lenders or other parties for failure to make payment to those parties, if the failure is due to insufficient funds in Broker's trust account available for such payment. F. Immediately replace any funds required if there are insufficient funds in Broker's trust account to cover Owner's responsibilities.

  • Responsibilities of Contractor A. The Contractor shall perform all work on the described project as required by the Contract documents. The work to be performed includes the labor and services necessary to produce such replacement, and all materials, supplies, tools, transportation, equipment, and machinery required for replacement. B. This project bid includes all materials, labor and equipment to complete the reconstruction and resurfacing of streets as outlined in the Project Manual for WWREYN - XXXXXXXX SANITARY SEWER - PHASE 1 dated March 25th, 2021 as outlined in Attachment A.

  • Client’s Responsibilities In addition to other responsibilities herein or imposed by law, the Client shall: (a) Designate in writing a person to act as its representative, such person having complete authority to transmit instructions, receive information, and make or interpret the Client's decisions. (b) Provide all information and criteria as to the Client's requirements, objectives, and expectations for the project and all standards of development, design, or construction. (c) Provide the Consultant all available studies, plans, or other documents pertaining to the project, such as surveys, engineering data, environmental information, etc., all of which the Consultant may rely upon. (e) Review all documents or reports presented by the Consultant and communicate decisions pertaining thereto within a reasonable time so as not to delay the Consultant. (f) Furnish approvals and permits from governmental authorities having jurisdiction over the project and approvals and consents from other parties as may be necessary. (g) Obtain any independent accounting, legal, insurance, cost estimating and feasibility services required by Client. (h) Give prompt written notice to the Consultant whenever the Client becomes aware of any development that affects the Consultant's services or any defect or noncompliance in any aspect of the project.

  • Contractor Responsibility for System Agency’s Termination Costs If the System Agency terminates the Contract for cause, the Contractor shall be responsible to the System Agency for all costs incurred by the System Agency and the State of Texas to replace the Contractor. These costs include, but are not limited to, the costs of procuring a substitute vendor and the cost of any claim or litigation attributable to Contractor’s failure to perform any Work in accordance with the terms of the Contract.
