Systems Management. All aspects of systems management (e.g., software distribution/license management, configuration/installation, remote systems control, enhancements/service updates, system resource monitoring, helpdesk support/issue tracking).
Systems Management. Service Provider responsibilities include:
1. Provide, install and utilize tools and processes to allow automated and remote systems management of the Server environment. Processes will include, but are not limited to, Software distribution, backups, performance measurement, tuning, license and asset management, etc.

Systems Management. Systems Management Services are invoiced on the Available Download Date. Systems Management Services will renew automatically for additional one (1) year terms at our then-current Systems Management Services fee, unless terminated in writing by either party at least thirty (30) days prior to the end of the then-current term.
Systems Management. As part of the Services, ISSC will:
a) perform capacity planning, performance analysis and tuning for the Machines and Systems Software in the Data Center;
b) implement controls, in accordance with Schedule L and this Agreement, to effectively manage the Data Center environments, including change and problem management systems according to the Procedures Manual;
c) provide back-up and restore capability for data and programs maintained in the Data Center;
d) invoke the disaster recovery plan when appropriate; and
e) provide for systems access security through the use of appropriate security products.

Systems Management. 5.3.1 The Service Provider shall follow a recognised systems management process.
5.3.2 The Service Provider shall manage the Services to meet the availability and performance requirements and all other Service Levels specified in Schedule 5: Service Level Agreement.
Systems Management. (a) Subject to the terms of this Agreement and the general supervisory authority of Digi Link, CCI shall be responsible for all duties and responsibilities relating to the successful development of the Systems, including the following:
(i) consulting with and advising Digi Link in connection with the negotiation of one or more dealer agreements;
(ii) preparing and presenting to Digi Link an annual budget summarizing the timing and projected amounts of all expected expenditures for construction, equipment changes and operation of the Systems;
(iii) training and managing the administrative, technical and sales staff;
(iv) developing and implementing a marketing program;
(v) arranging for the billing and collection of all fees in the name of Digi Link, charges or other compensation due to Digi Link and to be collected in an account at Bank of America in the name of Digi Link and paying for all expenses and fees incurred or payable in connection with the operation and maintenance of the Systems. Digi Link may choose to use a third-party billing agent of its choosing for billings and collections.
(vx) xxxxxging for and covering the cost of the maintenance of the Systems and for the provision of all necessary or appropriate repairs and replacements; and (vii) carrying fire and theft insurance sufficient to cover the cost of the equipment and installation, and general liability insurance equal to One Million Dollars ($1,000,000.00); and
Systems Management. Exiger has and will retain sole control over the operation, provision, maintenance and management of the Services and Exiger Materials, including the: (i) Exiger systems; (ii) location(s) where any of the Services are performed; (iii) selection, deployment, modification and replacement of the Service Software; and (iv) performance of support services and Service maintenance, upgrades, corrections and repairs.

Claims management; and Encounter Data and enrollment information, as applicable, including but not limited to, at the request of EOHHS, a walk-through of any information systems, including but not limited to enrollment, claims payment system performance, interfacing and reporting capabilities and validity testing of Encounter Data, in accordance with Section 2.15.2, including IT testing and security assurances. A review of other items specified in the Contract, including: Capabilities of Material Subcontractors; Compliance with EOHHS requirements for FIDE SNPs; and Data collection and reporting capabilities. No individual shall be enrolled into the Contractor’s SCO Plan unless and until EOHHS determines that the Contractor is ready and able to perform its obligations under the Contract as demonstrated during the Readiness Review. EOHHS or its designee shall identify to the Contractor all areas where the Contractor is not ready and able to meet its obligations under the Contract and provide an opportunity for the Contractor to remedy all identified deficiencies prior to the Contract Operational Start Date. EOHHS may, in its discretion, postpone the Contract Operational Start Date if the Contractor fails to satisfy all Readiness Review requirements. If, for any reason, the Contractor does not fully satisfy EOHHS that it is ready and able to perform its obligations under the Contract prior to the Contract Operational Start Date, and the Commonwealth does not agree to postpone the Contract Operational Start Date or extend the date for full compliance with the applicable Contract requirement, then EOHHS may terminate the Contract. Contractor Readiness Review Responsibilities The Contractor shall demonstrate to EOHHS’s satisfaction that the Contractor is ready and able to meet all Contract requirements identified in the Readiness Review prior to the Contract Operational Start Date, and prior to the Contractor engaging in marketing of its SCO Plan. At the request of EOHHS, the Contractor shall provide to EOHHS, or its designee, access to all information, materials, contracts, or documentation pertaining to the provision of any service or function required under this Contract within five (5) business days of receiving the request. Systems Management. As part of the Designated Services, IBMGS-US shall be responsible for (1) the management services described in Schedule E in respect of the Software and the Machines (collectively, the "Systems") and (2) creating and maintaining an inventory and configuration diagram of the VSAT Data Network equipment, including satellite dishes, communications controllers, and multiplexors. IBMGS-US shall provide to Eckerd (a) once every three-month period during the Term and (b) upon revision of such diagram a copy of the inventory and configuration diagram of the VSAT Data Network.
