All ordering and provisioning and maintenance activity conducted pursuant to this agreement should follow the applicable industry standards which include: Local Service Ordering Guidelines (LSOG) developed in the Ordering and Billing Forum (OBF) at the Alliance of Telecommunications Industry Solutions (ATIS) and approved North American Numbering Council (NANC) procedures and guidelines concerning Local Number Portability (LNP) processes.

Customer Transfer. (i) Pursuant to an assignment and assumption agreement, substantially in the form attached hereto as Exhibit B (the “Assignment and Assumption Agreement” and, together with the Spectrum Assignment Documentation, the “Assignment Documentation”), at the Closing, Shentel will, and will cause its applicable Affiliates to, assign, transfer, deliver and convey to Sprint, free and clear of all Liens, and Sprint will acquire all right, title and interest of Shentel and its applicable Affiliates, as of the Effective Time, in and to, the following: except with respect to the Excluded Contracts, (A) Shentel’s customer relationship (including any applicable Affiliate’s customer relationship) with (1) all individual subscribers (I) whose contracts for wireless service are with nTelos or any Affiliate of nTelos; (II) who are directly liable under such contracts; and (III) who are Homed to the Former nTelos Service Area, including the Former nTelos Customers (the “Individual Customers”), and (2) any enterprise or public sector subscriber located in the Former nTelos Service Area whose contracts for wireless service are with nTelos or any Affiliate of nTelos (each, an “Enterprise Customer,” and, together with the Individual Customers, the “Customers”), (B) all written agreements for wireless service with Individual Customers and the Enterprise Customers (the “Enterprise Customer Agreements” and, together with the written agreements for wireless service with the Individual Customers (excluding agreements entered into in connection with the Closing Excluded Liabilities), collectively, the “Customer Agreements”), (C) any interest of Shentel or its Affiliates in the NPA-NXXs associated with the Customers, including without limitation any unused NPA-NXX blocks for the nTelos Business, (D) any interest of Shentel or its Affiliates in the Mobile Block Identifier, Transmitted System Identifier and System Identifier/Billing Identifier information (I) associated with the Customers or (II) used by nTelos or any of its Affiliates to provide roaming services and roaming settlements for the nTelos Business, (E) the right of Shentel or its Affiliates to receive payments from such Customers pursuant to any such Customer Agreements for service rendered on and after the Effective Time, (F) subject to Sections 6.8 and 6.12, all claims, accruals in respect of loyalty reward points, causes of action, rights of recovery, rights of setoff and rights of recoupment with respect to Customers, and ...

Customer Transfer. 5.1. Service orders of both Parties will be in a standard format designated in accordance with industry standards and each Party’s procedures as set forth in Section 8 of the General Terms and Conditions.
Customer Transfer. As of the TOB Date, all customers and users of the System shall become subject to all rules, regulations and ordinances of SGWASA as the same apply to all other Direct Customers and customers of SGWASA, and as same are now or may hereafter be amended. Such rules, regulations and ordinances and schedule of rates, fees, charges and penalties shall constitute a part of the Agreement between SGWASA and any customer or user of the subject water and sewer system and any extensions thereof for the provision of water and sewer service. SGWASA shall also provide billing and collection for the customer garbage/solid waste pickup accounts. The parties will negotiate a reasonable administrative fee for this service.

The NSP will be the single point of contact with OSP for all subsequent ordering activity resulting in additions or changes to services except that OSP will accept a request directly from the End-User Customer for conversion of the End-User Customer's service from NSP to OSP. 6.1.4. If either Party determines that an unauthorized change in local service has occurred, the End-User Customer’s authorized local service provider will reestablish service with the End-User Customer, will charge the Restoration of Unauthorized Change Charge, and will pursue remedies permitted by federal and state law against the Party making the unauthorized change.
Customer Transfer. 3.1.1 Service orders will be in a standard format designated by ILEC. 3.1.2 [Intentionally omitted.] 3.1.3 The requesting Party will be the single point of contact with the executing Party for all subsequent ordering activity resulting in additions or changes to services except that the executing Party will accept a request directly from the End User for conversion of the End User Customer's service from the requesting Party to the executing Party. 3.1.4 If the Old Service Provider (“OSP”) determines that an unauthorized change in local service to the New Service Provider (”NSP”) has occurred, the OSP will reestablish service with the appropriate local service provider and will assess the NSP as the carrier initiating the unauthorized change, any charges allowed under the FCC and State rules. Appropriate nonrecurring charges, as set forth in the applicable ILEC Tariff will also be assessed to the NSP. These charges can be adjusted if the NSP provides satisfactory proof of authorization.
