Cut-Over. 7.1. On the confirmed cut-over date, the AFASPs must transfer the Alarm Installation. Note: At the time of the Alarm Installation transfer both the acquiring AFASP technician and the relinquishing AFASP technician must be present to ensure a smooth transfer.
Cut-Over. Purpose The purpose of Phase 4 is to prepare for and execute the upgrade Go-Live. Deliverables Cayenta will deliver the following as part of this phase: o Assistance with Go-Live preparation as a supplement to City of Milpitas in-house planning and preparation o Backup of PROD database o Upgrade Actuate 7 to Actuate 9 o Upgrade Cayenta PROD Applications to 7.5.X o Review and Complete Special instructions City of Milpitas will deliver the following as part of this phase: o Updated City of Milpitas custom documentation o Staffs, for Go-Live weekend, to carry out updated PROD testing as a confirmation of Go-Live readiness. o Both technical and non-technical staff on call and available for Go-Live weekend. Cut-Over. Installation Services by Frontier will be completed in one (1) single continuous phase, unless a “multi-phased” implementation is requested by Customer and agreed per Section 6 or Change Order. In the event a multi-phased implementation is requested, additional charges will apply.
Cut-Over. In the event that SunGard becomes aware of a Business Outage Event, SunGard shall immediately begin to work to correct the Business Outage Event. If SunGard cannot correct the Business Outage Event within 90 minutes of the initial onset of the Business Outage Event, and a Cut-over will solve the outage, the Business Outage Event will be considered a “Declared Disaster.” SunGard will use reasonable efforts to notify Customer of the commencement of the Declared Disaster. At that point unless Customer objects, SunGard, through its system resources, will start the process to cut-over Customer’s Designated Firms to the Phase3 Disaster Recovery System (a “Cut-over”). Customer will be responsible (except to the extent that Customer uses an affiliate of SunGard for network system access) to have network system access available upon SunGard’s completion of the Cut-over and also to perform an application checkout process upon SunGard’s completion of the Cut-over. The SunGard system will be designed to achieve a Cut-over within no more than 90 minutes after a Declared Disaster

  • Assets Reserved and Pending Claims (a) If, upon the occurrence of a Dissolution Event, there are any assets that, in the judgment of the Liquidating Trustee, cannot be sold or distributed in kind without sacrificing a significant portion of the value thereof or where such sale or distribution is otherwise impractical at the time of the Dissolution Event, such assets may be retained by the Company if the Liquidating Trustee determines that the retention of such assets is in the best interests of the Members. Upon the sale of such assets or a determination by the Liquidating Trustee that circumstances no longer require their retention, such assets (at their Fair Value) or the proceeds of their sale shall be taken into account in computing Capital Account on winding up and amounts distributable pursuant to Section 6.2(b), and distributed in accordance with such value.

  • Trust Cut-off Date The parties hereto acknowledge that by operation of Section 4.05 and Section 5.01 of the SWSA, the remittance on September 18, 2006 to the Trust Fund is to include principal due after August 1, 2006 (the “Trust Cut-off Date”) plus interest, at the Mortgage Loan Remittance Rate collected during the related Due Period exclusive of any portion thereof allocable to a period prior to the Trust Cut-off Date, with the adjustments specified in clauses (b), (c), (d) and (e) of Section 5.01 of the SWSA.
