Date and Notice of Termination. Any termination of your employment by the Company or by you during the Change of Control Period shall be communicated by a notice of termination to the other party hereto (the “Notice of Termination”). The Notice of Termination shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of your employment under the provision so indicated. The date of your termination of employment with the Company (the “Date of Termination”) shall be determined as follows: (i) if your employment is terminated for Disability, thirty (30) calendar days after a Notice of Termination is received by you (provided that you shall not have returned to the full-time performance of your duties during such thirty (30) calendar day period), (ii) if your employment is terminated by the Company in an Involuntary Termination, the later of the date specified in the Notice of Termination or five (5) calendar days after the date the Notice of Termination is received by you, (iii) if you terminate your employment for Good Reason, five (5) calendar days after the date the Notice of Termination is received by the Company, and (iv) if your employment is terminated by the Company for Cause, the later of the date specified in the Notice of Termination or five (5) calendar days following the date such notice is received by you. The Date of Termination for a resignation of employment other than for Good Reason shall be the date set forth in the applicable notice.

(i) if your employment is terminated for Disability, thirty days after a Notice of Termination is given (provided that you shall not have returned to the full- time performance of your duties during such thirty-day period); (ii) if your employment is terminated by the Company in an Involuntary Termination, the date specified in the Notice of Termination (or if no date is specified in the Notice of Termination, the date the Notice of Termination is delivered to you); (iii) if your employment is terminated by the Company for Cause, the later of (A) the date specified in the Notice of Termination and (B) the expiration of the applicable period set forth in the definition of Cause during which you may effect a cure or meet with the Board if such period expires without such cure being effected by you and without a reversal on the part of the Board regarding its decision to terminate you for Cause; (iv) if the basis for your Involuntary Termination is your resignation for Good Reason, the Date of Termination shall be the later of (A) the date specified in the Notice of Termination and (B) the expiration of the applicable cure period set forth in the definition of Good Reason if such period expires without such cure being effected by the Company; (v) in the event of your resignation of employment other than for Good Reason, the Date of Termination shall be the date set forth in the Notice of Termination, which shall be no earlier than thirty days after the date such notice is received by the Company; and (vi) the Date of Termination in the event of your death shall be the date of your death.

Any termination of Employee’s employment by Insmed or by Employee shall be communicated by a written notice of termination to the other party (the “Notice of Termination”). Where applicable, the Notice of Termination shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed.

Any termination of the Employee's employment during the Covered Period by the Employer or by the Employee shall be communicated by a notice of termination to the other party hereto (the "Notice of Termination"). The Notice of Termination shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Employee's employment under the provision so indicated. The date of the Employee's termination of employment with the Employer and its subsidiaries (the "Date of Termination") shall be determined as follows:
(i) if the Employee's employment is terminated by the Employer in an Involuntary Termination, five (5) days after the date the Notice of Termination is received by the Employee and (ii) if the Employee's employment is terminated by the Employer for just cause, the date specified in the Notice of Termination. If the basis for the Employee's Involuntary Termination is his resignation for Good Reason, the Date of Termination shall be ten (10) days after the date his Notice of Termination is received by the Employer. The Date of Termination for a resignation of employment other than for Good Reason shall be the date set forth in the applicable notice, which shall be no earlier than ten (10) days after the date such notice is received by the Employer.

Any termination of the Employee's employment by Beckxxx xx by the Employee shall be communicated by a written notice of termination to the other party (the "Notice of Termination"). Where applicable, the Notice of Termination shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Employee's employment under the provision so indicated. The date of the Employee's termination of employment with Beckxxx (xxe "Date of Termination") shall be determined as follows:
(i) if the Employee's employment is terminated by Beckxxx, either with or without Cause, the Date of Termination shall be the date specified in the Notice of Termination (which, in the case of a termination by Beckxxx xxxer than for Cause, shall not be less than two (2) weeks from the date such Notice of Termination is given unless Beckxxx xxxcts to pay the Employee, in addition to any other amounts payable hereunder, an amount equal to two (2) weeks of the Employee's base salary in effect on the Date of Termination), and (ii) if the basis for the Employee's Termination is a Qualifying Termination, the Date of Termination shall be determined by Beckxxx, xxt shall not in any event be less than fifteen (15) days nor more than sixty (60) days from the date such Notice of Termination is given.

Xxxx (other than termination pursuant to Section 7(a) above) shall be communicated by written Notice of Termination to the other party hereto. For purposes of this Employment Agreement, a "Notice of Termination" shall mean a notice which shall indicate the specific termination provision in this Employment Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Xx. Xxxx'x employment under the provision so indicated.

Where applicable, the Notice of Termination shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's employment under the provision so indicated. The date of the Executive's termination of employment with the Company (the "Date of Termination") shall be determined as follows:
(i) if the Executive's employment is terminated due to his death or total and permanent disability, thirty (30) days after the Notice of Termination is given and (ii) if the Executive's employment is terminated without Cause or for Good Reason, the date specified in the Notice of Termination (which shall not be less than thirty (30) days from the date such Notice of Termination is given); provided, however, that if within thirty (30) days after such Notice of Termination is given, the terminating party receives notice that a dispute exists concerning the termination or the benefits due pursuant to this Agreement, then the Date of Termination shall be the date on which such dispute is finally determined.

The date of the Executive's termination of employment with the Company (the "Date of Termination") shall be determined as follows:
(i) if the Executive's employment is terminated by the Company, either with or without Cause, the Date of Termination shall be the date specified in the Notice of Termination (which, in the case of a termination by the Company other than for Cause, shall not be less than two (2) weeks from the date such Notice of Termination is given unless the Company elects to pay the Executive, in addition to any other amounts payable hereunder, an amount equal to two (2) weeks of the Executive's base salary in effect on the Date of Termination), and (ii) if the basis for the Executive's Involuntary Termination is his or her resignation for Good Reason, the Date of Termination shall be determined by the Company, but shall not in any event be less than fifteen (15) days nor more than sixty (60) days from the date such Notice of Termination is given. Unless the Board determines otherwise, notice by Executive of his or her resignation for Good Reason must be made within 180 days of the act or failure to act the Executive alleges to constitute Good Reason.

The Notice of Termination shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive’s employment under the provision so indicated if applicable. The date of Executive’s termination of employment with the Company and its subsidiaries (the “Date of Termination”) shall be determined as follows: (i) if Executive’s employment is terminated for Disability, thirty (30) days after a Notice of Termination is given (provided that Executive shall not have returned to the full-time performance of Executive’s duties during such thirty (30) day period), (ii) if Executive’s employment is terminated due to Executive’s death, the date of Executive’s death and (iii) if Executive’s employment is terminated by the Company, such date as specified in the Notice of Termination. The Date of Termination for Executive’s resignation of employment (including Executive’s retirement) shall be the date set forth in the Notice of Termination, which shall be no earlier than ten (10) days after the date such notice is received by the Company in the case of a resignation without Good Reason.
