Definitions Accounting. (1) Net Asset Value of a Series. “Net Asset Value of a Series” shall mean the total assets of a Series (including, but not limited to, its investment in its Trading Company, all cash and cash equivalents, accrued interest and amortization of original issue discount, and the market value of all open futures interest contract positions and other assets of the Series) less all liabilities of the Series (including, but not limited to, the costs, fees and expenses incurred by its Trading Company, including all management fees, performance fees, incentive allocations, brokerage, transaction, clearing and execution expenses, administrative fees, and other fees and extraordinary expenses of the Trading Company, determined in accordance with GAAP). As determined by the Managing Member, the costs associated with the organization and offering of the Company may be amortized over 60 calendar months from the date the initial Series of the Company commences investing. Net Asset Value of the Series may be determined on a per Class basis as determined by the Managing Member. Appropriate reserves may be created, accrued, and charged against the Net Asset Value of the Series by the Managing Member for contingent liabilities, if any, as of the date any such contingent liability becomes known to the Managing Member.

Definitions Accounting. (i) The Partnership’s “Net Assets” shall mean the total assets of the Partnership (including but not limited to all cash and cash equivalents (valued at cost), accrued interest and amortization of original issue discount, and the market value of all open commodity interest contract positions and all other assets of the Partnership) less the total liabilities of the Partnership (including but not limited to legal, accounting, and auditing fees, organizational and offering expenses, brokerage commissions and fees and other transaction costs, management fees and incentive fees payable to trading advisors, and extraordinary expenses, whether incurred or accrued), determined in accordance with the principles specified in this Section 8(d)(i) or, where no principle is specified, in accordance with United States generally accepted accounting principles consistently applied under the accrual basis of accounting. The market value of a commodity interest contract traded on a United States exchange or market shall mean the settlement price on the exchange or market on which such contract is traded by the Partnership on the day with respect to which Net Assets shall be determined; provided, however, that if a commodity interest contract could not have been liquidated on such day due to the operation of daily limits or other rules of the exchange or market upon which such contract was traded or otherwise, the settlement price on the first subsequent day on which such contract could have been liquidated shall be the market value of such contract for such day. The market value of a forward contract, a futures contract traded on a foreign exchange or market, a swap contract, or other off-exchange contract, instrument, or transaction shall mean its market value as determined by the General Partner in its sole discretion on a basis consistently applied.
Definitions Accounting. (1) Net Assets of the Partnership shall mean the sum of all cash, plus treasury bills, notes or other securities at market value, plus the market value of all open futures, forward, over the counter swap or other trading positions maintained by the Partnership, less all liabilities of the Partnership determined in accordance with the accounting principles set forth below. All determinations of value by the General Partner shall be final and conclusive as to all Partners, absent bad faith, and the General Partner shall be absolutely protected in relying upon valuations furnished to the General Partner by third parties believed by the General Partner, without independent investigation, to be made in good faith and reliable. (2) Trading Profits shall mean, with respect to each Interest or any sub-account associated therewith, the cumulative net realized and unrealized gain or losses in the value of such Interest or sub-account, including interest income, reduced by fees (other than any Profit Share) payable to the General Partner and other Partnership expenses. Trading Profits, including the high point in Trading Profits (and any loss carryforward for purposes of calculating any increase in Trading Profits) with respect to an Interest and any associated sub-account will be proportionally reduced by distributions or withdrawals with respect to such Interest and such sub-account if applicable.
