Devotion of Services. Employee shall devote his entire productive time, ability and attention exclusively to the business of Company during the term of this Agreement, except for passive investments, charitable and non-profit enterprises and any other business investments which do not interfere with his duties hereunder and which are not competitive with Employer’s activities (except as the owner of less than 2% of the issued and outstanding capital stock of a publicly traded corporation). Employee shall perform and discharge well and faithfully those duties assigned him by Company. Employee shall perform his services under this Agreement in Los Angeles County, California, or such other location as is acceptable to Employee.
Devotion of Services. Executive agrees to devote his/her best efforts to the services of the Company in such capacity as the Company from time to time shall direct consistent with the responsibilities of a Chief Administrative Officer, General Counsel and Secretary, and to comply with the Company’s policies, practices and Code of Business Conduct and Ethics at all times. During his/her employment with the Company, Executive shall devote his/her full business time and attention to serving as Chief Administrative Officer, General Counsel and Secretary, provided that Executive may devote reasonable time to outside charitable, professional and educational activities so long as such activities do not materially interfere or conflict with the performance of Executive’s duties under this Agreement.
Devotion of Services. Employee shall be a full-time employee of Company during the term of this Agreement. Employee shall not participate in any activities which may interfere with his duties hereunder and/or which are competitive with Employer's activities (except as the owner of less than 2% of the issued and outstanding capital stock of a publicly traded corporation). Employee shall perform and discharge well and faithfully those duties assigned him by Company.

Employee agrees that during the term of his or her employment with the Company, Employee will not engage in any other employment, occupation, consulting or other business activity directly related to the business in which the Company is now involved or becomes involved during the term of his or her employment, nor will he or she engage in any other activities that conflict with his or her obligations to the Company without the express written consent of the Chief Executive Officer of the Company.
Devotion of Services. Employee agrees to devote his best efforts to the services of the Company in such capacity as the Company from time to time shall direct and agrees to comply with PAREXEL’s policies, practices and Code of Business Conduct and Ethics at all times. Employee warrants and represents that he is not subject to any restrictive covenant (non-competition, non-solicitation, confidentiality, or other obligation) with any third party that would prevent Employee from performing his job duties for the Company.
Devotion of Services. Executive agrees to devote his best efforts to the services of the Company in such capacity as the Company from time to time shall direct, consistent with the responsibilities of an Executive Vice President and Chief Financial Officer, and agrees to comply with the Company’s policies, practices and Code of Business Conduct and Ethics at all times. For so long as Executive is employed by the Company, Executive shall devote his full time to serving as its Executive Vice President and Chief Financial Officer, provided that Executive may devote reasonable time to charitable, professional and educational activities to the extent such activities do not conflict materially with the performance of Executive’s duties to the Company or otherwise conflict with this Agreement. Executive may serve as a member of a board of directors for an entity not affiliated with the Company, so long as the executive complies with the Company’s then current conflict of interest policy and any other Company required approvals.
Devotion of Services. 2.1 The Employee agrees to devote his/her best efforts to the Business in such capacity as the Company from time to time shall direct and agrees to comply with the Company’s policies, practices and Code of Business Conduct and Ethics at all times.
2.2 The Employee is expected to serve the Company with the utmost good faith and fidelity at all times. The Employee has a duty to report to his/her manager any matters that could affect the Business (whether positively or adversely).
2.3 The Employee represents and warrants that he/she is not bound by or subject to any court order, agreement, arrangement, restriction or undertaking which in any way restricts or prohibits him/her from entering into this Agreement or from performing his/her duties under this Agreement.
2.4 It is a further condition of the Employee’s employment with the Company that he/she will, whilst working for the Company, observe and in every respect comply with all or any such restrictions as do or will apply to the Employee and/or to his/her work activities and that the Employee will take every practicable step to ensure that the Company is not exposed to any liability for inducing a breach of any such restrictions.
2.5 Contravention of this paragraph 2 is likely to be treated by the Company as gross misconduct.
Devotion of Services. Employee shall provide services to the Company on a substantially part-time basis, which shall not exceed an average (determined on a monthly basis) of 30 hours per week. Employee shall take no action in his capacity as an employee of the Company that could reasonably be expected to create a conflict with his duties to the Company, including but not limited to his duties of loyalty, honesty, and fair dealing. Employee shall perform and discharge well and faithfully those duties assigned by the Company. Employee shall devote sufficient time, ability, and attention exclusively to the business of the Company during the term of this Agreement to perform and discharge well and faithfully those duties assigned by the Company.
Devotion of Services. Employee agrees to devote his/her best efforts to the services of ADE in such capacity as ADE from time to time shall direct. Employee further agrees that while employed by ADE he/she will not have any direct or indirect financial interest in any entity reasonably deemed to compete with ADE with the exception of shares in publicly traded companies.
