DISTRIBUTOR REQUIREMENTS. 3.1 Launch no less than 10,000 point of sale retail locations. 3.2 Purchase at least 50,000 Product Units within 30 days of the date hereof and an additional 200,000 Product Units annually throughout the Term and any renewal terms hereof. 3.3 Provide retails with information regarding the Stored Value Card System and with set up, training and implementation of the Stored Value Card System at Distributor's cost. 3.4 Shall provide to retailers a purchase or lease program for the hardware necessary to implement the Stored Value Card System for retailers not having hardware compatible with the Stored Value Card System. 3.5 Provide reasonable assistance to MBI in the implementation of the necessary products and services to support the Product. 3.6 Provide advertising materials to the Distributor's Retail Network promoting the Product. 3.7 Establish specifications for a launch plan for distribution of the Product and inform MBI of the identity of Distributor's team leader responsible for the launch of the distribution plan and the implementation of the Stored Value Card System throughout Distributor's Retail Network. 3.8 Distributor acknowledges that implementation of the Stored Value Card System throughout Distributor's Retail Network will require significant involvement by Distributor's technical personnel. To implement the Stored Value Card System Distributor shall: (a) Define and implement a plan for the trial testing and loading of the Product, including a timeline and anticipated dates of implementation. (b) Provide appropriate information to all Distributors sales agents and independent representatives sufficient for the sales agents and independent representatives to market the Product.

DISTRIBUTOR REQUIREMENTS. Licensee shall be entitled to use third party distributions (“Distributors”) to distribute, advertise and sell Licensed Products in the Territory provided that prior to appointing any Distributor: 11.1.1. Licensee provides the Licensor with all information and copies of documents reasonably requested by the Licensor in relation to the Distributor; 11.1.2. the Distributor signs the Licensor’s Codes of Conduct and enters into any other written agreements as required by the Licensor and provides Licensor with a copy of such documents; and 11.1.3. Licensee complies with all other reasonable requests made by the Licensor in relation to the proposed Distributor.

Distributor shall use various marketing methods to drive Consumers to submit Product Applications. 3.2 Provide reasonable assistance to NMI in the implementation of the necessary products and services to support the Product. 3.3 Provide advertising materials to the Distributor's Network promoting the Product. 3.4 Establish specifications for a launch plan for distribution of the Product Application and inform MBI of the identity of Distributor's team leader responsible for the launch of the distribution plan. 3.5 Distributor agrees that neither Distributor nor Distributor's Network will telemarket the product 3.6 Urban Networks will provide a strip ad in the Urban Network Magazine promoting the MBI stored value Visa/Master card that will run for a minimum of 4 months beginning with the November 2004 issue. 3.7 Promotion of the MBI stored value Visa/Master card on the Urban Networks web site xxx.xxxxxxxxxxxxxx.xxx 3.8 Inclusion in the Urban Networks bi monthly newsletter for a total of 5 million emails over the course of the promotion. 3.9 Urban Networks will do a announcement of our promotional venture in the Urban Networks magazine (October issue)

DISTRIBUTOR REQUIREMENTS. 1st Distributor agrees to provide VE Credit Card information to keep on file and authorize VE to charge the Distributor for the amount of product requested to be delivered plus S&H throughout the duration of this Agreement. MC, Visa and Discover accepted. 2nd Manufacturer’s suggested retail will be recognized as Minimum Acceptable Pricing (M.A.P.). Distributor may sell for more than M.A.P. 3rd Distributor may not sell VE products on xxxx.xxx or similar auction sites. Distributor will register, when requested by VE, which website VE products are sold. 4th Distributor may sell VE products on Xxxxxx.xxx provided they recognize Minimum Acceptable Pricing (M.A.P.). 5th Distributor will display VE logo on website and price all VE products in a manner that is favorable to VE’s image and reputation and the public’s perception of the value of its products as determined by VE management. 6th Distributor will provide some form of Tax ID authorizing resale of a product to avoid Sales Tax on our end. 7th Distributor will provide quality customer service to its customers that buy VE products. 8th Distributors wishing to use their company shipping account will incur a Handling Fee. 9th Distributor staff will be completely familiar with VE’s product features and functions. 10th VE will monitor websites for compliance.
DISTRIBUTOR REQUIREMENTS. During the Term, Distributor must: (i) ensure not to materially breach the applicable quality standards and requirements promulgated by NMPA; (ii) use commercially reasonable effort to achieve the Performance Target as specified in EXHIBIT A; (iii) ensure not to materially breach the Quality Requirements and the requirements of Section 2.5 (Quality Generally); (iv) remain responsible for all Customer support activities specified in Section 2.11; and (v) comply with ViewRay’s training requirements for distributors. Distributor is responsible for reasonable costs and expenses incurred by it or its personnel to attend ViewRay training.

Each retail location shall be required to execute the Xxxxxx Beaumont Stored Value Card System Service Agreement and abide by the terms set forth in the Agreement. This Service Agreement Shall allow the retail location to become part of the Xxxxxx Beaumont Stored Value Card System, permitting the retailer to participate in a "risk pool" of funds established to cover the potential loss of consumer load funds.
