Client shall pay as prescribed in Appendix A and shall make any deficiency payments within 5 days of notice. Client shall pay Office’s invoices within (15) business days from date of invoice or (10) business days from the date of receipt of the statement, whichever is greater. Invoices not paid within (10) days are considered past-due. Client agrees to pay reasonable attorney’s fees for the cost of collection on past due accounts. Client understand that Office may change the schedule of Program Fees at any time by sending to Client a new schedule of Program Fees (any revised Program Fee schedule will be applicable at Your next annual renewal date). Fees may be amended with the current term if they are adjusted due to the number of employees enrolled. Client shall notify Office of any change in the enrollment status of an employee.

In addition to the prompt payment of all amounts that come due under this Agreement, Client agrees to make the real property available at reasonable times, including during regular business hours, as shall be required for the Contractor’s performance of the Services.

Client represents and warrants that it has obtained all consents, authorizations, or other permissions necessary under HIPAA. Client agrees to take all reasonable and appropriate steps to ensure compliance with its role as a Covered Entity, including security measures such as firewalls, patch installations, and encryption.
DUTIES AND RESPONSIBILITIES OF CLIENT. Client warrants that it will not: (i) provide PHI to Jitterbit in violation of HIPAA or the Agreement; or (ii) request that Jitterbit use or disclose PHI in any manner that would not be permissible under HIPAA. Client will at all times comply with HIPAA in its role as a Covered Entity, including but not limited to implementing appropriate Administrative, Physical, and Technical safeguards to protect the confidentiality, integrity and availability of any PHI. If Client uses Included Functionality in connection with PHI, Client will take appropriate measures to limit its use of PHI in the Jitterbit Applications to the minimum extent necessary for Client to carry out its authorized use of such PHI. Client agrees that Jitterbit has no obligation to protect PHI under this BAA to the extent Client creates, receives, maintains, or transmits such PHI outside of the Included Functionality (including Client’s use of its own or third party offline or on-premise storage tools or applications).
