Employees to be Hired by Purchaser. (a) US Purchaser shall offer employment, to be effective as of the Closing Date, to those employees of the US Business identified in writing by US Purchaser to Sellers prior to the Closing Date providedthat US Purchaser shall offer employment to all employees of Wxxxx US as of the Closing Date other than employees of Wxxxx US who work at the Retained Leased Property and other than up to 5 other Wxxxx US employees. Each such employee who accepts such offer of employment and commences employment with Purchaser immediately after the Closing Date is herein referred to as a "Transferred Employee".

Employees to be Hired by Purchaser. (a) Upon Closing, Purchaser shall offer employment to each of the employees employed by the Business at Closing (each an "Employee") except for (i) those individuals holding positions with Seller of Department Head or higher who are identified as not being hired by Purchaser within sixty (60) days after the date the execution of the Agreement is publicly announced; and (ii) employees who as of the Closing Date are on leave of absence or disability leave relating to physical or mental disability (including leave pursuant to the FMLA). Each offer of employment shall be at compensation levels that are in the aggregate substantially comparable to that provided by Seller immediately prior to the Closing Date. Employees who accept Purchaser's offer of employment including those on leave of absence or disability and hired by Purchaser after the Closing Date pursuant to Section 14.01(c) hereof are hereinafter collectively called "Transferred Employees." The Purchaser shall, as soon as reasonably practicable, notify Seller of any Employee who does not become a Transferred Employee.
Employees to be Hired by Purchaser. (a) Upon Closing, Purchaser shall offer employment on terms and conditions substantially comparable to their current terms and conditions of employment (subject to the terms of Section 14.1(b)) to each of the employees employed by the Business at Closing (other than those employees on long-term disability). All employees of the Business who accept employment with Purchaser and commence such employment immediately after the Closing (the "Transferred Employees") shall receive credit for their years of service with Seller solely for purposes of vesting and eligibility in determining their employee benefits with Purchaser.

As a sub-adviser to the Portfolio(s), the Sub-Adviser will invest and reinvest the assets of the Portfolio(s) and determine the composition of the assets of the Portfolio(s), subject always to the supervision and control of the Adviser and the Trust Board.

  • SERVICES TO BE RENDERED BY SUB-ADVISER TO THE FUND (a) Subject to the direction and control of the Board of Trustees (the "Trustees") of the Trust, the Sub-Adviser, at its expense, will furnish continuously an investment program for the Fund which shall at all times meet the diversification requirements of Section 817(h) of the Internal Revenue Code of 1986 (the "Code"). The Sub-Adviser will make investment decisions on behalf of the Fund and place all orders for the purchase and sale of portfolio securities. The Sub-Adviser will be an independent contractor and will not have authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent of the Trust or Adviser except as expressly authorized in this Agreement or another writing by the Trust, Adviser and the Sub-Adviser.

  • SERVICES TO BE RENDERED BY SUB-MANAGER (a) The Sub-Manager, at its expense, will furnish continuously an investment program for that portion of any Fund the management of which is allocated from time to time by the Manager to the Sub-Manager (an “Allocated Sleeve”). The Manager shall, in its sole discretion, determine which Funds will have an Allocated Sleeve and the amount of assets allocated from time to time to each such Allocated Sleeve; provided that, with respect to any Fund, the Trustees of such Fund must have approved the use of the Sub-Manager prior to the creation of an Allocated Sleeve for such Fund. The Sub-Manager will determine what investments shall be purchased, held, sold or exchanged by any Allocated Sleeve and what portion, if any, of the assets of the Allocated Sleeve shall be held uninvested and shall, on behalf of the Fund, make changes in the Fund’s investments held in such Allocated Sleeve.

  • Information to Be Provided by the Company In connection with any Securitization Transaction, the Company shall use its best efforts to (i) within five (5) Business Days, but in no event later than ten (10) Business Days, following written request by the Purchaser or any Depositor, provide to the Purchaser and such Depositor (or, as applicable, cause each Third-Party Originator to provide), in writing and in form and substance reasonably satisfactory to the Purchaser and such Depositor, the information and materials specified in paragraphs (a), (b), (c) and (f) of this Section, and (ii) as promptly as practicable following notice to or discovery by the Company, provide to the Purchaser and any Depositor (in writing and in form and substance reasonably satisfactory to the Purchaser and such Depositor) the information specified in paragraph (d) of this Section.

As investment adviser to the Fund, the Adviser will coordinate the investment and reinvestment of the assets of the Allocated Portion and determine the composition of the assets of the Allocated Portion, subject always to the supervision and control of the Manager and the Trustees of the Trust.

  • Solicitation of Employees, Consultants and Other Parties I agree that during the term of my Relationship with the Company, and for a period of twenty-four months immediately following the termination of my Relationship with the Company for any reason, whether with or without cause, I shall not either directly or indirectly solicit, induce, recruit or encourage any of the Company’s employees or consultants to terminate their relationship with the Company, or attempt to solicit, induce, recruit, encourage or take away employees or consultants of the Company, either for myself or for any other person or entity. Further, during my Relationship with the Company and at any time following termination of my Relationship with the Company for any reason, with or without cause, I shall not use any information rising to the level of a trade secret of the Company: (i) to attempt to negatively influence any of the Company’s clients or customers from purchasing Company products or services; (ii) to solicit or influence or attempt to influence any client, customer or other person either directly or indirectly; or, (iii) to direct any of the Company’s clients or customers to purchase products and/or services – from any person, firm, corporation, institution or other entity in competition with the business of the Company.

  • SERVICES TO BE RENDERED BY THE SUBADVISER TO THE TRUST a. Subject always to the direction and control of the Trustees of the Trust, the Subadviser will manage the investments and determine the composition of the assets of the Portfolios in accordance with the Portfolios' registration statement, as amended.
