Engagement Model. 1. Upon Open Ecosystem Partner meeting the Program Requirements for the first time and subject to Open Ecosystem Partner’s compliance with all Program Requirements at all times during the term of this Sell On Premise Open Ecosystem Model, SAP hereby grants to Open Ecosystem Partner and Open Ecosystem Partner hereby accepts from SAP the right to: a) purchase those Software products from Distributors for which Open Ecosystem Partner achieved and continues to uphold a successful Sell Authorization; b) market and distribute the Software purchased from a Distributor in its own name, at its own risk and for its own account to End Users located in the Territory (as defined in the Sell On Premise Open Ecosystem Schedule); and c) position SAP Delivered Support for the Software purchased from a Distributor to End Users located in the Territory (as defined in the Sell On Premise Open Ecosystem Schedule), if available for the Software product. 2. Open Ecosystem Partner will use its best efforts to market and position SAP Delivered Support for the Software purchase from a Distributor to End Users located in the Territory. 3. SAP will inform its Distributors located in the Territory: a) once Open Ecosystem Partner has fulfilled the Program Requirements for the first time by displaying the Open Ecosystem Partner as “Open Ecosystem Partner” on SAP’s partner-dedicated website; and b) if Open Ecosystem Partner ceases to fulfill the Program Requirements or if this Sell On Premise Open Ecosystem Model is terminated, rescinded or ends in any other way by either showing the Open Ecosystem Partner as “non-operational” on or delisting the Open Ecosystem Partner from SAP’s partner-dedicated website. 4. Open Ecosystem Partner is solely responsible for accurately and completely representing the Software and the Maintenance Services. Open Ecosystem Partner assumes all financial and legal liability for the quality, reliability and accuracy of all representations and warranties made by Open Ecosystem Partner, its employees, agents and consultants beyond what is contained in the Documentation. Open Ecosystem Partner will at any presentation give the SAP Group and its licensors appropriate credit for the ownership of the Software, Documentation and other SAP Materials. 5. Open Ecosystem Partner must not deliver or recommend any software or other products that are incompatible with the Software. 6. Partner will use its best efforts to market and position SAP Delivered Support or to market, sell and provide VAR Delivered Support, if Partner is authorized to provide VAR Delivered Support, or VAR Delivered Support For Business One for the Software distributed under this Sell On Premise Model. 3. Partner is solely responsible for accurately and completely representing the Software and the Maintenance Services. Engagement Model. 1. Subject to the terms and conditions set out in this Run On Premise Model and only (a) as long Partner is authorized to provide services to End Users for Software (as defined in the Outsourcing Agreement) under the Outsourcing Agreement; (b) upon Partner meeting the Program Requirements for the first time and subject to Partner’s compliance with all Program Requirements at all times during the term of this Run On Premise Model; and (c) as long as Partner has achieved and continues to uphold Run Authorization, SAP hereby grants to Partner and Partner hereby accepts from SAP the right to provide Run Delivered Support for the Supported Software in its own name, at its own risk and for its own account to Supported End Users located in the Territory (as defined in the Run On Premise Schedule). 2. Partner will use its best efforts to provide Run Delivered Support for the Supported Software provided under an Outsourcing Agreement.
Engagement Model. 3.9.a The Parties seek to create a predictable framework for allocating Engagement effort based on the significance of a Proposed Activity and the sensitivity of resource values or interests that are affected, and establish clear timelines and procedures for Engagement between them. 3.9.b Pursuant to Section 3.9.a, the Parties will undertake Engagement with each other related to Proposed Activities within the SDM Area through the Engagement Model described in Appendix B. 3.9.c The Province will continue to encourage early and respectful engagement between prospective Applicants and the TRTFN, commensurate with the scale of the Proposed Activities. 3.9.d For the purposes of Engagement, the Parties will use electronic media to communicate and provide information to one another where practicable.
Engagement Model. Except as expressly provided otherwise in this Agreement, (a) as it relates to Marketplace Orders, Company shall look solely to the Marketplace Provider with respect to Company’s rights and obligations for the Products and Services (including payment of any applicable fees), as detailed in the Company Marketplace Agreement and Marketplace Order,; and (b) as it relates to Direct Orders, Company shall look solely to Pindrop with respect to Company’s rights and obligations for the Products and Services (including payment of applicable fees) as detailed in this Agreement and the relevant Direct Order.
Engagement Model. 2.1 Subject to Open Ecosystem Member’s compliance with all Program Requirements at all times during the term of this Build Open Ecosystem Model and subject to Open Ecosystem Member’s subscription to a Development License as set forth in the Open Ecosystem Program Guide and execution of a Development Agreement, SAP will provide to Open Ecosystem Member services as described in the Open Ecosystem Program Guide, which currently encompass, among others, the following: (a) Access to the SAP PartnerEdge Portal (b) Access to SAP community forums and collaboration rooms (c) Access to product documentation, online tutorials and other learning material (d) Access to SAP technology and application roadmaps 2.2 Each Party agrees to cooperate reasonably with the other Party under the Agreement. 2.3 The Agreement does not grant Open Ecosystem Member: (a) any right to Use or access any SAP software or Cloud Service. Any use of software or Cloud Service by Open Ecosystem Member for testing, development, and demonstration purposes is subject to the conclusion of a separate Development Agreement. (b) any rights or benefits under the SAP PartnerEdge partner program except as otherwise specified in the Open Ecosystem Program Guide. 2.4 Open Ecosystem Member may delegate the performance of the Open Ecosystem Member’s duties to suitably qualified personnel of an Affiliate. Notwithstanding such delegation by the Open Ecosystem Member of its duties, Open Ecosystem Member shall remain directly liable to SAP. Under no circumstances shall the Open Ecosystem Member’s Affiliate be entitled to hold itself out to be an authorized SAP partner or having any other direct relationship to SAP.

Engagement Model. 2.1 Subject to Partner’s compliance with all Program Requirements (including meeting the Application Readiness Check criteria) at all times during the term of this SAP PartnerEdge Model and subject to Partner’s subscription to a Development License as set forth in the PartnerEdge Program Guide and execution of a Development Agreement, SAP grants to Partner the rights set forth in Section 2.2 below.
