Engagement of sub-processors. 6.1 You hereby grant Us a general authorization to appoint Sub-processors (and to permit each Sub-processor appointed in accordance with this Section 6 to appoint Sub-processors). This includes and authorization for Us to engage Our Affiliates to provide some of the Products and Services, and You agree that such Affiliates may access or Process Personal Data to fulfil Our contractual obligations under the Agreement or to provide Products and Services on Our behalf.

Engagement of sub-processors. 7.1. Customer grants Service Provider the general authorization to engage sub-processors with regard to the processing of Customer Personal Data. Sub-processors engaged at the time of conclusion of the Agreement are listed in the Services Description where those being applicable at the time the Parties entering into the Agreement may also being set forth in an Exhibit to this DPA. In case of any contradictions the sub-processor list as being set forth in the online Services Description shall prevail.
Engagement of sub-processors. (a) The Processor can engage, and the Controller consents to the Processor engaging, other processors (“sub- processors”) for the performance of this DPA. A list of the Processor’s sub-processors from time to time will be accessible on the Processor’s website.

The Processor will receive on the basis of this Processing Agreement general permission for the engagement of Sub-Processors within the meaning of Section 28, subsection 2, of the GDPR. The Controller agrees that the Processor may use sub-processors to fulfil its contractual obligations under this DPA or to provide certain services on its behalf, such as providing additional functionalities or support services. Services offered through the Marketplace may be provided by sub-processors or may engage in a direct contract with the Controller. Processor is not permitted to engage the services of a sub-processor in the context of this agreement without the Controller’s express prior permission in writing. Permission is hereby given for sub-processors mentioned on Schedule A.

Any Sub-processor will be permitted to process Institution Personal Information only as necessary to deliver the services for which Xxxxxx Mind has retained them, and such Sub-processors will be prohibited from processing Institution Personal Information for any other purpose. Subject to section 3.3 of this Annex One, such Sub-processors will provide services pursuant to a written agreement with Xxxxxx Mind containing substantially the same data protection obligations as set forth herein. Xxxxxx Mind shall be liable to the Institution for the acts and omissions of its Sub- processors to the same extent Xxxxxx Mind would be liable if performing the services of each Sub-processor directly under the Agreement, except as otherwise set forth in the Agreement or required by law.

Engagement of sub-processors. The Data Processor shall not engage another processor without prior specific or general written authorization of the Data Controller. In case of general written authorization, the Data Processor shall inform the Data Controller of that legal requirement before processing, unless that law prohibits such information on important grounds of public interest. Where the Data Processor engages another processor (sub-processor) for carrying out specific processing activities on behalf of the Data Controller, the same data protection obligations as set out this processor agreement or other legal act between the Data Controller and the processor as referred to in article 28, paragraph 3, of the GDPR, shall be imposed on that other processor (sub- processor) by way of contract or other legal act under Union or Member State law, in particular providing sufficient guarantees to implement appropriate technical and organizational measures in such a manner that the processing will meet the requirements of the GDPR. Where that other processor (sub-processor) fails to fulfill its data protection obligations, the initial Data Processor shall remain fully liable to the Data Controller for the performance of that other processor’s (sub- processor’s) obligations. Data Controller agrees that Data Processor is engaging these sub-processors and hereby provides general authorization for Data Processor to engage any sub-processors to provide similar or related services. Data Processor shall provide Data Controller with at least 14 days' prior notice of any new sub- processors. Notification of sub-processors will be sent to Data Controller via email. If, within 7 days of receipt of that notice, Data Controller notifies Data Processor in writing of any objections (on reasonable grounds) to the proposed appointment, Data Processor shall work with Data Controller in good faith to make available a commercially reasonable change in the provision of the Services which avoids the use of that proposed sub-processor; and where such a change cannot be made within 14 days from Data Processor's receipt of Data Controller 's notice, Data Controller may by written notice to Data Processor with immediate effect terminate the Services Agreement to the extent that it relates to the Services which require the use of the proposed sub-processor. Engagement of sub-processors. Pursuant to Clause 9 of the Standard Contractual Clauses, and as otherwise required by Data Protection Legislation, Photographer hereby authorizes Flickr’s engagement of the sub-processors in Annex III (“Authorized Sub-Processor”). Flickr will not engage any sub- processors other than the Authorized Sub-Processor without Photographer’s general authorization. Flickr will obtain such general authorization in accordance with the procedure set forth in Clause 9 of the Standard Contractual Clauses, provided that a 30-day notice period shall apply. Flickr may provide such notice through an industry-standard mechanism, provided Flickr first informs Photographer of such mechanism directly in writing. If Photographer objects in writing to a proposed sub- processor, Photographer’s sole and exclusive remedy will be to terminate the affected product under the Agreement and receive a pro-rated refund of any prepaid fees for such product, with the pro-rated period commencing on the date the applicable sub-processor is engaged. General authorization will be inferred by the lack of a written objection from Photographer by the end of the 30-day notice period. Audit. Without limiting the obligations contained in Clause 8.9 of the Standard Contractual Clauses and as otherwise required by Data Protection Legislation, Flickr shall permit Photographer and/or its authorized agents, at Photographer’s cost, to audit its written records and systems to the extent reasonably required in order to confirm that Flickr is complying with its obligations under this DPA, provided always that any such audit does not involve the review of any third-party data and that the records and information accessed in connection with such audit are treated as Flickr’s confidential and proprietary information. Photographer shall bear its own costs in relation to such audit. Data Subject Rights, Assistance, Accuracy and Data Deletion. Without limiting the obligations contained in Clauses 8.4, 8.5, 10 and 16(d) of the Standard Contractual Clauses, the parties agree that the following clarifications apply to such Clauses: (i) Flickr may, without prior authorization from Photographer, respond to a direct request from a data subject in circumstances where the scope of the request is unclear to seek to verify whether the request relates to Photographer; (ii) before requesting Flickr’s assistance in responding to requests from data subjects, Photographer shall use all reasonable efforts to first action such req...
Engagement of sub-processors. 6.1 By signing this DPA, the Controller approves and acknowledges that the Processor may engage one or more subcontractors for the purpose of carrying out the Processing (each, a “Sub-Processor”). Any transfer of personal data to a Sub-Processor is made at the Processor’s risk and does not alter the allocation of responsibility between the Processor and the Controller.
