Expert Advice. For Lot 2, when a requirement for Expert Advice arises, the Contracting Body will consider the technical responses provided during the tender process, to determine and shortlist Key Personnel that are capable of providing the Services. This will be based on the species on which the Expert Advice is required. For example, only Key Personnel who have indicated they have expertise in bovines will be shortlisted for a requirement relating to bovine Expert Advice.
Expert Advice. The parties acknowledge that they may and should obtain expert advice as to any matters of matters relative to this transaction, including tax, legal, or otherwise.

2. Those Framework Providers that have Key Personnel capable of providing Expert Advice for that species will then be invited to compete. An RFQ will be sent to the shortlisted Framework Providers inviting them to respond by the required deadline. It is anticipated that the RFQ will include a pricing schedule and technical questions relating to the ability of the Framework Provider and their Key Personnel to deliver the Services. These may consider the following: Relevant and sufficient species and/or industry expertise and experience Qualifications, skills and/or accreditations which are relevant to the requirement Any known conflict of interest
3. Scoring criteria and weightings will be provided in the RFQ. The Call-Off Contract will be awarded to the highest scoring Framework Provider.
4. If Expert Advice is required for a rare breed, and only one Framework Provider has Key Personnel with expertise in that particular rare breed, then the Contracting Body reserves the right to award the Call-Off Contract with that Framework Provider without undertaking a competitive exercise.
5. All Call-Off Contracts shall be governed by the Call-Off Terms and Conditions
6. The Contracting Body reserves the right to amalgamate debriefs and carry them out at contract management meetings.
7. The Contracting Body will nominate a responsible owner for monitoring and managing each individual Call-Off Contract. This will be the contract manager.
8. For mini competitions, e-tendering may be used, for example, Framework Providers may be invited by this portal: xxxxx://xxxxx.xxxxxxxxxxxxxx.xx.xx/. However it is anticipated that the majority of mini competitions will be undertaken via email. The Contracting Body will send an RFQ to the Framework Providers‟ nominated email addresses, giving details of the requirement and specifying a deadline for the receipt of Offers. Framework Providers must ensure that they have given Defra an up to date contact email address and it is their responsibility to regularly check email...
Expert Advice. The Collateral Agent shall engage and consult, at the expense of the Chargor, with any legal adviser and professional adviser selected by it and rely upon any advice so obtained. The Collateral Agent and its respective directors, officers, employees and duly appointed agents shall be protected and shall not be liable in respect of any action taken, or omitted to be done or suffered to be taken, in accordance with such advice.
