(2) Cable operators may identify as a separate line item of each regular subscriber xxxx the following: (a) The amount of the total xxxx assessed as a franchise fee and the identity of the franchising authority to whom the fee is paid; (b) The amount of the total xxxx assessed to satisfy any requirements imposed on the cable operator by the franchise agreement to support public, educational, or governmental channels or the use of such channels; (c) The amount of any other fee, tax, assessment, or charge of any kind imposed by any governmental authority on the transaction between the operator and the subscriber. In order for a governmental fee or assessment to be separately identified under 207 CMR 10.03, it must be directly imposed by a governmental body on a transaction between a subscriber and an operator. (3) All itemized costs shall be direct and verifiable. Each cable operator shall maintain a document in its public file which shall be available upon request that provides the accounting justification for all itemized costs appearing on the xxxx.

Form of Xxxx. Before commercial production and distribution of any Licensed Goods, marketing material or any other item bearing any reference to the Zoom Marks, Licensee shall submit to Licensor all preliminary and proposed final artwork, prototypes, mock-ups and pre-production samples of each Licensed Good, including all styles, colors and variations, together with its labels, tags, cartons and containers and including packaging and wrapping materials and all advertising and promotional materials, for approval and free of charge to Licensor. Failure by Licensor to approve or disapprove any item required to be submitted hereunder shall be deemed a disapproval by Licensor. Approval of an item or Licensed Good which uses particular artwork does not imply approval of such artwork with a different item or Licensed Good or of such item or Licensed Good with different artwork. Licensee acknowledges that Licensor’s approval of an item or Licensed Good does not imply approval of, or license to use, any non-Licensor controlled elements contained in any item or Licensed Good. After a sample of an item has been approved, Licensee shall not make any changes without resubmitting the modified item for Licensor’s written approval. All decisions by Licensor relating to disapproval of any Licensed Good shall be made in its sole discretion, and shall be final and binding on Licensee and shall not be subject to review in any proceeding.

Form of XxxxLicensee shall use the ZOOM Marks only in a form approved by Licensor or any other Person acting on Licensor’s behalf. Licensee may not use the ZOOM Marks until and unless Licensee has provided Licensor with a mock up showing the proposed use and received Licensor’s prior written approval, which approval shall not be unreasonably withheld. Any mock up submitted to Licensor shall not be deemed approved unless and until Licensor has approved it in writing; provided, however, that if a mock up has not been disapproved by Licensor within seven (7) Business Days of its receipt thereof, then such use shall be deemed approved. Once approved, Licensee’s use shall not deviate from the mock up.
Form of Xxxx. The format of the single xxxx must conform with the Public Utilities Act ("Act"), i.e., Section 16-118(b), 220 ILCS 5/16-118(b), and the applicable Commission rules. Each xxxx to retail customers will identify Ameren Illinois Company as the utility providing the delivery services and a listing of the charges applicable to such services.   • Form of Right Each Right shall be issued in registered form only, shall be in substantially the form of Exhibit A hereto, the provisions of which are incorporated herein and shall be signed by, or bear the facsimile signature of, the Chairman of the Board or Chief Executive Officer and Treasurer, Secretary or Assistant Secretary of the Company and shall bear a facsimile of the Company’s seal. Any of the Notes may have such letters, numbers or other marks of identification and such notations, legends or endorsements as the Officer executing the same may approve (execution thereof to be conclusive evidence of such approval) and as are not inconsistent with the provisions of this Indenture, or as may be required to comply with any law or with any rule or regulation made pursuant thereto or with any rule or regulation of any securities exchange or automated quotation system on which the Notes may be listed or designated for issuance, or to conform to usage or to indicate any special limitations or restrictions to which any particular Notes are subject. Each Global Note shall represent such principal amount of the outstanding Notes as shall be specified therein and shall provide that it shall represent the aggregate principal amount of outstanding Notes from time to time endorsed thereon and that the aggregate principal amount of outstanding Notes represented thereby may from time to time be increased or reduced to reflect redemptions, repurchases, cancellations, conversions, transfers or exchanges permitted hereby. Any endorsement of a Global Note to reflect the amount of any increase or decrease in the amount of outstanding Notes represented thereby shall be made by the Trustee or the Custodian, at the direction of the Trustee, in such manner and upon instructions given by the Holder of such Notes in accordance with this Indenture. Payment of principal (including the Redemption Price and the Fundamental Change Repurchase Price, if applicable) of, and accrued and unpaid interest on, a Global Note shall be made to the Holder of such Note on the date of payment, unless a record date or other means of determining Holders eligible to receive payment is provided for herein.
