Formation; Purposes and Principles. [***], Lyra and Lian will form a joint steering committee (the “JSC”) to provide oversight and to facilitate information sharing between the Parties with respect to the activities of the Parties under this Agreement.

Within [***] after the Effective Date, Surface and GSK will form a joint development committee (the “JDC”) to facilitate information sharing between the Parties with respect to the Development of the Licensed Products as more fully described in Section 3.3, Section 4.2 and Section 6.1(b).
Formation; Purposes and Principles. Within [***] after the Effective Date, Surface and GSK will form a joint patent committee (the “JPC”) to (i) facilitate information sharing between the Parties with respect to the Prosecution of the Licensed Patents, and the Joint Patents, (ii) review and comment on filings or responses with respect to the Licensed Patents and Joint Patents as and if required under this Agreement, and (iii) any other matters for which the Parties are obligated to cooperate, keep each other informed or otherwise communicate under Article VIII; provided that GSK shall have the final decision making authority.

The JCC shall have overall responsibility for the success of the matters related to the Product in the Territory as established by this Agreement, including without limitation: (i) to review and approve the pre- and post-launch Marketing Plan as well as any other matters required for the sales and promotion of the Product in the Territory, except to the extent that certain matters are solely the responsibility of a single Party under this Agreement; (ii) to determine the overall strategy for marketing, promotion and sales of the Product in the Territory; (iii) to advise, provide input and determine strategy for future clinical and/or marketing studies; (iv) to plan and coordinate the Parties' activities hereunder related to sales and marketing of the Product in the Territory; (v) to adopt and approve plans and budgets for the Services under this Agreement, including the Marketing Plan, consistent with the maximization of short-term and long-term profits derived from the sale of the Product in the Territory and any other activities related to sales and marketing of the Product in the Territory that the JCC deems appropriate to achieve the Parties' objectives under this Agreement; (vi) to request the creation of sales, pricing, and financial reports pertaining to pre- and post-launch Services and other marketing activities that may be provided by third parties, and to review such reports in preparation for making recommendations; (vii) facilitate the flow of information among the Parties, including coordinating sales activity with manufacturing schedules and distribution; and (viii) to promptly resolve disputes of the Parties, subject to Article 14.

Within twenty (20) business days after the Effective Date, the Parties will establish a joint steering committee (the “JSC”) to provide high-level oversight and decision-making regarding the activities of the Parties under this Agreement as set forth in this Section 2.1. The JSC will have the responsibilities set forth herein and will not be involved in day-to-day implementation of activities under this Agreement. In conducting its activities, the JSC will operate and make its decisions consistent with the terms of this Agreement.

The JSC shall have overall responsibility for the success of the matters related to the Product in the Territory as established by this Agreement, including without limitation: (i) to determine the overall strategy for marketing, promotion and sales of the Product in the Territory; (ii) to advise, provide input and determine strategy for Phase IIIB/IV Studies; (iii) to plan and coordinate the Parties' activities hereunder related to sales and marketing of the Product in the Territory; (iv) to approve plans and budgets for the services under this Agreement, including the Marketing Plan, consistent with the maximization of long-term profits derived from the sale of the Product in the Territory and any other activities related to sales and marketing of the Product in the Territory the JSC shall deem appropriate to achieve the Parties' objectives under this Agreement; and (v) to resolve disputes of the Parties arising under Section 2.1.1, except as provided by Article 16. Notwithstanding the foregoing, the JSC shall have no authority: (a) to determine the annual value of marketing and promotional expenses to be incurred by Innovex; (b) to determine the total size of the Sales Force to be placed in the field by Innovex; or (c) to determine, interpret or alter the terms and conditions or rights and obligations of the Parties with respect to this Agreement, the Loan Agreement or the Stock Purchase Agreement.

The JCC will be responsible for development and implementation of the Marketing Plan as well as any other matters required for the sales and promotion of the Product in the Territory, except to the extent that certain matters are solely the responsibility of a single Party under this Agreement. The JCC will additionally oversee any other activities the JCC shall deem appropriate to achieve its objectives consistent with this Agreement. In overseeing the operational aspects of commercialization, the JCC shall, consistent with Section 2.1.1, without limitation: (i) oversee Phase IIIB marketing trials which commence after the NDA Filing for the Product, and Phase IV marketing trials for the Product, (ii) plan the marketing and sales of the Product in the Territory consistent with Marketing Plans; (iii) monitor, review and comment on costs incurred by the Parties in connection with such activities; (iv) review and comment on other commercialization and Launch plans for the Product in the Territory; (v) receive and supply the Parties' sales, pricing, and financial reports pertaining to Pre- and Post-Approval Marketing Activities; (vi) review the Marketing Plan; and (vii) facilitate the flow of information among the Parties, including coordinating sales activity with manufacturing schedules and distribution.

As soon as practicable following the Effective Date, but in no event later than [***] after the Effective Date, Company and Licensee will form a joint steering committee (the “JSC”) to provide oversight and to facilitate information sharing between Company and Licensee with respect to the activities of Company and Licensee under this Agreement.

Within [***] [***] after the Effective Date, Alector and GSK shall establish a joint steering committee (the “JSC”), comprised of senior executives, to provide high-level oversight and certain decision-making regarding the activities of the Parties under this Agreement. The JSC will not be involved in day-to-day implementation of activities under this Agreement. The purposes of the JSC shall be (i) to review and oversee the overall global Development, Manufacture and U.S. Commercialization of the Cost Profit Sharing Products in the Field pursuant to this Agreement and (ii) to oversee the JDC, JMC, JPC, JCC and Finance Working Group and resolve matters on which the JDC, JMC, JPC, JCC or Finance Working Group are unable to reach unanimous agreement, except as otherwise provided herein. In conducting its activities, the JSC shall operate and make its decisions consistent with the terms of this Agreement.
