Operational Aspects i) The school shall identify and appoint adequate number of faculty members for managing day-to- day operations of the laboratory. ii) The school shall develop network with industries, academia, research, civil society for knowledge sharing and mentoring support. iii) The school shall provide access to students after the working hours of the host school and allow students from other schools and nearby areas to access the ATL. The school shall ensure safety of the students during the working hours of ATL. iv) The grant-in-aid being released should be exclusively spent on the specified purpose for which it has been sanctioned within the stipulated time. The school will be required to submit Fund Utilisation Certificates (UCs) for the grant-in-aid at the end of each financial year as well as at the time of seeking further installments of the grant-in-aid, if any. v) School shall maintain separate accounts for the funds received from AIM. Grant-in-aid money shall be kept in an interest bearing account and the interest earned should be reported to NITI Aayog. The same will be treated as a credit to the organization and will be adjusted towards further installments of the grant-in-aid vi) Any unspent balance out of the amount sanctioned should be refunded to the Government of India by means of an Account’s Payee Demand Draft drawn in favor of Drawing and Disbursing Officer, NITI Aayog, payable at New Delhi.

Operational Aspects. OCH A/S shall provide 24 hour Help Desk support from ServiceCenter to PASSIVE CUSTOMER regarding the OCH system. PASSIVE CUSTOMER's usage of Help Desk support from ServiceCenter will be invoiced by OCH A/S according to the current OCH price list, see Annex 1. The OCH system and the underlying production environment are designed to be available 24 hours a day, all days of the year, with the exception of planned service windows. However, OCH A/S does not provide any guarantee for such availability. Service windows are basically planned outside normal working hours during the period from 18.00 to 08.00 hours. Extraordinary interruptions - e.g. in case of system re-engineering - will be advised at a notice of 14 days. In connection with the transition from/to summer time, there may be interruptions of a duration up to two hours. OCH A/S response times are specified in Annex 4. OCH A/S does not provide any guarantee as to when observed faults have been repaired. As facility management operator for OCH A/S, Servicedesk physical xxxxxxx period in Servicedesk is all weekdays (Monday-Friday) 08.00-16.00 hours. In addition to this time schedule, a special on-call service is provided. Invoicing for the above services shall be made in accordance with the OCH price list, see Annex 1. PASSIVE CUSTOMER shall not be entitled to perform batch runs, which shall mean collection of major transaction volumes in one run, without prior agreement with ServiceCenter.

Operational Aspects. In order to effectuate the processing of tailings from the Colihues and Cauquenes Deposits, MVC must carry out its activities technically assuring the sustainability of the same in their operational, stability, ecological, regulatory and other aspects. In particular, it must show to the complete satisfaction of DET that the execution of this Agreement by MVC complies at all times with the following: · geotechnical and hydraulic sustainability of the Colihues and Cauquenes Deposits during redeposit. · Control of waters from the Colihues and Cauquenes Deposits. · Periodic control of the capacity of the Colihues and Cauquenes Deposits (semiannual depth measurements). · Nil or positive impact, from both an environmental and operational standpoint, on the Xxxxx Deposit and its effluents of liquid industrial waste, from the discharge of residues from MVC’s processes into the tailings launder, due to the implementation of this Agreement or other contracts, or for any aggregate discharged into the launder for any other reason. · Comply with all necessary and justifiable rules for the safe transportation of tailings through the tailings launder to the Xxxxx Deposit, from a technical and environmental standpoint. If DET detects any deficiencies in the fulfillment of these aspects attributable to MVC, it will advise MVC in writing, and MVC will have a period of 90 days to cure such deficiency. If the deficiency in the fulfillment of these aspects is attributable to DET or to third parties for whom MVC is not responsible pursuant to letter Q. of this same clause, DET will adopt the necessary measures to correct the situation causing such deficiency. DET reserves the right to reduce or completely suspend the extraction of tailings from the Colihues Deposit and the Cauquenes Deposit for technical, operational and/or environmental reasons, without any right of indemnification of any kind. In such case, MVC will have the right to request the justifiable reasons for the adoption of a measure of this nature. Once the situation that resulted in the suspension returns to normal, MVC may continue normally with the extraction of tailings. DET must report these situations to MVC as expeditiously as possible. MVC also reserves the right to reduce or completely suspend the extraction of tailings from the Colihues and Cauquenes Deposits for technical, operational, economic and/or environmental reasons, on a temporary basis and only for a maximum of 3 months, renewable for one time ...

Operational Aspects. 5.1. Distributor shall perform its obligations in accordance with the terms of this Agreement and the SOPs. Distributor shall perform its obligations under this Agreement with the skill, care and diligence that would be expected of an experienced distributor in the Territory. 5.2.
