GENERAL CASE. (a) If the whole or any part of a provision of this Agreement is or becomes void, unenforceable or illegal or otherwise contravenes any law or statute, it is severed from this Agreement and the remainder of this Agreement continues in full force and effect.

Every Day, the Daily Quantity Converted from L-gas to H-gas shall be equal to the Daily Quantity Taken Off at the L-to-H Conversion Point – H and to the Daily Quantity Delivered at the L-to-H Conversion Point – L.
GENERAL CASE. Within [**] days after a Program Transaction is entered into, Arsanis shall inform Adimab in writing whether Arsanis elects to pay a share of Program Transaction Revenue with respect to such Program Transaction as in Section 4.4, or instead elects to pay a Net Sales royalty on Products sold pursuant to rights included in such Program Transaction as in Section 4.5. Arsanis is entitled to make such election on a Program Transaction-by-Program Transaction basis. If Arsanis elects the former, then it has made the “Revenue Election” with respect to the particular Program Transaction and shall simultaneously with such notice disclose to Adimab a copy of all documents governing such Program Transaction, but shall be entitled to redact from the copy shared with Adimab reasonable amounts of information not relevant to the determination of Program Transaction Revenue or any allocation thereof pursuant to Section 4.3(c), (d) or (e) hereunder or confirmation that the agreements comply with this Agreement (e.g., the requirement that sublicensees provide appropriate indemnification of Adimab). If Arsanis elects the latter, then it has made the “Royalty Election” with respect to the particular Program Transaction, and shall disclose simultaneously with such notice a copy of all documents governing such Program Transaction, but shall in this case be entitled to redact from the copy shared with Adimab reasonable amounts of information not relevant to the calculation of royalties hereunder or confirmation that the agreements comply with this Agreement (e.g., the requirement that sublicensees provide appropriate indemnification of Adimab). All Program Transaction documents provided by Arsanis to Adimab and the terms and information contained therein shall be Confidential Information of Arsanis subject to the provisions of Article 6. If Arsanis fails timely to elect either the Revenue Election or the Royalty Election, then the Royalty Election shall automatically be deemed made for that Program Transaction. Once Arsanis makes either the Revenue Election or the Royalty Election with respect to a particular Program Transaction (or the Royalty Election is deemed made as provided for in the immediately preceding sentence), this election is irrevocable as to the particular Program Transaction. GENERAL CASE. CoTherix agrees, and shall cause its Affiliates and obligate its Sublicensees to agree, to perform its obligations set forth in this Section 2 in compliance with applicable laws, regulations and guidances, including, without limitation, applicable known and published standards (including GLP, GCP, or equivalents) of the FDA, the European Commission or the Regulatory Agencies of the relevant country or countries where Products are under Development or Commercialization within the Territory. This includes (without limitation) compliance with applicable ICH standards, but does not include compliance with regulatory standards from outside the Territory unless the Parties reach written agreement on a case-by-case basis in a manner consistent with Section 2.3(e) and Section 2.3(f)(ii).

The status of staff representative is incompatible with the role of chief executive or with the exercise by him of such role, by way of delegation, on behalf of employees. The staff representatives on the TOTAL EWC are designated in accordance with the rules or customs in effect in each country. Whithin any given country , managers of companies shall be represented by a “coordinator” who may be from amongst them or any executive appointed to represent them. The list of "coordinators" will be communicated, before naming the personnel representatives envisaged in paragraph 3 above, to the Trade union organisations who signed the agreement. The “coordinator” shall meet, in accordance with local procedures, either the representatives of trade union organisations, or staff representatives from subsidiaries with more than 100 employees, with in view to inviting them to appoint staff representatives to the Committee. The names of candidates shall be communicated to the “coordinator”. If the number of candidates is greater than the number of seats available, the trade union organisations shall be informed, with in view to seek a concerted solution. In case of inability to agree, the “coordinator” are to organize a voting of all staff from subsidiaries concerned by the previous paragraph. The “coordinators” are to inform the Group’s Department of Human Resources and Communication of the names and addresses of the members of the TOTAL EWC two months, at the latest, before the date of the first plenary meeting during each term.
