Governing Law/Consent to Venue and Jurisdiction. Except to the extent governed by the United States Trademark Act of 0000 (Xxxxxx Xxx, 15 U.S.C. §§1051 et seq.) or other federal law, this Agreement shall be interpreted under the laws of the state of Colorado and any disputes between the parties shall be governed by and determined in accordance with the substantive laws of the state of Colorado, which laws shall prevail in the event of any conflict of law. The Franchisee and the Franchisor have negotiated regarding a forum in which to resolve any disputes that may arise between them and have agreed to select a forum in order to promote stability in their relationship. Therefore, if a claim is asserted in a legal proceeding involving the Franchisee, its officers, directors, partners or managers (collectively, “Franchisee Affiliates”) and the Franchisor, its officers, directors or sales employees (collectively, “Franchisor Affiliates”), all parties agree that the exclusive venue for disputes between them shall be in the state courts in La Plata County, Colorado and federal courts located in Colorado and each waive any objections they may have to the personal jurisdiction of or venue in the state courts in La Plata County and federal courts located in Colorado. The Franchisor, the Franchisor Affiliates, the Franchisee and the Franchisee Affiliates each waive their rights to a trial by jury.

In the event of a dispute, each of the parties hereto irrevocably consent to the exclusive venue and jurisdiction of the federal and state courts located within the State of New York, County of New York.

Sections 1 et seq.), the United States Trademark Act of 1946 (Lxxxxx Act, 15 U.S.C. Sections 1051 et seq.), or other United States federal law, this Agreement shall be interpreted under the laws of the State of Texas, USA, and any dispute between the parties, whether arising under this Agreement or from any other aspect of the parties’ relationship, shall be governed by and determined in accordance with the substantive laws of the State of Texas, USA, which laws shall prevail in the event of any conflict of law.
Governing Law/Consent to Venue and Jurisdiction. This Lease shall be interpreted under the laws of the State of North Carolina and any dispute between the parties shall be governed by and determined in accordance with the substantive and procedural laws of the State of North Carolina, which laws shall prevail in the event of any conflict of law. lf either party hereto commences a suit or legal action to enforce any rights of its own or duties of the other party hereunder, the other party hereby agrees, consents and submits to the personal Jurisdiction of the courts of the State of North Carolina, with respect to such suit or legal action, and each party also hereby consents and submits to and agrees that venue in any such suit or legal action shall be brought in Iredell County, North Carolina. Landlord and Tenant, and any successor or assign of either, each hereby waive any and all personal rights under applicable law or in equity to object to the Jurisdiction, venue and service in said courts and county. Such jurisdiction and venue shall be exclusive of any other jurisdiction and venue. EACH OF THE PARTIES HERETO IRREVOCABLEY AND UNCONDITIONALLY, TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, WAIVE TRIAL BY JURY IN ANY LEGAL ACTION OR PROCEEDING RELATING TO THIS LEASE AND FOR ANY COUNTERCLAIM THEREIN.
Governing Law/Consent to Venue and Jurisdiction. This Agreement shall be construed in accordance with, and governed in all respects by, the laws of the State of Delaware, as applied to agreements entered into, and to be performed entirely in such state, between residents of such state. The parties hereto agree to submit to the arbitration procedures set forth in Section 4.1 with respect to the breach or interpretation of this Agreement and the transactions and relationships contemplated hereby or the enforcement of any and all rights, duties, liabilities, obligations, powers, and other relations between the parties arising under this Agreement and the transactions contemplated hereby. In addition, each party hereto submits to the exclusive jurisdiction of the federal district and state courts of the State of Delaware for all litigation that may be brought with respect to the terms of, and the transactions and relationships contemplated by, this Agreement. Each party hereby irrevocably waives, to the fullest extent permitted by applicable law, any objection that it may now or hereafter have to the laying of venue of any such proceeding brought in such a court and any claim that any such proceeding brought in such a court has been brought in an inconvenient forum. Such consent to jurisdiction and waiver of objections to venue is limited solely to litigation with respect to the terms of, and the transactions and relationships contemplated by, this Agreement, and no party consents to or waives objection to jurisdiction or venue in any other proceeding or for any other actions. The parties irrevocably consent to service of process given in the manner provided for notices in Section 4.6, but nothing in this Agreement will affect the right of either party to serve process in any other manner permitted by law.

Sections 1051 ET SEQ.) or other federal law, this Agreement, the franchise and the relationship between the Franchisor and the Franchisee shall be governed by the laws of the state of Colorado. The Franchisee agrees that the Franchisor may institute any action against the Franchisee in any state or federal court of general jurisdiction in the state of Colorado and the Franchisee irrevocably submits to the jurisdiction of such courts and waives any objection he may have to either the jurisdiction of or venue in such courts. The Franchisee agrees that the only proper venue for any action shall be in the County of La Plata, State of Colorado.

All disputes to be arbitrated by BAS and Manufacturer shall be governed by the Federal Arbitration Act (the "FAA") and no procedural arbitration issues are to be resolved pursuant to any state statutes, regulations or common law. Except to the extent governed by the .FAA, the United States Trademark Act of 1946 (Lxxxxx Act, 15 U.S.C. Sections 1051 et seq.) or other federal law, this Agreement shall be interpreted under the laws of the state of Colorado and any dispute between the parties shall be governed by and determined in accordance with the substantive laws of the state of Colorado, which laws shall prevail in the event of any conflict of law. Manufacturer and BAS have negotiated regarding a forum in which to resolve any disputes which may arise between them and have agreed to select a forum in order to promote stability in their relationship. Therefore, if a claim is asserted in any legal proceeding involving the Manufacturer or Manufacturer Affiliates and the BAS or BAS Affiliates, the parties agree that the exclusive venue for disputes between them shall be in either the state and federal courts of Colorado or Nevada, or the Denver, Colorado or Las Vegas, Nevada office of the AAA and each party waives any objection they may have to the personal jurisdiction of or venue in the state and federal courts of Colorado or Nevada, or the Denver, Colorado or Las Vegas, Nevada offices of the AAA. BAS, BAS Affiliates, Manufacturer and Manufacturer Affiliates each waive their rights to a trial by jury.
Governing Law/Consent to Venue and Jurisdiction. This Agreement shall be deemed to have been made in Maryland and shall be governed by the laws of Maryland. All terms used in this Agreement which are defined in the Uniform Commercial Code as in effect in Maryland shall have the same meanings herein as said terms have therein, unless this Agreement, Note, the Maryland Judgment or the California Judgment shall otherwise specifically provide. SSP consents to the jurisdiction and venue of the courts of Maryland and to the jurisdiction and venue of the United States District Court for the District of Maryland.
