(1) The Government may elect to participate in the petroleum operations in any development area and acquire an interest of up twenty per cent (20%) (hereinafter referred to as "Participating Interest") of the total interest in that development area. The Government may participate either directly or through an appointee
(2) If the Government exercises its right to participate in a Development Area, the Government and the Contractor shall enter into either a Participation Agreement of an amendment and novation of the Joint Operating Agreement, to add the Government or its Appointee as a party to the Joint Operating Agreement within three (3) months after notice to the Contractor under sub- clause 28(1).
(3) The Government shall, in exercise of its right to participate in a Development Area:
(a) Have a right to a vote in proportion to its Participating Interest with respect to all decisions taken under this Contract and either the Participation Agreement or Joint Operating Agreement as appropriate;
(b) Own and separately take and dispose of its Participating Interest share in the Petroleum produced and saved to which the Contractor is entitled under this Contract, corresponding to its Participating Interest in that Development Area;
(c) Assume its share of Petroleum Costs incurred in respect of that Development Area, from the Effective Date of its participation as defined in sub-clause 28(3), pro-rata to its Participating Interest;
(d) Own a Participating Interest share in all assets acquired for Petroleum Operations in or related to the Development Area;
(4) The Government shall reimburse the Contractor, without interest, pro-rata to the Government Participating Interest, its share of all costs, expenses and expenditure incurred in respect of the Development Area from the date the Development Plan for that Development Area has been adopted to the date the Government serves notice pursuant to sub-clause 28(3) exercises its right to participate in that Development Area. This reimbursement shall be made within three (3) months after the Government serves notice pursuant to sub-clause 28(3).
GOVERNMENT PARTICIPATION. If GNPC elects to acquire an Additional Paying Interest (as defined in the Contract) pursuant to Article 2.6 of the Contract, the Parties (other than EO) shall contribute, in proportion to their respective Participating Interests, to the additional interest to be acquired by GNPC and shall execute such documents as may be necessary to effect such transfer of interests. All payments received for the acquisition of such interests shall be credited to the Parties (other than HO or GNPC in the event that GNPC is or becomes a party to this Agreement) in proportion to their Participating Interests.
GOVERNMENT PARTICIPATION. If Government Oil & Gas Company, elects to participate in the rights and obligations of Parties pursuant to Article 15 of the Contract, the Parties shall contribute, in proportion to their respective Participating Interests, to the interest to be acquired by Government Oil & Gas Company. The effective date of the Government’s participation shall be the date of the adoption of the development plan under Article 7 of the Contract. The Parties shall execute such documents as may be necessary to effect such transfer of interests and the joinder of Government Oil & Gas Company as a Party to this Agreement. All payments received for or related to the transfer of such interests and the joinder of the Government shall be credited to the Parties in proportion to their Participating Interests.
GOVERNMENT PARTICIPATION. If you are a government (including any specific agency or other entity of a government), you agree that any technology or services provided in any particular program are for your sole use and benefit of the government and are not provided to or for any individual government employee. As there may be legal restrictions on your ability to provide or participate in publicity activities or related program requirements, we agree to negotiate in good faith an amendment to conform specific program requirements related to publicity to your legal requirements.
GOVERNMENT PARTICIPATION. 11.1 The Government has the option to acquire a maximum interest of [***] in the rights and obligations of the Contractor regarding a commercial discovery.
11.2 The Government must exercise its participation option by written notification to the Contractor within the [***] days following the date of commercial declaration by the Contractor. For lack of submitting a written notification during this deadline of [***] days, the option shall be considered as denied.
11.3 If the Government exercises its option of participation in accordance with Article 11.1, the Contractor shall give up to the Government the share claimed. To this effect, the Contractor shall propose a draft convention to the Minister in charge of Hydrocarbons for consideration. This convention shall specify the terms of the Government’s participation.
11.4 The Government participation shall be effective from the date of receipt by the Contractor of the written notification set out in article 11.2.
11.5 If the Government exercises its participation option, the Minister shall enter into an operational agreement with the Contractor in accordance with the standards of International Oil Operations, which shall govern the rights and obligations of the Parties.
GOVERNMENT PARTICIPATION. (1) The Government’s Participation Interest during the exploration phase will be percent (%) and will be carried and paid for in full by the Parties comprising the Contractor in proportion to their respective Participation Interests until such time as the Government elects to convert its carried Participation Interest into a full working Participation Interest in accordance with this Contract. From that point on, the Government shall be responsible for all its costs in respect of the area covered by the approved Development and Production Plan. For the avoidance of doubt, the Government’s Participation Interest in respect of the remainder of the Contract Area shall continue to be carried and paid for by the Parties comprising the Contractor in proportion to their respective Participation Interests until such time as the Government elects to convert its carried interest into a full working interest.
(2) The Government may elect to participate in the petroleum operations in any development area and acquire an interest of up to ……. percent (%) (Hereinafter referred to as "Participating Interest") of the total interest in that development area. The Government may participate either directly or through an appointee.
GOVERNMENT PARTICIPATION. (a) If Government Oil & Gas Company elects to participate in the rights and obligations of Parties under Article 15 of the PSC, the Parties shall contribute, in proportion to their respective Participating Interests, to the interest to be acquired by Government Oil & Gas Company.
(b) The Parties shall sign such documents as may be necessary to effect such transfer of interests and the joinder of Government Oil & Gas Company as a Party to this Agreement. All payments received for the transfer of such interests shall be credited to the Parties in proportion to their contribution.
GOVERNMENT PARTICIPATION. 12.1 The Government shall have the option to acquire a maximum participation of fifteen (15)% of the rights and obligations of the Contractor relating to a discovery when the combined daily production of all the discoveries of the Contract Area reach for the first time a level of 50,000 barrels during at least six (6) consecutive months.
12.2 The Government must exercise its option of participation by written notification to the Contractor within thirty (30) days following the last day of the 6th month of the production level of 50,000 barrels/day. In the absence of a written notice during this period of thirty (30) days, the option shall be deemed refused.
12.3 If the Government exercises its option of participation in accordance with Article 12.1, the Contractor shall assign to the Government the share requested. To that end, the Contractor shall propose a draft agreement for the Minister's evaluation.
12.4 The Government Participation shall take effect from the date of receipt by the Contractor of the written notification mentioned in Article 12.
2. The Government shall from then on pay its share of the Petroleum Costs, in proportion to its participation, when said costs have been incurred by the Contractor.
GOVERNMENT PARTICIPATION. 20.1.1 On the Effective Date, the Government shall acquire a ten percent (10%) participating interest in the Licence, thereby becoming one of the Persons constituting the Licensee(s), so that the participating interest of the Licensee and the Government in the Licence Area shall be as follows:
(a) Government as licensee – 10 %; and
(b) Licensee (other than the Government) – 90%.
20.1.2 In the event that:
(a) a Party transfers in whole or in part its participating interest pursuant to Article 23; or
(b) the Government exercises its option under Article 20.3, increasing its participating interest up to an additional five percent (5%), the participating interest of the Parties under Articles 20.1.1(a) and 20.1.1(b) shall be revised accordingly.
GOVERNMENT PARTICIPATION. 21.1 The State shall acquire, as at the Effective Date, through the National Company (Société Mauritanienne des Hydrocarbures) referred to in Article 6 of the Crude Hydrocarbons Code, an interest of ten percent (10%) in the rights and obligations of the Contractor in the Exploration Perimeter. Contractor entities, other than the National Company, shall finance this share in respect of all Petroleum Costs corresponding to the Exploration Petroleum Operations including appraisal / assessment of the discoveries made in the Exploration Perimeter and this for the duration of the Exploration Authorization referred to in article 3 above. The National Company, as a Contractor entity, shall be entitled, pro rata to its participation, to the same rights and benefits and shall be subject to the same obligations as other members of the Contractor, subject to the provisions of this article 21.
21.2 The State shall have the option, through the National Company, to acquire a share in the Petroleum Operations in any Exploitation Perimeter stemming from the Exploration Perimeter, subject to the provisions of article 21.3 below. In this case, the National Company shall have, in proportion to its participation, the same rights and shall be subject to the same obligations as the Contractor's as established in this Contract, subject to the provisions of this article 21. For the avoidance of doubt, the participation of the State in the Exploration Perimeter shall continue to be financed by the Contractor entities, in accordance with article 21.1 above.
21.3 In the event the option to participate within an Exploitation Perimeter referred to in article 21.2 is exercised by the State, such State participation shall, in any event, be no less than ten percent (10%) and shall not exceed the maximum percentage of fifteen percent (15%).
21.4 No later than six (6) months from the date of grant of an Exploitation Authorization, the Minister shall notify the Contractor in writing the decision of the State to exercise its option to participate, specifying the percentage which it wishes to take, within the limits provided for in article 21.3 above. Such participation will take effect from the date of receipt of notification of the exercise of the State's option. For the avoidance of doubt, the State shall not participate in any Petroleum Operations in the entire Exploitation Perimeter resulting from the Exploration Perimeter unless it exercises the option referred to in article 21.2
