Government Relationships. The Company and the Subsidiaries maintain a good working relationship with all Governmental Authorities in the jurisdictions in which the Material Properties are located, or in which such parties otherwise carry on their business or operations. All such government relationships are intact and mutually cooperative and, to the knowledge of the Company, there exists no condition or state of fact or circumstances in respect thereof, that would prevent the Company or the Subsidiaries from conducting its business and all activities in connection with the Material Properties as currently conducted or proposed to be conducted and there exists no actual or, to the knowledge of the Company, threatened termination, limitation, modification or material change in the working relationship with any Governmental Authorities.
Government Relationships. The Company and the Subsidiaries maintain a good working relationship with all Governmental Authorities in the jurisdictions in which the Stibnite Gold Project is located, or in which such parties otherwise carry on their business or operations. All such government relationships are intact and mutually cooperative and, to the knowledge of the Company, there exists no condition or state of fact or circumstances in respect thereof, that would prevent the Company or the Subsidiaries from conducting its business and all activities in connection with the Stibnite Gold Project as currently conducted or proposed to be conducted and there exists no actual or, to the knowledge of the Company, threatened termination, limitation, modification or material change in the working relationship with any Governmental Authorities;

The Company and the Material Subsidiaries maintain a good working relationship with all Governmental Authorities in the jurisdictions in which their Material Properties and Mineral Processing Facilities are located, or in which they otherwise carry on their business or operations. All such government relationships are intact and mutually cooperative and, to the knowledge of the Company, there exists no condition or state of fact or circumstances in respect thereof, that would prevent the Company or the Material Subsidiaries from conducting its business and all activities in connection with its Material Properties and Mineral Processing Facilities as currently conducted or proposed to be conducted and there exists no actual or, to the knowledge of the Company, threatened termination, limitation, modification or material change in the Company’s or Material Subsidiaries’ working relationship with any Governmental Authorities.
Government Relationships. Asanko and the Asanko Subsidiaries have a good working relationship with all Governmental Authorities in the jurisdictions in which the Asanko Project is located, or in which such parties otherwise carry on their business or operations. To the knowledge of Asanko, there exists no condition or state of fact or circumstances in respect of its government relationships, that could reasonably be considered likely to prevent Asanko or the Asanko Subsidiaries from conducting its business and all activities in connection with the Asanko Project as currently conducted or proposed to be conducted and there exists no actual or, to the knowledge of Asanko, threatened termination, limitation, modification or material change in the working relationship with any Governmental Authorities.
Government Relationships. There are no material complaints, issues, proceedings, disputes, disagreements or discussions with any Governmental Entity which are ongoing or anticipated which could have the effect of interfering, delaying or impairing the ability to explore, develop and operate the Palos Verdes Project and, to the knowledge of the Company, there exists no actual termination, limitation, modification or material change in the working relationship with any Governmental Entity.
Government Relationships. The Company and the Subsidiaries use commercially reasonable efforts to maintain good relationships with all Governmental Entities in the jurisdictions in which the Mineral Properties are located, or in which such parties otherwise carry on their business or operations in all material respects. To the knowledge of the Company, all such relationships with Governmental Entities are intact and mutually cooperative and there exists no condition or state of fact or circumstances in respect thereof, that would prevent the Company and the Subsidiaries, as applicable, from conducting their business and all activities in connection with the Mineral Properties as currently or proposed to be conducted, and to the knowledge of the Company, there exists no actual or, threatened termination, limitation or other adverse modification in any such relationships with such Governmental Entities.

All such government relationships are intact and mutually cooperative and there exists no condition or state of fact or circumstances in respect thereof, that would prevent the Company or Elmira US from conducting their business and all activities in connection with the Property proposed to be conducted by the Company and Elmira US as described in the Prospectus, and there exists no actual or threatened termination, limitation or other adverse modification in any such relationships with such Governmental Authorities.

The Company maintains, and reasonably expect to maintain, a good relationship with all Governmental Authorities in the jurisdictions in which the Property is located, or in which such parties otherwise carry on their business or operations. All such government relationships are intact and mutually cooperative and there exists no condition or state of fact or circumstances in respect thereof, that would prevent the Company from conducting its business and all activities in connection with the Property proposed to be conducted by the Company as described in the Prospectus, and there exists no actual or threatened termination, limitation or other adverse modification in any such relationships with such Governmental Authorities.

The Corporation and its Material Subsidiaries maintain a good working relationship with all Governmental Authorities in the jurisdiction in which the Relevant Properties and the Relevant Exploration Permits are located, or in which such parties otherwise carry on their business or operations. All such government relationships are intact and mutually cooperative and, to the knowledge of the Corporation, there exists no condition or state of fact or circumstances in respect thereof, that would prevent the Corporation or its Material Subsidiaries from conducting its business and all activities in connection with the Relevant Properties and the Relevant Exploration Permits as currently conducted or proposed to be conducted and there exists no actual or, to the knowledge of the Corporation, threatened termination, limitation, modification or material change in the working relationship with any Governmental Authorities;
