Governmental Approvals; Compliance with Law. The Parties shall make all filings with Government Authorities as shall be required by Applicable Laws in connection with this Agreement and the activities contemplated by this Agreement. In fulfilling its obligations under this Agreement each Party agrees to comply in all material respects with all Applicable Laws.

Leslie's California is in compliance with all applicable federal, state and local laws, statutes, ordinances, rules and regulations, except in those instances in which non-compliance, individually or in the aggregate, would not materially and adversely affect Leslie's California and its subsidiaries, taken as a whole.

(a) The parties hereto shall reasonably cooperate with each other and use their commercially reasonable efforts to (i) as promptly as practicable, take, or cause to be taken, all appropriate action, and do or cause to be done, all things reasonably necessary, proper or advisable under applicable Law or otherwise to consummate and make effective the transactions contemplated by this Agreement and the other Transaction Documents, (ii) obtain from any Governmental Authorities any Approvals required (A) to be obtained or made by Seller, Buyer or any of their respective Affiliates, or the respective Representatives of any of the foregoing, in connection with the authorization, execution and delivery of this Agreement and the other Transaction Documents and the consummation of the transactions contemplated by this Agreement and the other Transaction Documents, (B) under any applicable Law, including any applicable Gaming Laws and/or Liquor Laws (the Approvals described in the foregoing clauses (A) and (B) shall be collectively referred to herein as the “Governmental Approvals”), and (C) to reasonably avoid any Proceedings by any Governmental Authority that could adversely impact the authorization, execution and delivery of this Agreement or the other Transaction Documents and the consummation of the transactions contemplated hereby and thereby, (iii) make all necessary filings, and thereafter make any other required submissions with respect to this Agreement and the other Transaction Documents and the transactions contemplated by this Agreement and the other Transaction Documents, as required under any applicable Law, including any applicable Gaming Laws and/or Liquor Laws, and (iv) comply with the terms and conditions of (A) all Governmental Approvals and (B) any applicable Law. The parties hereto and their respective Representatives and Affiliates shall, as promptly as practicable after the Asset Closing Date, file all required applications and documents and shall act diligently and with reasonable promptness for the purpose of obtaining all Governmental Approvals. The Company possesses from the appropriate Governmental Entity, whether federal, state or local, all licenses, permits, authorizations, approvals, franchises and rights (“Governmental Approvals”) that are necessary for the Company to engage in the business currently conducted by it, except in those instances in which failure to possess Governmental Approvals, individually or in the aggregate, would not have or would not reasonably be expected to have a Company Material Adverse Effect.
