Ground Inspection. The Aircraft (together with the Aircraft Documents) shall be made available to Airbus for ground inspection by Airbus or their authorised representatives at the inspection location. Such inspection shall be scheduled early enough to allow sufficient time to verify compliance with all the requirements set out in Schedule 9. The Seller shall provide opening and access to all necessary areas as reasonably required to perform the checks described in this Schedule 8 and shall allow Airbus or their authorised representatives, to accomplish their inspection in order to determine if the Aircraft is in compliance with the Delivery Conditions. During such checks, Airbus or its representatives may make reasonable requests that adjacent additional panels or areas of the Aircraft be opened in order to allow further inspection of suspect areas, provided reasonable grounds exist for such request. The Seller shall promptly correct, in accordance with the AMM, any discrepancies found in the course of the performance of such ground inspection so as to comply with the Delivery Conditions. “[***]” This information is subject to confidential treatment and has been omitted and filed separately with the commission.
Ground Inspection. Prior to the Closing Date for each Engine, Buyer, or its agent, will have an opportunity to inspect the Engine at its sole expense and risk. Buyer acknowledges that it is relying on its or its agent’s own inspection and knowledge of the Engine and not on any inspection or representation of Seller, other than the representations and warranties set out in Section 9.
Ground Inspection. The Engine including the Aircraft Documentation and Vendor Documentation shall be made available to Lessor for ground inspection by Lessor or its designee at Lessee’s facilities. Such inspection shall commence twenty (20) working days (in the case of the Aircraft Documentation and Vendor Documentation) and fifteen (15) working days (in the case of the Engine) prior to the date of return of the Engine to Lessor. At Lessor’s request, Lessee shall remove the Engine from scheduled service and open the areas of the Engine as required to perform the necessary checks as specified in Article 1.2 and 1.3. In addition, Lessee shall allow Lessor to accomplish its inspection to determine that the Engine, including the Aircraft Documentation and Vendor Documentation are in the condition set forth in Article 2. Lessee shall promptly correct any discrepancies from the requirements set out in Articles 1 or 2 which are observed during such inspection and are communicated in writing by Lessor to Lessee.
Ground Inspection. 14.1.1 Seller shall conduct a ground inspection of each Aircraft (the “Ground Inspection”) in accordance with the Ground Inspection Protocol (defined below). The Ground Inspection for each Aircraft shall be conducted during normal business hours during a period not exceeding [***] consecutive Business Days (as specified by Seller) falling prior to the delivery of such Aircraft. Customer may have up to [***] representatives (including the airworthiness inspectors referred to in Article 14.1.4) attend the Ground Inspection.
Ground Inspection. During the maintenance checks performed immediately prior to the proposed redelivery and at the actual return of the Aircraft, Lessor or its representatives will have an opportunity to fully inspect the Aircraft and the Technical Records to Lessor's satisfaction. Unless otherwise agreed in writing by the parties, any deficiencies from the Aircraft return condition requirements set forth in this Section 6 will be corrected by Lessee, at Lessee's cost, prior to the demonstration flight described in this Section 6.
Ground Inspection. The Aircraft including the Aircraft Documentation and Vendor Documentation shall be made available to Sublessor for ground inspection by Sublessor or its designee at Sublessee’s facilities. Such inspection shall commence twenty (20) working days (in the case of the Aircraft documentation and Vendor Documentation) and fifteen (15) working days (in the case of the Aircraft) prior to the date of return of the Aircraft to Sublessor. At Sublessor’s request, Sublessee shall remove the Aircraft from scheduled service and open the areas of the Aircraft as
Ground Inspection. Prior to the Delivery in respect of any Aircraft, upon the request of any Purchaser, the applicable Seller shall make such Aircraft (including the Aircraft Documents) available for inspection by a reasonable number of such Purchaser’s representatives to allow such Purchaser (i) in the case of any Expected Condition Aircraft, to confirm such Aircraft is in the condition required for such Aircraft as set forth on Schedule 7 and (ii) in the case of any other Aircraft, only if the applicable Purchaser reasonably believes that such Aircraft may have suffered a Material Loss, to confirm that a Material Loss shall not have occurred with respect to such Aircraft. In the case of any Aircraft subject to a Lease, such inspection shall be subject to any limitations on the right of the applicable lessor to inspect such Aircraft under such Lease.
Ground Inspection. No less than 180 days prior to commencement of the Return, Lessee shall provide Lessor with written notice of the date of, and a reasonably complete plan for the content of, the Final Maintenance (which shall include the mutually agreed designation of the Agreed Maintenance Performer and shall include all workscopes). No less than 30 days in advance of the commencement of the Final Maintenance, Lessee shall give Lessor final written confirmation of the date of, and any changes to the plan for, the Final Maintenance. During such Final Maintenance, the Aircraft, including the Aircraft Documentation, shall be made available to Lessor and/or Lessor’s agents, representatives and designees (each, an “Inspecting Party”) for ground inspection by the Inspecting Parties at the location of the Final Maintenance. During the Final Maintenance, if damage or corrosion is found, Lessor shall have the right to have adjacent panels or areas opened to ensure that all such damage or corrosion is found. No less than 60 days prior to the end of the Lease Term, Lessee shall make available to the Inspecting Parties such documentation regarding the condition, use, maintenance, operation and history of the Aircraft during the Lease Term as Lessor may reasonably request. The Final Inspection shall include the procedures set forth in Part I to this Schedule 4. Lessee shall ensure that all amounts due to the Agreed Maintenance Performer for the completion of the Final Maintenance are paid in full when due.
Ground Inspection. (a) No less than two hundred and forty (240) days prior to the Original Expiry Date, the Lessee shall provide the Lessor with written notice of the date of, and a reasonably complete plan for the content of, the Final Maintenance.
Ground Inspection. The Airships shall be made available to Buyer for the Ground Inspection at Lelystad, the Netherlands. The Manuals and Technical Records shall be made available to Buyer for inspection during such period prior to Collection thereof as Buyer reasonably requires. Such inspections shall be conducted in coordination with Rigid's personnel and Buyer shall be allowed reasonable access, upon prior notice, to the airships to accomplish an inspection to determine that the Airships are in the condition set forth in article 4 of this Agreement. Buyer shall immediately state orally and confirm in writing within 4 (four) hours of the relevant inspection to Rigid any and all claims of discrepancy. If Buyer fails to do so, Buyer shall not be entitled to refuse to take Collection of the Airships.
