Institution Duties. 5.1 The Institution must work and complete the activities written in the Appendix 2, that is fully part of the current agreement, as well as it must use the technical infrastructures made available by Lombardy Region according to the terms and conditions described in the Appendix 4 5.2 In particular, the institution is obliged to use, on its own and with fully responsibility, the means and the technical-organizational resources made available according to the characteristics of the virtual environment, exclusive for the aims written in the current Agreement and for the activities, referred to proposal of the project. The Institution can ask the installation in the environment of other software and licenses that the Institution consider necessary for a better execution of the project, provided that the Institution owns the license and software authorization and the computer tools respect the current standard in terms of security according to the laws of personal data process. 5.3 The Institution must fill periodic reports, included the one that ends the collaboration about the activities of the research of the current collaboration. These reports will describe the personal data processes done. They will list the essential information and the measures taken to uniform these processes to the law, in particular referred to necessity principles, pertinence, not excess and necessity of the data processed as well as proper process and safety.
Institution Duties a. Institution agrees that, in the event a Plan Participant defaults on any installment payments under a valid Plan Agreement, Institution will not oppose Contractor’s efforts to enforce the Plan Agreement. Institution acknowledges that Contractor may at any time turn the same over to collection agencies or take other legal action as provided by law to collect the amounts due under a Plan Agreement. b. Institution acknowledges that the Contractor may terminate a Plan Agreement at any time if the Plan Participant is not current on payments due under that Plan Agreement prior to the Prefund Date. c. Institution shall establish an account wherein the Contractor may process ACH credit entries for tuition remittance. d. Provided that Contractor can produce documentation of a valid payment authorization from the Plan Participant, Institution shall agree to reimburse the Contractor for any chargebacks on credit or debit card payments and/or any late ACH returns made by a Plan Participant when the Plan Participant has disputed the amount due the Institution for up to six months from the date the payment was processed. Contractor will provide to Institution such documentation as may be reasonably requested by Institution related to the chargeback. e. On or before the Reconcilement Date, Institution agrees to refund to Contractor the amount of all Plan Agreement balance decreases that occurred after the Prefund Date. f. Institution shall not increase Plan Agreement balances within ten (10) business days prior to the payment date immediately preceding the Prefund Date. g. Institution shall be responsible to determine that the Plan offered by the Institution and administered by the Contractor is compliant with rules, regulations, and applicable statutes required of the Institution. Contractor shall be responsible to determine that all Plan Agreements are compliant with all applicable rules, regulations, and applicable statutes.

  • Position; Duties (a) The Executive shall serve as the President of the Company under this Agreement during the Employment Term. As President of the Company, the Executive shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies and such other duties and responsibilities as the CEO of Kaman or the Company’s Board of Directors (the “Sub Board”) shall designate that are consistent with the Executive’s position as President of the Company. (b) During the Employment Term, the Executive shall use the Executive’s best reasonable efforts to perform faithfully and efficiently the duties and responsibilities assigned to the Executive hereunder (including applicable obligations under state law) and devote substantially all of the Executive’s business time (excluding periods of vacation and other approved leaves of absence) to the performance of the Executive’s duties with the Company, provided the foregoing shall not prevent the Executive from (i) participating in charitable, civic, educational, professional, community or industry affairs or, with prior written approval of the Sub Board, serving on the board of directors or advisory boards of other companies; and (ii) managing the Executive’s and the Executive’s family’s personal investments so long as such activities do not materially interfere with the performance of the Executive’s duties hereunder or create a potential business conflict or the appearance thereof. If at any time service on any board of directors or advisory board would, in the good faith judgment of the Sub Board, conflict with the Executive’s fiduciary duty to the Company or create any appearance thereof, the Executive shall promptly resign from such other board of directors or advisory board after written notice of the conflict is received from the Sub Board. (c) The Executive further agrees to serve without additional compensation as an officer and director of any of the Company’s subsidiaries and agrees that any amounts received from any such corporation may be offset against the amounts due hereunder.

  • Basic Duties Subject to the direction and control of the Board of Directors of Employer, Employee shall serve as the President and Chief Executive Officer of Employer and shall fulfill all duties and obligations of such office.

  • Appointment of the Custodian The Trustee may, with the consent of the Master Servicer and the Company, or shall, at the direction of the Company and the Master Servicer, appoint custodians who are not Affiliates of the Company, the Master Servicer or any Seller to hold all or a portion of the Custodial Files as agent for the Trustee, by entering into a Custodial Agreement. Notwithstanding anything to the contrary contained herein, the Company, Master Servicer and Trustee acknowledge that the functions of the Trustee hereunder with respect to the acceptance, custody, inspection and release of Custodial Files, and the preparation and delivery of the Interim Certification required pursuant to Section 2.02, shall be performed by the Custodian as and to the extent set forth in the Custodial Agreement. Subject to Article VIII, the Trustee agrees to comply with the terms of each Custodial Agreement with respect to the Custodial Files and to enforce the terms and provisions thereof against the related custodian for the benefit of the Certificateholders. Each custodian shall be a depository institution subject to supervision by federal or state authority, shall have a combined capital and surplus of at least $15,000,000 and shall be qualified to do business in the jurisdiction in which it holds any Custodial File. Each Custodial Agreement, with respect to the Custodial Files, may be amended only as provided in Section 11.01. The Trustee shall notify the Certificateholders of the appointment of any custodian (other than the custodian appointed as of the Closing Date) pursuant to this Section 8.11.

  • Position Duties Responsibilities 3.01 It is contemplated that at all times during the Period of Employment the Executive shall continue to serve as a principal officer of the Company with the office and title of Vice President, General Counsel of the Company and continue to have duties and responsibilities commensurate with those duties and responsibilities imposed on the Executive immediately prior to the Effective Date. 3.02 During the Period of Employment the Executive shall also serve and continue to serve, if and when elected and reelected, as an officer or director, or both, of any subsidiary, division or affiliate of the Company. 3.03 Throughout the Period of Employment the Executive shall devote his full time and undivided attention during normal business hours to the business and affairs of the Company, except for reasonable vacations and except for illness or incapacity, but nothing in this Agreement shall preclude the Executive from devoting reasonable periods required for serving as a director or member of a committee of any organization involving no conflict of interest with the interests of the Company, from engaging in charitable and community activities, and from managing his personal investments, provided that such activities do not materially interfere with the regular performance of his duties and responsibilities under this Agreement. 3.04 The office of the Executive shall be located at the executive offices of the Company at 00000 Xxxxxxxx Xxxxx, Xxxxx 000, Xxxxxxx, Xxxxx 00000. The Executive shall not be required to change the current situs of his employment or residence. The Executive also shall not be required to be absent therefrom on travel status or otherwise more than a total of 60 working days in any calendar year nor more than 20 consecutive days at any one time.
