Interface Development. Ellie Mae has developed an interface that will electronically transmit the data, generated from an End-User’s order placed via the Ellie Mae Platform, to the First American Title Network and translate such data into a format that is usable by the First American Title Network and electronically transmit any data from the First American Title Network back to the Ellie Mae Platform and ultimately to the End-User (“Interface”).
Interface Development. Contractor shall fully develop and test any defined interfaces between the EHSS and any internal and external systems which are included in the approved system requirements document.
Interface Development. Worldspan will pay EI [**] Dollars ($[**]) no later than December 31, 2003 as payment for the development of the interface between Xxxxxxxxx.xxx’s hotel product and Worldspan’s hotel product. Interface Development. With respect to the development of the Interface, DealerTrack and Lender shall perform their respective responsibilities as set forth in this Section 3.
a. Immediately after the Effective Date, both parties shall consult with each other on a continuing basis and as reasonably necessary to finalize the Interface Development Schedule, with the objective of finalizing the Interface Development Schedule as soon as possible and no later than 30 days after the Effective Date which will be attached as Exhibit C. The form of the Interface Development Schedule sets forth the respective responsibilities of each party relating to the development, testing and acceptance of the Interface. The Interface Development Schedule with respect to development, testing and acceptance of the Interface for Lender, the parties have established the date on which they shall commence work on their respective responsibilities (the "Interface Development Schedule Commencement Date") and the schedule for completion of such responsibilities. Both parties shall proceed with their respective responsibilities as set forth in the Interface Development Schedule in a diligent manner and shall use commercially reasonable efforts to allocate such skilled personnel and other resources to the project as shall be necessary to complete the development of the Interface so that the Acceptance Date occurs according to Exhibit C.
b. DealerTrack has either provided the Interface Requirements Document to Lender under a separate Non-Disclosure Agreement between the parties, or shall provide the Interface Requirements Document to Lender following the Effective Date. Lender acknowledges that the sole purpose for DealerTrack's disclosure of the Interface Requirements Document to Lender is to allow Lender to develop and maintain the Lender Interface Software Components and changes to the Lender System in connection with Lender's use of the Service under the terms of this Agreement. If the Interface Requirements Document was disclosed to Lender under a separate Non-Disclosure Agreement, then such disclosure is now governed by the terms of this Agreement, and the terms of such Non-Disclosure Agreement with respect to the subject matter of this Agreement are hereby superseded by the terms of this Agreement.
c. DealerTrack and Lender shall cooperate reasonably and in good faith with respect to such issues that may arise from time to time in connection with the development of the Interface, to the extent that specif...
Interface Development. Yclip will develop an interface and/or a web site between CSI's server and Yclip by June 1, 2000 that will allow: (i) each party to transmit the Transmitted Data to one another (through Yclip); and (ii) FDMS to provide the Fulfillment Services (the "Program Interface"). The parties will provide reasonable cooperation, information and assistance in order to achieve development of the Program Interface. FDMS and/or Yclip shall own all rights in or to the Program Interface, subject to CSI's rights under Section 23 (Ownership). If Yclip fails to "develop" the Program Interface by June 1, 2000, then FDMS shall pay to CSI a late fee in the amount of $25,000. As used herein, "develop" shall mean having the Program Interface in a state of operation wherein it is capable of being reasonably tested but not necessarily of being able to function in a production mode.
Interface Development. The CONTRACTOR shall fully develop and test any defined interfaces between the EHR and any internal and external systems which are included in the approved system Requirements Document.
Interface Development. (a) As soon as practicable, the Company shall deliver to PSE detailed specifications for the hardware and software needed to allow OptiMark-Securities to interface with PSE's computerized order book, including the terminals in use by Users, the Intermarket Trading System (ITS), Consolidated Quote System (CQS), Consolidated Tape System (CTS), and PCOAST (fka Scorex) system (generally, "PSE Interfaces"). All of such specifications for PSE Interfaces shall be subject to PSE's approval, not to be unreasonably withheld or delayed. The date on which PSE gives such approval (if any) is referred to below as the "Interface Specifications Approval Date".
(b) For purposes of this Agreement, the "Interface Development Commencement Date" means the latest to occur of the following:
Interface Development. Achieve will create, based on information provided by the Company, an interface between the Products and the Software (the "Interface") sufficient to enable Facilities using both the Software and the Products to obtain the maximum feasible benefit from the integration of such software products. The Company will provide Achieve with information as necessary for this purpose.
A. The Company will furnish Achieve with updated database specifications as necessary hereafter to enable Achieve to maintain and modify the Interface on a continuous basis, as the Software is hereafter modified, without interruption of the functionality of the Interface.
B. The parties will take all appropriate action to create, test, and implement the Interface as soon as possible. The parties will jointly solicit Achieve Clients to act as beta sites for testing the Product and the Interface; participating facilities will be asked to sign the standard Achieve beta agreement.
Interface Development. All custom interface development will be provided on a not-to-exceed hourly rate by the in-house ATIMS interface Designer per the specifications provided by the Agency City/County POC. The proposed breakout includes:
Interface Development. As part of the delivery of the Licensed Technology, Apogee shall develop an interface (the "Interface") for incorporating its DDX Controller Technology into the Initial Apogee-Enhanced Products. The Initial Apogee-Enhanced Products for which the Interface is to be provided are identified as items 1 through 3 on Exhibit A.
