International Union Leave. The parties have reached the following agreement with respect to any person who leaves their employment with the Company to become an employee or elected official of the International Union:

International Union Leave. Leave of absence without pay may be granted to an employee for the purpose of attending to international union business, providing the Employer’s work requirement allow such leave. It is agreed that this provision is limited to one (1) person at any given time. The Union will request such leave by giving the Employer at least two (2) weeks’ notice. This leave is restricted to the equivalent of three (3) years’ duration, but may be extended to allow an employee to complete her probationary period in instances where that employee is being considered for a full-time position with the International Union. All leave will be fully reimbursed, including salary, benefits and pension costs by the Union to the Employer.

To the best knowledge of the Company, neither the Company nor any employee of the Company, Phase Three or SWI is in violation of any term of any employment contract, patent disclosure agreement or any other contract or agreement relating to the relationship of such employee with the Company, Phase Three or SWI or any other party because of the nature of the business conducted or proposed to be conducted by the Company, Phase Three or SWI. All individuals considered by the Company, Phase Three or SWI to be independent contractors are, and could only be reasonably considered to be, in fact "independent contractors" and are not "employees" or "Common law employees" for tax, benefits, wage, labor or any other legal purpose.

  • International Employee Plans Each International Employee Plan has been established, maintained and administered in compliance in all material respects with its terms and conditions and with the requirements prescribed by any applicable laws. Furthermore, no International Employee Plan has material unfunded liabilities that as of the Effective Time will not be offset by insurance or fully accrued. Except as required by applicable law, no condition exists that would prevent the Company or any of its Subsidiaries from terminating or amending any International Employee Plan at any time for any reason without material liability to the Company or its Subsidiaries (other than ordinary notice and administration requirements and expenses or routine claims for benefits).
