Lead Acceptance. Portable shall act diligently in responding to Leads submitted by AmEx; a Lead shall be deemed accepted by Portable unless rejected within [*] from the date Portable receives the Lead Referral Worksheet. Portable may reject a Lead Referral Worksheet if a relevant decision-maker at the sales opportunity is in possession of a [*] or has had one or more face-to-face meetings or [*] with Portable representatives during the twelve (12) months preceding the date of receipt of the applicable Lead Referral Worksheet, or if Portable has already received a Lead Referral Worksheet for that account from another Portable business partner. Lead Acceptance. Within ten (10) business days of receipt of a Lead, the Company shall either register the Lead in Representative’s name (“Registered Lead”) or notify the Representative in writing that the Lead has been rejected if the Lead is an existing customer or is already and active Lead. Active Lead is a Lead (i) which the Company has already met (in person, via email or telephonically) to discuss and/or demonstrate any of the Company’s Services, (ii) which has previously been registered as a Lead in the name of another partner of the Company or (iii) which is identified in the Company’s prospect/pipeline report as a Lead/Opportunity as of the date of receipt of the Lead from the Representative. A Registered Lead shall be valid for twelve (12) months from the date of registration.
Lead Acceptance. 4-Tell has the complete discretion to sell or not sell the Services to any Lead, and to set the terms and conditions of the sale. If 4-Tell decides against any particular sale, it does not owe you any Referral Fee.
Lead Acceptance. By signing and returning the Registration, RS will have accepted the Lead described in the Registration. If RS does not sign and return the Registration within 15 days of its receipt, RS will be deemed to have rejected the Registration. RS may accept or reject a Registration in its sole discretion. If RS rejects the Registration, RS will not use the information from the Registration. However, RS will have the unrestricted right to use information independently developed by RS or provided to RS by any other RS Referral Partner, value added reseller, affiliate or other party, and Referral Partner will not be due any payment in connection with the use by or on behalf of RS of any such information.
Lead Acceptance. End User expressly acknowledges that any submission of a Lead to a Service Provider is subject to acceptance by Service Provider, in its sole discretion. Neither Amigo nor Service Providers will have any responsibility or liability to End User with respect to the continued availability or operation of Service Provider’s acceptance of, failure to accept, or follow up of a Lead submitted by End User. CONFIDENTIAL 7 Subscriber Generation and Commissions Agreement CONFLICTS End User acknowledges and agrees that a Service Provider may offer products and services to a customer or potential customer after receiving such customer’s contact information from both the End User and another lead provider or sales referral source. In the event a Service Provider receives a sales referral from both the End User and another source, Service Provider may in its sole discretion determine who, will receive a commission payment for such sales referral. PAYMENT Any payment to you will be set forth in and based on the information expressly provided within the Amigo App. Amigo and Service Providers reserve the right to modify commission or payment structures, and you understand and agree that commission structures may vary from user to user. End User shall only be entitled to payment for services performed pursuant to these Terms, and End User shall not be entitled to any payment other than what is contemplated herein. You will be paid based on the Lead status as agreed upon and set forth within the Amigo App for the specified service. It is your responsibility to understand how certain Lead types are paid out. Some may be paid out on generating a valid Lead, while others may be paid out when services/products are installed, provided or rendered to the customer. WALLET Your wallet in the Amigo App represents both pending transactions (e.g., once you submit a Lead in the Amigo App, you will be shown what the potential commission if the referral converts to a buyer of the referred products/services) and earned commissions. YOU AGREE AND UNDERSTAND THAT YOU ARE NOT ENTITLED TO PENDING AMOUNTS OR POTENTIAL COMMISSIONS UNTIL THE COMMISSIONS ARE EARNED. YOU ARE NOT ENTITLED TO FUNDS IN YOUR WALLET UNTIL THE FUNDS HAVE BEEN RELEASED AND ARE IN A WITHDRAWABLE STATE. Lead Acceptance. Lead Provider expressly acknowledges any submission of a Potential Lead to FBL is subject to acceptance by FBL, in its sole discretion. FBL will have no responsibility or liability whatsoever to Lead Provider with respect to the continued availability or operation of FBL services or the acceptance of, failure to accept, or failure to follow up on Potential Leads submitted by Lead Provider. Lead Provider acknowledges and agrees that FBL may, directly or indirectly (including through other Lead Providers), offer FBL services to the public and Lead Provider will not be entitled to Referral Fees for sales made through such other channels. If FBL receives similar Potential Leads from different Lead Providers or from an FBL Sales Agent or FBL Employee, FBL may, in its sole discretion, determine who, if anyone, will receive a Referral Fee credit or payment for an order placed by any Converted Leads.

Within a reasonable period of time following Referral Partner’s submission of a proposed lead, Marketo shall review the proposed lead and provide Referral Partner with a notification of its acceptance of the proposed lead as commissionable, or its rejection of the proposed lead. Marketo will be under no obligation to accept any proposed lead submitted by Referral Partner and may reject or decline to accept proposed leads for any commercially reasonable reason as determined by Marketo, including that:
(i) the proposed lead was an existing customer of Marketo or of any of its affiliates (as defined below) at the time of submission of the proposed lead;
(ii) Marketo or any of its affiliates was already involved in discussions relating to the sale of Marketo Services to the proposed lead at the time of submission of the proposed lead;
(iii) the proposed lead has previously been submitted to Marketo or any of its affiliates by Referral Partner or by any other third party;
(iv) the proposed lead (a) does not meet Marketo’s credit requirements, (b) is on a list of restricted or prohibited parties issued by the government of the United States or any other jurisdiction, or (c) is located in a country that is subject to a United States trade embargo or that is deemed a terrorist supporting country by the United States Government; or
(v) the proposed lead is located in an area in which Marketo or any of its affiliates has an exclusive arrangement for the sale of Marketo Services subscriptions or which Marketo is otherwise prohibited by agreement or law from accepting.

WOWS Global will be under no obligation to accept any Proposed Lead and may reject or decline to accept any Proposed Lead for any commercially reasonable reason as determined WOWS Global in its discretion, including without limitation, that:
(i) the Proposed Lead was an existing customer of WOWS Global at the time of the referral by Referral Partner;
(ii) WOWS Global was already involved in discussions relating to the sale of a Platform subscription or other products or services to the Proposed Lead at the time of the referral to WOWS Global;
(iii) the Proposed Lead had previously been referred to WOWS Global by Referral Partner or by any other third party;
(iv) the Proposed Lead (a) does not meet WOWS Global’s credit requirements, (b) is on a list of restricted or prohibited parties issued by the government of the Singapore or any other jurisdiction, or (c) is located in a country that is subject to a Singapore trade embargo or that is deemed a terrorist supporting country by the Singaporean Government; or
(v) the Proposed Lead is located in an area in which WOWS Global has an exclusive arrangement for the sale of Platform or other services or which WOWS Global is otherwise prohibited by agreement or law from accepting.

[Adworx Financial] will be under no obligation to accept any Proposed Lead and may reject or decline to accept any Proposed Lead for any commercially reasonable reason as determined by [Adworx Financial] in its discretion, including without limitation, that: the Proposed Lead was an existing customer of [Adworx Financial] at the time of the referral, by Referral Partner; [Adworx Financial] was already involved in discussions relating to providing Alternative lending services to the Proposed Lead at the time of the referral to [Adworx Financial]; the Proposed Lead had previously been referred to [Adworx Financial] by Referral Partner or by any other third party; the Proposed Lead (a) does not meet [Adworx Financial]’s credit requirements, (b) is on a list of restricted or prohibited parties issued by the government of the United States or any other jurisdiction, or (c) is located in a country that is subject to a United States trade embargo or that is deemed a terrorist supporting country by the United States Government; or the Proposed Lead is located in an area in which [Adworx Financial]has an exclusive arrangement for providing alternative lending services or which [Adworx Financial] is otherwise prohibited by agreement or law from accepting.
