Licenses, Permits and Taxes. The Contractor shall, at its own expense, have and maintain all licenses, registrations, permits, and approvals necessary for the performance of the Contract, including without limitation, registration with the Washington State Department of Revenue. The Contractor shall pay all fees (including licensing fees) and applicable federal, state, and local taxes.

Licenses, Permits and Taxes. Exhibitor agrees to obtain the proper licenses and/or permits for the use of the space and any of the activity occurring in the space, covered by this Agreement as required by Federal, State and Local law and supply evidence of same to the Fair on demand. Exhibitor agrees to promptly pay all applicable taxes and require all vendors, exhibitors, and others selling products to pay applicable taxes and carry the proper licenses and permits. Exhibitor shall be responsible for all federal, state and local income taxes and all deductions and taxes including but not limited to its sales and its employees.

LESSEE will indemnify and hold CITY, its officers, agents and employees harmless from all liability, costs and claims, losses and/or damages (including court costs and attorneys’ fees) with respect to such copyright or trademark rights.

Licenses, Permits and Taxes. Aramark shall obtain all federal, state and local licenses and permits required for District's Food Service Program and shall be responsible for all sales, use, excise taxes and all other state and local taxes attributable to District's Food Service Program. The cost of all such licenses, permits and taxes shall be charged as Direct Costs. In the event that a determination is made by a government authority that any sales, purchases, payments, maintenance or use of inventory or property made to or by Aramark under this Agreement, either in whole or in part, are subject to any sales, use, Gross Receipts or any similar tax, the full amount of any such tax liability, together with any interest or penalties thereon, shall constitute a Direct Cost and shall immediately be reimbursed by District to Aramark upon Xxxxxxx’s demand therefore, notwithstanding the fact that this Agreement may have expired or been terminated for any reason by either party hereto prior to the date of such determination; further, in the event that such determination is made during the term of this Agreement, District, from the time of such determination forward, shall pay such tax to Aramark as a Direct Cost or, if applicable, shall assist Aramark in collecting such tax at the point of sale.
