Limited Source Code License. To the extent reasonably --------------------------- necessary for ICQ to modify, develop, add, delete or use any functionality or features of the ICQ IP Telephony Services in connection with the development of any Additional ICQ Modifications pursuant to Section 2.3.4, N2P shall provide to ICQ APIs to the ICQ IP Telephony Software so that such Additional Modifications (whether developed by N2P, ICQ or any third party) can interoperate with (including use of the principal functions of) the ICQ IP Telephony Software; provided, however, that, to the extent that such APIs are -------- ------- insufficient to enable such interoperability, N2P shall either (i) modify, as promptly as commercially practicable, the APIs (at no cost to ICQ), the ICQ IP Telephony Software or the Additional Modifications to enable such interoperability, or (ii) in the event that (a) N2P does not perform the work described in clause (i) of this Section 10.2.2 as promptly as commercially practicable or (b) elects not to perform such work, provide to ICQ portions of the Source Code for the ICQ IP Telephony Software (and grant a license) necessary to permit ICQ to modify the APIs or ICQ IP Telephony Software to enable such interoperability. If N2P elects to do the modifications, it shall make the modifications as promptly as is commercially reasonable. ICQ's use of the Source Code pursuant to this Section 10.2.2 will not include any right to sublicense, transfer, assign, disclose or distribute the Source Code to any third party without N2P's prior written consent, and will be subject to mutually agreed provisions, reflective of the sensitivity of the Source Code, to preclude the unauthorized use or disclosure of the Source Code or information derived therefrom.
Limited Source Code License. Other than with respect to the Adeneo Software included in the Licensed Materials and identified on Exhibit 1 to this Agreement (the “Adeneo Software”), TI hereby grants to you a fully paid-up, royalty-free, non-transferable, non-exclusive, non- assignable, license to make copies, prepare derivative works, display internally and use internally the Licensed Materials provided to you in source code for the sole purposes of (A) developing object and executable versions of such Licensed Materials or any derivative thereof, that execute solely and exclusively on TI Devices, for end use in OEM Products, and maintaining and supporting such Licensed Materials, or any derivative thereof, and OEM Products and (B) further sublicensing such source code, or any derivatives thereof, to OEMs, to the extent permitted by and in accordance with the terms of subsection 1(a)(iii)(C) below, in order to enable such OEMs to develop object and executable versions of such Licensed Materials, or any derivative thereof, that execute solely and exclusively on TI Devices for end use in OEM Products, and maintaining and supporting such Licensed Materials, or any derivative thereof, and OEM Products. For purposes of this Agreement, “OEM Product” means a product that (Y) consists of both hardware and software components, including executable only versions of the Licensed Materials, or any derivative thereof, that execute solely and exclusively on TI Devices and not on devices manufactured by or for an entity other than TI, and (Z) is sold by or for an original equipment manufacturer (“OEM”) bearing such OEM brand name and part number.
Limited Source Code License. TI hereby grants to you a fully paid-up, royalty-free, non- transferable, non-exclusive, non-assignable, license to make copies, prepare derivative works, display internally and use internally the Licensed Materials provided to you in source code for the sole purposes of (A) developing object and executable versions of such Licensed Materials or any derivative thereof, that execute solely and exclusively on TI Devices, for end use in OEM Products, and maintaining and supporting such Licensed Materials, or any derivative thereof, and OEM Products and (B) further sublicensing such source code, or any derivatives thereof, to OEMs, to the extent permitted by and in accordance with the terms of subsection 1(a)(iii)(C) below, in order to enable such OEMs to develop object and executable versions of such Licensed Materials, or any derivative thereof, that execute solely and exclusively on TI Devices for end use in OEM Products, and maintaining and supporting such Licensed Materials, or any derivative thereof, and OEM Products. Limited Source Code License. Inforce hereby grants to Company a non-transferable, non-exclusive, non-assignable, non-sublicensable right and license to make copies, prepare derivative works, display internally and use internally the Licensed Materials provided to Company in source code only for the purpose of developing object and executable versions of such Licensed Materials or any derivative thereof, that execute only on Authorized Systems, and maintaining and supporting such Licensed Materials, or any derivative thereof, and Authorized Systems.
Limited Source Code License. You may make and have made copies, prepare derivative works, display internally and use internally the Licensed Materials provided in source code for the sole purpose of developing object and executable versions of such Licensed Materials, or any derivative thereof, for use in products that include the Licensed Materials (or such derivative works made pursuant to this license grant) running solely and exclusively on processing devices manufactured by or for TI (“TI Devices”) (such products hereafter referred to as “Customer Products”), and maintaining and supporting such Licensed Materials, or any derivative thereof, and Customer Products. You agree that this source code license is site specific and is solely for the location where the Licensed Materials are downloaded, and that you will not move any source code version of the Licensed Materials, or any derivative thereof, to any other location without TI’s prior written consent, which consent will not be unreasonably withheld. You shall maintain the source code versions of the Licensed Materials under password control protection.
Limited Source Code License. Subject to the terms of this Agreement, TI hereby grants to you a limited, non-transferable, non- exclusive, non-assignable, non-sublicensable, fully paid-up and royalty-free license to make copies, prepare derivative works, display internally and use internally the Licensed Materials provided to you in source code for the sole purpose of developing object and executable versions of such Licensed Materials, or any derivative thereof, that execute solely and exclusively on TI Devices, for end use in Licensee Products, and maintaining and supporting such Licensed Materials, or any derivative thereof, and Licensee Products. For purposes of this Agreement, “Licensee Product” means a product that consists of both hardware, including one or more TI Devices, and software components, including only executable versions of the Licensed Materials that execute solely and exclusively on such TI Devices and not on devices manufactured by or for an entity other than TI.
Limited Source Code License. Subject to Allstate's compliance with all of the terms and conditions of the Agreement, as amended, Allstate is hereby granted a perpetual, irrevocable, limited, nonexclusive, nontransferable, nonassignable, enterprise-wide source code license ("Source Code License") to use the Universal Application, TenFold ComponentWare and PolicyXpress source code for Allstate's internal business purposes as follows. (For purposes of this Source Code License, "Allstate" shall be defined to include current subsidiaries and affiliates of Allstate as well as future subsidiaries or affiliates that are acquired by Allstate that did not write more than $1.5 billion of annual direct written insurance premiums in the immediately preceding calendar year):
Limited Source Code License. Sagent shall escrow the fully documented source code version of the Licensed Materials pursuant to the terms and conditions set forth in EXHIBIT F.
Limited Source Code License. To the extent reasonably necessary for AOL to modify, develop, add, delete or use any functionality or features of the AIM IP Telephony Services in connection with the development of any Additional AOL Modifications pursuant to Section 2.3.4, N2P shall provide to AOL APIs or SDKs to the AOL IP Telephony Software so that such Additional Modifications or other obligations under this Agreement (e.g., Section 2.1) (whether developed by N2P, AOL or any third party) can interoperate with (including use of the principal functions of) the AOL IP Telephony Software; provided, however, that, to the extent that such APIs or SDKs are insufficient to enable such interoperability, N2P shall either (i) modify, as promptly as commercially practicable, the APIs or SDKs [****], the AOL IP Telephony Software or the Additional Modifications to enable such interoperability, or (ii) in the event that (a) N2P does not perform the work described in clause (i) of this Section 10.2.2 as promptly as commercially practicable or (b) elects not to perform such work, provide to AOL portions of the Source Code for the AOL IP Telephony Software (and grant a license) necessary to permit AOL to modify the APIs, SDKs, or AOL IP Telephony Software to enable such interoperability. If N2P elects to do the modifications, it shall make the modifications as promptly as is commercially reasonable. AOL's use of the Source Code pursuant to this Section 10.2.2 will not include any right to sublicense, transfer, assign, disclose or distribute the Source Code to any third party without N2P's prior written consent, and will be subject to mutually agreed provisions, reflective of the sensitivity of the Source Code, to preclude the unauthorized use or disclosure of the Source Code or information derived therefrom.
Limited Source Code License. Under a Limited Source Code License, the Copyright Licensor grants to the Copyright Licensee a non-exclusive, non-transferable (except as expressly provided) worldwide, revocable, payment-bearing (if the Statement of Work states that payment is required) license under the Copyright Licensor's copyrights covering the Licensed Work identified in a Statement of Work.
