Maintenance of Equipment and Software. 11.1 Except for the Services to be provided hereunder as set forth in this Agreement and in any Addendums, Motient shall not be responsible for the operation or maintenance of the Land Earth Stations or the Software necessary to operate such Land Earth Stations. Notwithstanding the generality of the foregoing, Aether shall * Confidential information. Information has been redacted. be solely responsible for any and all upgrades, improvements, replacements, modifications, repairs or similar items with respect to the Land Earth Stations and the Software embedded therein. In the event that Aether uses the Land Earth Stations or any Software in a manner that impairs Aether’s use of the Land Earth Stations, Aether shall not be excused from payment for such use. 11.2 The floor and office space housing the Land Earth Stations is provided to Aether on an “As Is, Where Is” basis, in the current configuration. If Aether wishes to re-configure the Land Earth Stations, or employee work stations or any other aspect of the floor or office space provided hereunder, Aether shall be solely responsible for the costs associated with such re-configuration. Any such re-configuration shall be contained substantially within the same floor space and office space in which the Land Earth Stations are currently housed. Aether and its employees shall comply with all applicable guidelines, policies, procedures and similar rules established by Motient with respect to the use of the Reston Premises and/or the Land Earth Stations.

Customer shall obtain, maintain and operate, at its own expense, all hardware, equipment and non-mindSCOPE software required to interface properly with the Products. Customer agrees to use computer systems that meet mindSCOPE’s hardware requirements as currently in effect and as modified from time to time and posted on mindSCOPE’s website or otherwise provided to Customer. Customer acknowledges that some hardware and operating environments may not readily accept the current or future functionality of the mindSCOPE software. Customer agrees, at its own expense, to make necessary changes or upgrades to its hardware, software, memory, memory management and operating system environment necessary to interface properly with the software. Customer agrees to make necessary changes or upgrades in hardware, software, memory and operating (system) environment to interface properly with mindSCOPE. Typical examples of such changes may include but are not limited to, disabling pop-up blockers, ensuring suitable versions of Internet Explorer, and maintaining connection to the Internet. In the event that mindSCOPE is called upon to provide any support for Customer, the cause of which is deemed by mindSCOPE to result from use of the software with incompatible hardware/operating systems, mindSCOPE reserves the right to impose a charge for such service at a billable rate equal to the greater of one-hundred-fifty dollars ($150.00) per hour or mindSCOPE’s then current hourly billable rate for such service. If Customer utilizes any interface program to interface with the software, Customer shall look solely to the supplier of such interface program with respect to any losses or damages caused by such interface program. 5.2. For Minimum System Requirements, see Schedule A, attached hereto and an integral part of this Agreement.
Maintenance of Equipment and Software. Customer, and not Snap-on Diagnostics, shall bear sole responsibility to obtain, maintain and operate, or cause to be obtained, maintained and operat- ed at Customer’s own expense, all equipment and software that may be necessary for Customer to access and use the Services or Product. In the event that Xxxxxx is called upon to provide any support for Customer, the cause of which is reasonably determined by Arslan to result from use of the Product with incompatible hardware, or operating systems, or insufficient internet connectivity, Arslan reserves the right to impose its standard support charge for such service. If Customer utilizes any interface program to interface with the Product, Customer shall look solely to the supplier of such interface program with respect to any losses or damages caused by such interface program.

  • Maintenance of Equipment The Equipment shall be maintained in good operating condition and repair (reasonable wear and tear excepted) and all necessary replacements of and repairs thereto shall be made so that the value and operating efficiency of the Equipment shall be maintained and preserved. No Borrower shall use or operate the Equipment in violation of any law, statute, ordinance, code, rule or regulation. Each Borrower shall have the right to sell Equipment to the extent set forth in Section 4.3 hereof.

  • Equipment and Software To use the Mobile Remote Deposit Services, you must obtain and maintain at your expense, compatible equipment and software that we may specify from time to time.

  • Supply and Maintenance of Equipment It is the responsibility of the Employer to furnish and maintain all equipment, machinery and supplies required by employees in the performance of their duties.   • Equipment Maintenance If this Contract involves computer or telecommunications hardware or other mechanical or electrical Equipment maintenance (use of the word "Equipment" means all the foregoing) as a Deliverable, then, during the warranty period and during any period covered by annual maintenance, the Contractor will provide Equipment maintenance to keep the Equipment in or restore the Equipment to good working order. This maintenance will include preventative and remedial maintenance, installation of safety changes, and installation of engineering changes based upon the specific needs of the individual item of Equipment. This maintenance will also include the repair, replacement, or exchange deemed necessary to keep the Equipment in good working order. For purposes of this Contract, Equipment restored to good working condition means Equipment that performs in accordance with the manufacturer's published specifications. The Contractor will exert its best efforts to perform all fault isolation and problem determination attributed to the Equipment covered under this Contract. The following services are outside the scope of this Contract: 1. Repair and replacement work or increase in maintenance time as a result of damage or loss resulting from accident, casualty, neglect, misuse, or abuse if such is the State's fault (and beyond normal wear and tear), damage resulting from improper packing or failure to follow prescribed shipping instruction (If such is done by the State), failure of electrical power, air conditioning or humidity control, use of supplies not approved by the original manufacturer of the Equipment as describe or included in the Contractor's proposal, or causes other than ordinary use of Equipment. 2. All information necessary for the State to perform the maintenance, including but not limited to logic diagrams, maintenance manuals and system and unit schematics with all changes noted. 3. A listing of spare parts and their recommended replacement schedule that will enable the State to create a centralized inventory of spare parts.

  • Equipment and Tools 40.01 The Employer will make available all necessary tools and equipment it requires for the performance of work assignments at no cost to the employees. Such tools and equipment will remain the property of the Employer and the employees will be required to take reasonable care of this property and may be required to sign out certain equipment and tools.

  • Office Space, Equipment and Facilities Provide such office space, office equipment and office facilities as are adequate to fulfill the Adviser’s obligations hereunder.

  • Maintenance of Intellectual Property The Company will, and will cause each of its Subsidiaries to, take all reasonable action necessary or advisable to maintain all of the Intellectual Property Rights of the Company and/or any of its Subsidiaries that are necessary or material to the conduct of its business in full force and effect.

  • Installation and Maintenance Except for the bi‐directional and production metering equipment owned by the City, all equipment on Customer’s side of the delivery point, including the required disconnect device, shall be provided and maintained in satisfactory operating condition by Customer and shall remain the property and responsibility of the Customer. The City will bear no responsibility for the installation or maintenance of Customer’s equipment or for any damage to property as a result of any failure or malfunction thereof. The City shall not be liable, directly or indirectly for permitting or continuing to allow the interconnection of the Facility or for the acts or omissions of Customer or the failure or malfunction of any equipment of Customer that causes loss or injury, including death, to any party.
