Maintenance of Equipment and Software. 11.1 Except for the Services to be provided hereunder as set forth in this Agreement and in any Addendums, Motient shall not be responsible for the operation or maintenance of the Land Earth Stations or the Software necessary to operate such Land Earth Stations. Notwithstanding the generality of the foregoing, Aether shall * Confidential information. Information has been redacted. be solely responsible for any and all upgrades, improvements, replacements, modifications, repairs or similar items with respect to the Land Earth Stations and the Software embedded therein. In the event that Aether uses the Land Earth Stations or any Software in a manner that impairs Aether’s use of the Land Earth Stations, Aether shall not be excused from payment for such use.

Maintenance of Equipment and Software. 5.1. Customer shall obtain, maintain and operate, at its own expense, all hardware, equipment and non-mindSCOPE software required to interface properly with the Products. Customer agrees to use computer systems that meet mindSCOPE’s hardware requirements as currently in effect and as modified from time to time and posted on mindSCOPE’s website or otherwise provided to Customer. Customer acknowledges that some hardware and operating environments may not readily accept the current or future functionality of the mindSCOPE software. Customer agrees, at its own expense, to make necessary changes or upgrades to its hardware, software, memory, memory management and operating system environment necessary to interface properly with the software. Customer agrees to make necessary changes or upgrades in hardware, software, memory and operating (system) environment to interface properly with mindSCOPE. Typical examples of such changes may include but are not limited to, disabling pop-up blockers, ensuring suitable versions of Internet Explorer, and maintaining connection to the Internet. In the event that mindSCOPE is called upon to provide any support for Customer, the cause of which is deemed by mindSCOPE to result from use of the software with incompatible hardware/operating systems, mindSCOPE reserves the right to impose a charge for such service at a billable rate equal to the greater of one-hundred-fifty dollars ($150.00) per hour or mindSCOPE’s then current hourly billable rate for such service. If Customer utilizes any interface program to interface with the software, Customer shall look solely to the supplier of such interface program with respect to any losses or damages caused by such interface program.

Customer acknowledges that some hardware and operating environments may not readily accept the current or future functionality of the Software. Customer agrees, at its own expense, to make necessary changes or upgrades in hardware, software, memory, memory management, and operating system environment to interface properly with the Software. In the event that Xxxxxx is called upon to provide any support for Customer, the cause of which is reasonably determined by Arslan to result from use of the Product with incompatible hardware, or operating systems, or insufficient internet connectivity, Arslan reserves the right to impose its standard support charge for such service. If Customer utilizes any interface program to interface with the Product, Customer shall look solely to the supplier of such interface program with respect to any losses or damages caused by such interface program.
Maintenance of Equipment and Software. Customer, and not Snap-on Diagnostics, shall bear sole responsibility to obtain, maintain and operate, or cause to be obtained, maintained and operat- ed at Customer’s own expense, all equipment and software that may be necessary for Customer to access and use the Services or Product. The minimum requirements may be updated from time to time by Snap-on Diagnostics. Customer is responsible solely for ensuring compatibility with the Services and Product and for any new hardware or software required by Customer to maintain compatibility with the Services or Product.

  • Maintenance of Equipment The Equipment shall be maintained in good operating condition and repair (reasonable wear and tear excepted) and all necessary replacements of and repairs thereto shall be made so that the value and operating efficiency of the Equipment shall be maintained and preserved. No Borrower shall use or operate the Equipment in violation of any law, statute, ordinance, code, rule or regulation. Each Borrower shall have the right to sell Equipment to the extent set forth in Section 4.3 hereof.

  • Maintenance of Aircraft Lessor shall be solely responsible for securing maintenance, preventive maintenance and inspections of the Aircraft (utilizing an inspection program listed in FAR Section 91.409(f)), and shall take such requirements into account in scheduling the Aircraft hereunder.

If LESSOR so directs, LESSEE shall enter into a preventive maintenance/service contract acceptable to LESSOR with a maintenance contractor acceptable to LESSOR at LESSEE's sole cost and expense for servicing all air conditioning, heating, ventilating, and other equipment or other equipment located within or serving the leased premises. LESSEE will properly control or vent all solvents, degreasers, smoke, odors, etc. and shall not cause the area surrounding the leased premises to be in anything other than a neat and clean condition, depositing all waste in appropriate receptacles. LESSEE shall be solely responsible for any damage to plumbing equipment, sanitary lines, or any other portion of the building which results from the discharge or use of any acid or corrosive substance by LESSEE. LESSEE shall not permit the leased premises to be overloaded, damaged, stripped or defaced, nor suffer any waste, and will not keep animals within the leased premises. LESSEE will protect any carpet with plastic or masonite chair pads under any rolling chairs. Unless heat is provided at LESSOR's expense, LESSEE shall maintain sufficient heat to prevent freezing of pipes or other damage. Any increase in air conditioning equipment or electrical capacity, or any installation and/or maintenance of equipment which is necessitated by some specific aspect of LESSEE's use of the leased premises shall be at LESSEE's expense. All maintenance provided by LESSOR shall be during LESSOR's normal business hours.

  • Maintenance and Support Services As long as you are not using the Help Desk as a substitute for our training services on the Tyler Software, and you timely pay your maintenance and support fees, we will, consistent with our then-current Support Call Process:

  • Aircraft Maintenance Operator shall, at its own expense, cause the Aircraft to be inspected, maintained, serviced, repaired, overhauled, and tested in accordance with FAR Part 91 so that the Aircraft will remain in good operating condition and in a condition consistent with its airworthiness certification and shall take such requirements into account in scheduling the Aircraft hereunder, including but not limited compliance with applicable airworthiness directives and service bulletins. Performance of maintenance, preventive maintenance or inspection shall not be delayed or postponed for the purpose of scheduling the Aircraft unless such maintenance or inspection can safely be conducted at a later time in compliance with applicable laws, regulations and requirements, and such delay or postponement is consistent with the sound discretion of the pilot-in-command. In the event that any non-standard maintenance is required during the term and will interfere with User’s requested or scheduled flights, Operator, or Operator’s pilot-in-command, shall notify User of the maintenance required, the effect on the ability to comply with User’s requested or scheduled flights and the manner in which the parties will proceed with the performance of such maintenance and conduct of such flight(s). In no event shall Operator be liable to User or any other person for loss, injury or damage occasioned by the delay or failure to furnish the Aircraft under this Agreement, whether or not maintenance-related.
