Maintenance Releases and New Versions. 6.1 Askia shall update the Licensed Applications as follows: (a) Askia shall issue Modifications of the Licensed Applications as and when required and in whatever form (including by way of a local fix or patch or a temporary by-pass solution) in Askia’s absolute discretion; (b) for the avoidance of doubt, the cost of providing such Modifications is included in the Fees however Askia reserves the right to charge sums in addition to the Fees in respect of the licence of any New Version based on Askia’s then current price list; and (c) once any Modification has been installed by the Customer, the Customer shall return all copies of the software or any part of the software which is superseded by that Modification. 6.2 In relation to Maintenance Releases, the Customer agrees to install all Maintenance Releases within one month of Askia notifying the Customer that the Maintenance Release is available. If after this time, the Customer has failed to install the Maintenance Release then Askia may terminate the Support Services in respect of the relevant Licensed Application with immediate effect. 6.3 In relation to New Versions, if Askia has released two (2) New Versions since the version which forms part of the Licensed Application supported by Askia, and the Customer has not, within one (1) month of Askia having notified it that a New Version is available, acquired and installed that New Version, Askia may terminate the Support Services in respect of such Licensed Application by giving one (1) month's written notice at any time after the expiry of such period. Note that release cycles may vary depending on the whether the Customer has opted to purchase a particular Licensed Application based on a long-term support release or not. 6.4 Notwithstanding the above, Askia shall have no obligation to provide Support Services in respect of any version of a Licensed Application if the version has reached its end of life as determined by Askia in its absolute discretion, in which case you must either agree to acquire and install the New Version or Askia may terminate the Support Services in respect of such Licensed Application with immediate effect.
Maintenance Releases and New Versions. 5.1 GeoGebra will provide the Licensee with any Maintenance Release generally made available to its other licensees (which is normally achieved by making such Maintenance Release available on GeoGebra's website). GeoGebra warrants that no Maintenance Release will adversely affect the then existing facilities or functions of the Software. The Licensee shall install all Maintenance Releases as soon as reasonably practicable after receipt or notification of its availability. 5.2 Should, during the Term, GeoGebra issue a New Version it will offer such New Version to the Licensee on such terms as the parties shall agree in good faith and this Agreement (including the License Fee) shall be amended by the parties accordingly. 5.3 For the purposes of this clause 5, a Maintenance Release shall only include corrections for problems in the current Release identified by GeoGebra, modifications, enhancements and other improvements which GeoGebra elects to incorporate into and make part of the Software and/or GeoGebra Materials and does not separately market or charge for.
Maintenance Releases and New Versions. 4.1 The Supplier will provide the Customer with all Maintenance Releases generally made available to its customers. The Supplier warrants that no Maintenance Release will adversely affect the then existing facilities or functions of the Software. The Customer shall install all Maintenance Releases and replace the License Key as soon as reasonably practicable after receipt. 4.2 For the avoidance of doubt, nothing in this License shall oblige the Customer to take any New Version.
Maintenance Releases and New Versions. During the Support Period, Contractor shall provide the State, at no additional charge, with all Maintenance Releases and New Versions for the Software.

  • Maintenance and Use of Property Borrower shall cause the Property to be maintained in a good and safe condition and repair. The Improvements and the Personal Property shall not be removed, demolished or materially altered (except for normal replacement of the Personal Property or as permitted in the PETsMART Lease) without the consent of Lender. Except as provided in Section 3.8(f) hereof, Borrower shall promptly repair, replace or rebuild or cause to be repaired, replaced or rebuilt, any part of the Property which may be destroyed by any casualty, or become damaged, worn or dilapidated or which may be affected by any proceeding of the character referred to in Section 3.6 hereof and shall complete and pay for any structure at any time in the process of construction or repair on the Land. Borrower shall not initiate, join in, acquiesce in, or consent to any change in any private restrictive covenant, zoning law or other public or private restriction, limiting or defining the uses which may be made of the Property or any part thereof, provided, that Borrower shall be permitted to enter into easement agreements or grant rights of way so long as such agreements or grants do not reduce the value of the Property or impair its use, and so long as Borrower has delivered to Lender a title endorsement satisfactory to Lender with respect to such agreements and/or rights of way. If under applicable zoning provisions the use of all or any portion of the Property is or shall become a nonconforming use, Borrower will not cause or permit the nonconforming use to be discontinued or the nonconforming Improvement to be abandoned without the express written consent of Lender.

  • Selection of Subcontractors, Procurement of Materials and Leasing of Equipment The contractor shall not discriminate on the grounds of race, color, religion, sex, national origin, age or disability in the selection and retention of subcontractors, including procurement of materials and leases of equipment. The contractor shall take all necessary and reasonable steps to ensure nondiscrimination in the administration of this contract. a. The contractor shall notify all potential subcontractors and suppliers and lessors of their EEO obligations under this contract. b. The contractor will use good faith efforts to ensure subcontractor compliance with their EEO obligations.

  • System Upgrade Facilities and System Deliverability Upgrades Connecting Transmission Owner shall design, procure, construct, install, and own the System Upgrade Facilities and System Deliverability Upgrades described in Appendix A hereto. The responsibility of the Developer for costs related to System Upgrade Facilities and System Deliverability Upgrades shall be determined in accordance with the provisions of Attachment S to the ISO OATT.

  • Maintenance of Intellectual Property The Company will, and will cause each of its Subsidiaries to, take all reasonable action necessary or advisable to maintain all of the Intellectual Property Rights of the Company and/or any of its Subsidiaries that are necessary or material to the conduct of its business in full force and effect.

  • Technology Upgrades Notwithstanding any other provision of this Agreement, Verizon shall have the right to deploy, upgrade, migrate and maintain its network at its discretion. The Parties acknowledge that Verizon, at its election, may deploy fiber throughout its network and that such fiber deployment may inhibit or facilitate Ymax’s ability to provide service using certain technologies. Nothing in this Agreement shall limit Verizon's ability to modify its network through the incorporation of new equipment or software or otherwise. Ymax shall be solely responsible for the cost and activities associated with accommodating such changes in its own network.

  • Maintenance of Liens Each Borrower shall perform all such acts and execute all such documents as Administrative Agent may reasonably request in order to enable Administrative Agent and the Lenders to file and record every instrument that Administrative Agent may reasonably deem necessary in order to perfect and maintain Administrative Agent’s first priority Liens on the Collateral (subject to Permitted Liens).

  • Software Maintenance Subrecipient shall apply security patches and upgrades in a timely manner and keep virus software up-to-date on all systems on which State data may be stored or accessed.

  • Solicitations for Subcontracts, Including Procurement of Materials and Equipment In all solicitations either by competitive bidding or negotiation made by the Local Government for work to be performed under a subcontract, including procurement of materials or leases of equipment, each potential subcontractor or supplier will be notified by the Local Government of the Local Government’s obligations under this Agreement and the Acts and Regulations relative to Nondiscrimination on the grounds of race, color, or national origin.

  • LIMITATIONS ON REVERSE ENGINEERING, DECOMPILATION AND DISASSEMBLY You may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

  • Solicitations for Subcontracts, Including Procurements of Materials and Equipment In all solicitations either by competitive bidding or negotiation made by the Engineer for work to be performed under a subcontract, including procurements of materials or leases of equipment, each potential subcontractor or supplier shall be notified by the Engineer of the Engineer's obligations under this contract and the Regulations relative to nondiscrimination on the grounds of race, color, or national origin.
