Management and Operation of the Projects. (a) Licensee may subcontract or delegate its property-level, non-management functions with respect to Operating one or more Licensed Vacation Ownership Properties, such as housekeeping, security and maintenance to vendors without Licensor’s prior written consent, provided that such functions are delegated or subcontracted in accordance with the Brand Standards. Licensee may subcontract or delegate both property-level and management functions to (i) a Subsidiary without notice to or consent of Licensor or (ii) any other Person, with Licensor’s prior written consent not to be unreasonably withheld. Licensor hereby consents to the subcontracting and delegation agreements set forth on Exhibit L of the Original Agreement. (b) Licensee shall require all sublicensees (and all Persons referenced in Section 8.3(a)) to agree in writing to abide by all terms herein relating to the Standards and Agreements and protection of the Licensed IP, and Licensee is liable to Licensor hereunder for any act or omission by a sublicensee or a Person referenced in Section 8.3(a) that would breach this Agreement if committed by Licensee. A Party may not license or authorize any Person (including Subsidiaries) to take any action that such Party is prohibited from doing under this Agreement, and each Party is liable hereunder for any action by a Subsidiary that would breach this Agreement if committed by such Party.

Management and Operation of the Projects. (a) Except as provided in Section 7.3(b) below or in Schedule 7.3(a), all Projects must be operated by Licensee or one of its Permitted Affiliates unless Licensor has consented in writing to (x) a third-party management company that is not a Permitted Affiliate of Licensee (“Management Company”) to operate a particular Project, and (y) the terms and conditions of the applicable Project management agreement, sub-management agreement or the applicable Hyatt Residence Club Resort Agreement with such Management Company. Any material amendment, any extension, any renewal (other than an automatic renewal or extension) or any other material modification of any such agreement shall also require the prior written consent of Licensor. Any Management Company approved by Licensor after the Effective Date must execute and deliver to Licensor a Management Company Acknowledgment in the form required by Licensor, the current form of which is attached hereto as Exhibit F. Upon a breach by a Management Company of any such applicable Project management agreement, sub-management agreement, the applicable Hyatt Residence Club Resort Agreement or the Management Company Acknowledgment then in effect, Licensor may (i) direct Licensee or its Permitted Affiliate to enforce any or all of the remedies available to Licensee or its Permitted Affiliate thereunder, including termination of such agreement, and/or (ii) enforce its rights and remedies pursuant to the applicable Management Company Acknowledgement. (b) Notwithstanding Section 7.3(a) above to the contrary, Licensor acknowledges that (i) certain non-managerial functions of Projects may be delegated or subcontracted to third-parties in accordance with Section 5.6 of this Agreement; (ii) certain aspects of certain Projects may be subject to shared service and integrated facility arrangements with co-located lodging properties and other facilities; and (iii) Licensee may delegate to Licensee’s Permitted Affiliates and Permitted Sublicensees the authority to operate certain Projects in accordance with Sections 5.1(b) and 5.2 of this Agreement. (c) Licensee may not subcontract the management of any food and beverage operations to any Person that is not an Affiliate of Licensee. However, Licensee may lease space at any Project to one or more restaurant operators, and may subcontract the management of the spa operations (if the Project has spa operations), provided that (a) Licensor approves of the operator, the restaurant or spa conc...
Management and Operation of the Projects. A. Except as provided in Section 8.3.B, all Projects must be operated by Licensee or one of its Affiliates unless Licensor has consented in writing to a third-party management company that is not an Affiliate of Licensee (“Management Company”) to operate a particular Project, which consent may be granted or withheld in Licensor’s sole discretion and withdrawn at any time if Licensor determines that such Management Company is no longer qualified to manage the particular Project. Any Management Company approved by Licensor must execute and deliver to Licensor a Management Company Acknowledgment in the form required by Licensor, the current form of which is attached hereto as Exhibit C. B. Notwithstanding Section 8.3.A, Licensor acknowledges that (i) certain functions of Projects may be delegated or subcontracted to third-parties in accordance with Section 5.8; (ii) Licensor or its Affiliates may operate certain Projects (“Licensor Managed Projects”) under separate management agreements (“Licensor Management Agreements”); (iii) certain aspects of certain Projects may be subject to shared service and integrated facility arrangements with co-located lodging properties and other facilities; and (iv) Licensee may delegate to Licensee’s Affiliates the authority to operate certain Projects in accordance with Sections 5.1.C. and 5.2.D.

  • STANDARDS OF MANAGEMENT AND OPERATIONS In performing its obligations hereunder, during the term of this ESA, the Competitive Supplier shall exercise reasonable care to assure that its facilities are prudently and efficiently managed; that it employs an adequate number of competently trained and experienced personnel to carry out its responsibilities; that it delivers or arranges to deliver a safe and reliable supply of such amounts of electricity to the Point of Delivery as are required under this ESA; that it complies with all relevant industry standards and practices for the supply of electricity to Participating Consumers; and that, at all times with respect to Participating Consumers, it exercises good practice for a Competitive Supplier and employs Commercially Reasonable skills, systems and methods available to it.

Notwithstanding anything to the contrary set forth in this Contract, Purchaser acknowledges that after June 1, 1998 and prior to Closing, Seller will enter into contracts for the completion of Tenant improvements under Tenant Leases entered into after June 1, 1998 pursuant to the terms of Section 12.1 hereof (collectively, the "Tenant Finish Contracts"). Purchaser and Seller agree that at Closing, Purchaser shall assume the obligations of Seller under all such Tenant Finish Contracts including, without limitation, the obligations to pay any costs and expenses charged with respect to construction of improvements in the space subject to such Tenant Leases. At Closing, Purchaser shall execute and deliver to the Seller an Assignment, Assumption and Indemnity Agreement in the form attached hereto as Exhibit H and made a part hereof for all purposes.
