Medical Advisory Board. The Operating Board of Business Manager has ---------------------- appointed a medical advisory board (the "Medical Advisory Board") to provide a general forum for review and analysis of medical and clinical issues affecting the Regional Practices and all other medical practices with which Business Manager has entered into a Management Services Agreement or similar agreement. The Medical Advisory Board consists of at least three Doctors of Ophthalmology, one of whom is designated as the "Medical Director," and may include, at the discretion of the Operating Board of Business Manager, one or more Doctors of Optometry, Registered Nurses or other health care professionals. The Vice President Clinical Operations of Business Manager, and/or such other designee as Business Manager shall select, attends meetings of the Medical Advisory Board on a consulting basis. Members of the Medical Advisory Board serve for one-year terms and are appointed or re-appointed for such term during the first meeting of the Operating Board of Business Manager held for each calendar year. The Operating Board of Business Manager may name additional members, remove any member, or fill any vacancy created by the resignation, death or disability of any member, of the Medical Advisory Board during any duly called meeting of such Operating Board. Notwithstanding anything to the contrary contained herein, the Medical Advisory Board will serve in a solely advisory capacity and the ultimate authority over medical decisions affecting Practice shall reside with Practice's Physician-Shareholders.
Medical Advisory Board. The term "Medical Advisory Board" shall have ---------------------- the meaning set forth in Section 5.9 hereof.
Medical Advisory Board. The District will maintain a Medical Advisory Board composed of physicians and other healthcare professionals from the community. The Nurses will have representation on the Board.
Medical Advisory Board. A Medical Advisory Board shall be ---------------------- established, which shall be responsible for: (i) providing medical advice to Medical Group on managed care contracting, including oversight of all utilization review, risk management, and peer review functions required by any Payor Contract; (ii) developing and disseminating, subject to Medical Group's approval, medical protocols and quality and outcome measures for Medical Group and the Physicians; (iii) advising Medical Group with respect to the number and qualifications of physicians required for the efficient operation of Medical Group's practice; (iv) overseeing the recruitment by Medical Group and credentialing of new physicians; and (v) whether to recommend that the Joint Policy Board consider the matters set forth in Section 6.1(d). The Medical Advisory Board shall consist of seven (7) members. The members of the Medical Advisory Board shall be the Medical Director of Medical Group and six (6) other licensed physicians elected by a plurality vote of the Physician Members, of whom three (3) shall be primary care physicians and three (3) shall be engaged in a specialist practice. The Medical Director of Medical Group shall act as chair of the Medical Advisory Board.
Medical Advisory Board. The PCEA President or his/her designee will sit on the Medical Advisory Board as an observer with regard to cases that pertain to a PCEA represented employee(s).
Medical Advisory Board. Each Physician providing Radiation Oncology Services at the Cancer Centers shall have the right to be a member of the Medical Advisory Board. The Medical Advisory Board shall not have any members other than physicians who are owners or employees of a medical practice providing radiation oncology services at a center owned or managed by the Company or an Affiliate of the Company.
Medical Advisory Board. The TRANSPLANT CENTER shall appoint one transplant surgeon (Designated Member) representing each program; thoracic, abdominal, and renal as well as one alternate (Designated Alternate) for each. The TRANSPLANT CENTER shall ensure that each program is represented at each Medical Advisory Board meeting by either the Designated Member or Designated Alternate. If both attend a Medical Advisory Board meeting only the Designated Member will be allowed to vote on matters before the Medical Advisory Board. Medical Advisory Board members and alternates cannot serve on the Board of Directors.

As requested by the Manager of PET LLC and Cyclotron LLC, UCSD shall appoint one or more representatives to the Medical Advisory Board for PET LLC and Cyclotron LLC (i) to provide a resource for informing other physicians in the medical community of the benefits and advantages of molecular imaging and the services provided by PET LLC and Cyclotron LLC, (ii) to provide educational services to PET LLC and Cyclotron LLC personnel and the medical community in general, and (iii) to provide general advice to PET LLC and Cyclotron LLC. Any advice given to PET LLC or Cyclotron LLC by the LLC Medical Advisory Board shall not be binding on PET LLC or Cyclotron LLC nor shall the members of the Medical Advisory Boards have any vote or rights of approval on any PET LLC or Cyclotron LLC matters.
