Membership Rates. 3.1 Annual Subscriptions shall become due and payable on or before the last day of June in every year. 3.2 Joining Fee and Annual Subscription Fees (GST included) are advertised in the Club magazine and on the Club website. 3.3 For new members joining during the year, a monthly pro-rata fee can be charged at the discretion of the Committee. 3.4 Rates to increase at least by CPI and with Committee’s discretion and included in the final figure in 3.5 below. 3.5 Rates shall be reviewed annually by the Committee and presented to the Membership at the July Special General Meeting for ratification before implementation. Membership Rates. Fitness Center fees will be collected at the New Salem-Almont Public School District Office between the hours of 7:30 a.m. and 4:00 p.m. No fees will be collected at the Fitness Center itself. Cash, check or money order payments only accepted. The New Salem-Almont Public School District, at its discretion, may adjust the membership rates. The undersigned understands that he or she will have at least thirty (30) days’ notice prior to any change. Once you have completed orientation and received your key fob, members may use the facility. Locker room facilities, including showers, are available for all Fitness Center members. If desired by the member, locks must be supplied by the member and must be removed after each session. Personal possessions and items are the sole responsibility of the member and must be removed after each session. The New Salem-Almont Public School District is not responsible for lost, stolen or damaged personal possessions regardless of cause or fault. The Fitness Center is a 24-hour facility; however, the Fitness Center is not available to members ages 16 and 17 without adult supervision between the hours of 10:00 p.m. and 6:00 a.m. The fitness center will not be supervised, but cameras will be used throughout the premises for surveillance and to monitor property damage. The surveillance cameras are not actively monitored, and should not be relied upon during an emergency.

  • Membership Units The Company is initially organized with One (1) class of Membership Interests, designated in Units, which Units are initially the only class of equity in the Company. The Units shall have no par value and shall be of a single class with identical rights. Additional and different classes of Membership Interests represented by different Units may be created and issued to new or existing Members on such terms and conditions as the Governors may determine. Such additional and different classes may have different rights, powers and preferences (including, without limitation, voting rights and distribution preferences), which may be superior to those of existing Members. Members shall have no preemptive rights to acquire additional or newly created Units.

  • UNION MEMBERSHIP REQUIREMENT 4.01 Within one (1) week of the signing of this Agreement, all employees of the Employer shall, as a condition of employment, become and remain members in good standing of the Union, according to the Constitution and By-Laws of the Union. As a condition of employment, all new employees shall become and remain members in good standing of the Union within six (6) months of employment.

  • Substitute Members No Member shall have the right to substitute a transferee of all or any part of such Member’s Units in its place, except as provided in this Article 11. Persons who become Substitute Members pursuant to Article 11.5 need not comply with clause (i) of the preceding sentence. Each transferee of all or part of a Member's Membership Units, as a condition to its admission as a Substitute Member, shall execute and acknowledge such instruments, in form and substance satisfactory to the Manager, as the Manager reasonably deems necessary or desirable to effectuate such admission and to confirm the agreement of such person to be bound by all the terms and provisions of this Agreement with respect to the Membership Units acquired. All reasonable expenses, including attorneys’ fees, incurred by the Company in this connection shall be borne by such person.

  • New Members No person may be admitted as a member of the Company without the approval of the Member.

  • Member's Capital Accounts A Capital Account for the Member shall be maintained by the Company. The Member's Capital Account shall reflect the Member’s capital contributions and increases for any net income or gain of the Company. The Member’s Capital Account shall also reflect decreases for distributions made to the Member and the Member’s share of any losses and deductions of the Company.

  • Substituted Members Subject to the provisions of Article X hereof, in connection with the Permitted Transfer of a Unit hereunder, the Permitted Transferee shall become a Substituted Member on the effective date of such Transfer, which effective date shall not be earlier than the date of compliance with the conditions to such Transfer, and such admission shall be shown on the books and records of the Company, including the Schedule of Members.
